Wyoming bans UPS stores and virtual addresses as the registered office

What Wyoming actually requires

W.S. 17-28-101 is Wyoming’s registered-office rule. The registered office shall be located at a street address in Wyoming which shall be a physical location where the business entity’s registered agent, or a natural person who has an agency relationship with the registered agent, can accept service of process as provided in W.S. 17-28-104 and is physically present at that location. A street address is a place a person can walk up to, like 123 Main Street. We do not treat a P.O. Box as that Wyoming street. The Secretary of State FAQ on registered agents and offices is the page that names UPS stores and FedEx stores. We quote that sentence. We do not invent a softer rule.

An individual agent must live in Wyoming. The business office must match the registered office. A company agent — domestic or foreign — needs a written agreement creating an agency relationship with a natural person who can accept service. A commercial registered agent needs that writing too. W.S. 17-28-101(e) also requires an email address the Secretary of State may use for electronic service.

W.S. 17-28-105 is the commercial-agent line. Registration is required unless the person serves ten or fewer entities and is not serving another commercial registered agent. Nevada’s commercial bar is also ten. Wyoming publishes a clear $50 annual commercial-registered-agent fee. Delaware’s commercial bar is more than 50. We print that contrast once. We do not invent a fourth number.

W.S. 17-28-106 is the renewal clock. Registration expires December 31. Renew by November 30. A renewal filed December 1 through December 31 pays an extra fee equal to the annual fee. After December 31, late renewal is $500 plus an administrative fee. The official fee schedule (Revised June 2026, effective July 1, 2026) prices Annual Registration of Commercial Registered Agent at $50.

W.S. 17-28-102 is how the agent or office changes. The filing needs the new agent’s written consent, on the statement or attached to it. The new office and the agent’s business office must match. The email required by 17-28-101(e) goes on that filing. W.S. 17-28-103 is resignation. The agent must send notice at least thirty (30) days before filing the statement of resignation. W.S. 17-28-104 says the agent, or the natural person with the agency relationship, shall accept service of process, notice, or demand. The Secretary of State may serve by electronic means.

W.S. 17-28-107 is the records-at-the-office rule. The agent keeps names and addresses of the people who run a domestic company, the communications-contact name and street, and a copy of the written agency agreement. Those records sit at the registered office. The company and the agent can agree to file some of that information with the Secretary of State instead.

Wyoming also files an annual report. That report is not the registered-agent job. The Secretary of State business FAQ says the annual report is due the first day of the anniversary month of formation. You may file up to 120 days early. The license tax for an LLC is $60 or two-tenths of one mill on the dollar ($.0002) on Wyoming assets, whichever is greater. The official fee schedule prices LLC Articles of Organization at $100. Appointment of New Registered Agent and Office is $5. A registered-agent information update is $5 per entity. Resignation is $5 per entity. LLC reinstatement for no registered agent is $350.

Who publishes a Wyoming street

A city is not a registered office. We print only the streets the companies publish for registered-agent use, and the streets the Secretary of State prints on the commercial-registered-agent convenience list. We do not invent the rest. • Northwest. The Wyoming FAQ answers “Where is Northwest’s registered office in Wyoming?” with Sheridan, WY. No street on that product page. Same-day in-office scans are vendor-claimed. The SOS commercial-registered-agent convenience list as of September 1, 2026 lists Northwest Registered Agent Service Inc and Northwest Registered Agent LLC at 30 N Gould St Ste N, Sheridan, WY 82801. A third Northwest-named listing uses 30 N Gould St Ste 100. That list is not an endorsement. It is not comprehensive. We have not been to a Sheridan office. Confirm WyoBiz.
• Bizee. Claims owned offices in all 50 states. The official registered-agent page names no Wyoming street. The contact page lists 17350 State Highway 249, Suite 220, Houston, TX 77064 as headquarters. That address is not a Wyoming registered office. Bizee is not on that convenience list.
• LegalZoom. The official registered-agent overview does not publish a Wyoming street. We do not invent a suite. The convenience list does not list LegalZoom by that name. United States Corporation Agents, Inc. appears on that list with a LegalZoom email. We do not treat that line as a LegalZoom product-page street.
• ZenBusiness. The Wyoming product page does not publish a ZenBusiness Wyoming suite. The same page shows a Secretary of State contact at 122 West 25th Street, Suite 100, Cheyenne, WY 82002-0020. That is the Secretary of State, not ZenBusiness’s registered office. We do not treat 122 W 25th St as their street. ZenBusiness is not on that convenience list. We have not been to a ZenBusiness Wyoming office.

If you are your own agent, the street on the public record is often your home. If you hire a commercial registered agent, the agent line is that organization’s name and its Wyoming street. Of these four, only Northwest names a Wyoming city on a product page, and only Northwest appears on the SOS convenience list under Northwest names. In-state office and the commercial-agent register

Wyoming wants a physical Wyoming street and a person who can take papers. A commercial registered agent must register when serving more than ten entities, or another commercial registered agent. The annual fee is $50. Northwest claims Sheridan and appears on the convenience list at Gould Street. LegalZoom’s official overview names no Wyoming street. ZenBusiness’s 25th Street line is the Secretary of State. Bizee names no Wyoming street and is not on that convenience list. Process Score has not been to those offices. Service of process — not marketing mail

We grade scan-and-forward of service of process and official notices:

• Bizee: notifications by text and email; court papers mailed via FedEx with tracking; portal upload by employees.
• Northwest: “We scan every document you receive right where you receive it—in our office.” Same-day in-office scans are also vendor-claimed. Their mail-forwarding extras are a different product. We do not grade those extras as a mailbox.
• LegalZoom: upload, email, and a postcard for urgent legal mail; they say they shred junk mail. Junk-mail shredding is not the job we score.
• ZenBusiness: scan and upload to a dashboard; email; overnight the original for urgent legal notices. Their own FAQ says you cannot use the agent address as your business address. Their national product currently excludes PLLCs and nonprofits; that is their exclusion, not a Wyoming statute.

Home-address privacy

A commercial organizational agent is how most Wyoming owners keep a home off the agent line. The Secretary of State still publishes whatever other addresses you put on articles or an annual report. Privacy of the agent line is not privacy of every field. Confirm the live line on WyoBiz.
