Mississippi’s free April 15 LLC report still lists the agent — that paper is still not the registered-agent job

What Mississippi actually requires

Miss. Code § 79-29-201 is how a Mississippi LLC names the agent today. The certificate of formation must set forth the information required by Subsection Miss. Code § 79-35-5 (a). That is the live formation sentence. We print it. We do not invent a shorter one. The older LLC registered-office and registered-agent section, Miss. Code § 79-29-113, is marked repealed effective January 1, 2013. LegalZoom’s Mississippi article, updated May 15, 2026, still cites § 79-29-113 as the LLC rule. Miss. Code § 79-35-4 is the street rule. Whenever the Mississippi Registered Agents Act requires that a filing state an address, the filing must state an actual street address in this state, and a mailing address in this state if that mailing line is different. That is the street rule. We print it. We do not invent a shorter one. Mississippi does not add the rural-route box sentence that Arkansas and Utah print. The Secretary of State’s live registered-agent page adds the office line: any individual, corporation, or LLC may act as registered agent if the agent has a physical address in the state of Mississippi. The live Commercial Registered Agent Listing Statement asks for a street address and a mailing address if different. Those two sources match on the street-versus-mailing split. We print both. We do not invent a third street rule.

Miss. Code § 79-35-5 is how the appointment is written. A registered-agent filing must state the name of the represented entity’s commercial registered agent, or, if the entity does not have a commercial registered agent, the name, address, and email address of the noncommercial registered agent. The appointment is an affirmation by the represented entity that the entity notified the agent, provided the agent with a forwarding address under Miss. Code § 79-35-14, and that the agent consented to serve. The Secretary of State shall make available a daily list of filings that contain the name of a registered agent. That list must be kept available for at least 14 calendar days. It is a daily list. It is not a Nevada-style ten-company commercial-agent register.

Miss. Code § 79-35-6 is how a commercial registered agent lists. An individual or a domestic or foreign entity may become listed as a commercial registered agent by filing a commercial registered agent listing statement. The statement lists a place of business in this state where service of process and other papers may be delivered. The listing takes effect on filing. The live Commercial Registered Agent Listing Statement prices the paper at $100. The Secretary of State’s live registered-agent page prints the same $100. Those two $100 numbers match. The form says only one registered agent, at one address, may be listed. A second address needs a second form and a second fee. The same office page says a listed commercial agent agrees to act for any company that selects it from that list. If the agent does not wish to serve that company, the agent must file a Statement of Non-acceptance within 14 days of selection. After that time, the office says the agent has acquiesced. Mississippi’s commercial bar is that listing. It is not a ten-company count. Delaware’s commercial bar is more than 50. Nevada’s bar is ten.

The same office page is how a commercial listing ends. The agent files a Termination Statement. The fee on that page is $50. The statement takes effect on the 31st day after filing. After that day the agent ceases to be the agent for every entity it had represented. The agent must notify each of those entities and attach a list of them to the termination paper. That 31st-day end is a commercial-listing end. It is not the everyday resignation clock we print below.

The same office page is also the noncommercial rule. Noncommercial registered agents will not be listed on the Secretary of State’s website. Companies seeking a noncommercial agent must obtain that agent’s permission before listing the agent. Noncommercial agents will not be notified of their selection. If a company chooses a noncommercial agent without permission, that agent has no obligation to the company and may refuse the duties without penalty. We print the office sentences. We do not invent a Florida-style written acceptance as its own paper on the LLC record we retrieved.

Miss. Code § 79-29-201 is what the certificate of formation must say. It must state the name of the company, the information required by Subsection 79-35-5(a), and a latest dissolution date if the company has one. The live fee schedule and the Services & Fees table both price Certificate of Formation of MS LLC at $50. Miss. Code § 79-29-1203 prices the same paper at Fifty Dollars ($50.00). Those three numbers match. Bizee’s Mississippi page names a $50 Certificate of Formation. LegalZoom’s Mississippi article prints the same $50 state fee. Leaving the agent unlisted is a rejected filing. That certificate is a first paper. It is not the registered-agent job.

Miss. Code § 79-35-8 is how the company changes the line. The Secretary of State FAQ, retrieved the same day, says there is no longer a separate form to change the registered agent. The change is handled as an amendment in the online system. The live fee table still prices Registered Agent/Office Statement of Change at $10, and Certificate of Change of Address of Registered Agent of MS LLC at $10 per company. LegalZoom’s Mississippi article prints $10 for a registered-agent-only change, and $50 if the same amendment also changes other business information. The $50 row matches the live Certificate of Amendment price. We print $10 from the live table, $50 from the amendment row, and LegalZoom’s $10 / $50 pair. We do not invent a fourth number that makes them agree. The appointment in a new-agent filing is an affirmation that the agent consented. Putting a new name on an amendment is still not the registered-agent job. The job is taking court papers at the Mississippi street.

Miss. Code § 79-35-11 is how an agent steps down. ZenBusiness’s Mississippi page, last updated August 27, 2025, says the agent must send a statement of resignation to the company at least 30 days before submitting it to the Secretary of State, that the online resignation has no filing fee, and that the agent keeps the duties for 31 days unless a successor is named sooner. The live fee table prices Certificate of Resignation of Registered Agent at $0 / No fee. Those vendor fee sentences match the table we opened. LegalZoom’s Mississippi article says the resignation takes effect once the office processes the filing and notifies the company, which then has 30 days to appoint a replacement. We print the statute cite, the live $0 row, ZenBusiness’s 30-day notice / 31-day end, and LegalZoom’s 30-day replacement window. We do not invent a fifth clock that makes them agree.

Miss. Code § 79-35-14 is the forwarding sentence the appointment statute points to. The agent is given a forwarding address. The job is to get process, notice, or demand to the company. That is the statute path. We print it. We do not invent a shorter one.

Miss. Code § 79-35-13 is how court papers are handed over. A registered agent is an agent of the represented entity authorized to receive service of any process, notice, or demand required or permitted by law to be served on the entity. The administrative-dissolution notice in Miss. Code § 79-29-823 is served under that same section, including by electronic mail to the registered agent’s email.

Miss. Code § 79-29-215 is the yearly Secretary of State paper this page will not confuse with the agent job. Each domestic limited liability company, and each foreign limited liability company authorized to transact business in this state, shall deliver an annual report that states the name of the company, the name, email address, and street or physical address of its registered agent in this state, the address of its principal office, the names of the managers or at least one member, the names of any principal officers, whether the company has a written operating agreement, and a brief description of the nature of its business. The statute says the report is delivered on such date as may be established by the Secretary of State. The live Business FAQs page, retrieved September 18, 2026, says annual reports for Corporations and LLCs are due by April 15th each year. The live fee schedule prices MS LLC Annual Report at $0. The Services & Fees table says Annual Report of MS LLC … No fee. Miss. Code § 79-29-1203 prices Filing of an Annual Report of Domestic Limited Liability Company at (no fee), and Filing of an Annual Report of Foreign Limited Liability Company at Two Hundred Fifty Dollars ($250.00). Those four domestic $0 / no-fee lines match. The foreign $250 lines match. Bizee’s Mississippi page says, under Mississippi LLC at a glance, “Annual report due: No annual report required for Mississippi LLCs.” That is Bizee copy. Whether that $0 paper can change the agent is a live conflict. We print the sources. We do not invent a winner. The annual-report statute requires the current agent name, email, and street or physical address. The FAQ says the online report is pre-populated and you update the information and submit. ZenBusiness’s Mississippi page says you can’t change your registered agent by updating your annual report. You must file an amendment. LegalZoom’s Mississippi article says the annual report does not automatically update your registered agent information, and that the two filings are separate. We print those four sources. Putting a name on a $0 April 15 paper is still not the registered-agent job. The job is taking court papers at the Mississippi street.

Miss. Code § 79-29-821 is the missing-report and missing-agent clock. The Secretary of State may start an administrative dissolution if the company does not pay a required fee within 60 days after it is due; does not deliver its annual report within 60 days after it is due; is without a registered agent in this state for 60 days or more; or does not notify the Secretary of State within 60 days that its registered agent has been changed or that its registered agent has resigned. Miss. Code § 79-29-823 then gives the company 60 days after notice to cure. Stay without an agent for 60 days, or miss the report by 60 days, and that is the path we opened. ZenBusiness’s Mississippi page prints the same 60-day missing-agent clock. LegalZoom’s Mississippi article prints a 60-day cure after a dissolution notice. Those vendor sentences match the statutes we opened.

We print what the company’s official registered-agent page said on the retrieval date. No company publishes a different Mississippi registered-agent price from the national card, except where we note a Mississippi-page sentence. We do not invent a renewal.

• Northwest Registered Agent: official page: “$125 Per Year.” Same price in year two on the national card. Five or more states is $100 a year per state. Retrieved September 18, 2026 from northwestregisteredagent.com/registered-agent and the Mississippi product page. First year free only if you form through them; we do not treat that bundle as the standalone price. The Mississippi page says they accept and scan documents on site at their registered office in Jackson, MS. A change of registered agent is a separate Secretary of State filing unless you treat the $0 April 15 annual report as a change path. Live pages disagree about that path. The yearly paper can list the agent. It is still not the registered-agent job.

Who publishes a Mississippi street

A city is not a registered office. We print only the streets the companies publish for registered-agent use. We do not invent the rest. Confirm the live name and street on the Mississippi Business Search before you file. Headquarters is not the registered office. The Secretary of State’s Jackson contacts are not vendor suites.

• Northwest. The Mississippi product page says they accept and scan documents on site at their registered office in Jackson, MS. The office-locations page lists Jackson, MS 39202 Hinds County, and says they leave the street off this list. No street is published. The two city lines match on Jackson. We have not been to a Jackson office. Northwest also sells extra mail scans from that location. Those extras are a different product.
• Bizee. Claims owned offices in all 50 states. The official registered-agent page names no Mississippi street. The live Mississippi product page names no Mississippi street. The hyphenated Mississippi URL we tried returned 404 on September 18, 2026. The contact page lists 17350 State Highway 249, Suite 220, Houston, TX 77064 as headquarters. That address is not a Mississippi registered-agent street.
• LegalZoom. The official registered-agent overview does not publish a Mississippi street. The live Mississippi article names no LegalZoom city or street. Service of process, not marketing mail

Home-address privacy

A commercial registered agent is how most Mississippi owners keep a home off the agent line. The Secretary of State still publishes whatever other addresses you put on a formation filing or an annual report. Privacy of the agent line is not privacy of every field.
