Missouri LLCs file no annual report with the Secretary of State — the registered agent is still the continuous job

What Missouri actually requires

RSMo § 347.030 is the Missouri office-and-agent statute. Each limited liability company shall have and continuously maintain in this state a registered office, which may be, but need not be, the same as a place of its business in this state, and a registered agent for service of any process, notice, or demand. The agent may be an individual who lives in this state whose business office is identical with that registered office, or a domestic or foreign corporation authorized to do business in this state whose business office is identical with that registered office. Except as provided in that section and in RSMo § 347.153, the secretary shall not be appointed as the resident agent for any limited liability company. We print registered agent and resident agent as the statute prints them. We do not invent a third name. The official section sits on the Missouri Revisor of Statutes.

RSMo § 347.039 is what the articles must say. Articles of organization must state the address, including street and number, if any, of the registered office and the name of the registered agent at that office. Leaving the agent off is a defect. RSMo § 347.179 prices paper articles at one hundred dollars and online articles at forty-five dollars. The live Schedule of Fees and Charges, retrieved September 15, 2026 and marked (01/2025), lists Certificates of Limited Liability Company at $105.00 paper and $50.00 online for a domestic filing. The Business FAQ says the same $50.00 online / $105.00 by paper pair and says the savings for filing articles of organization online is $55.00. The same FAQ says the technology fee is a five dollar charge added to the regular filing fee. The fee table’s header says this includes $5.00 for the Technology fund, where applicable. The Missouri Secretary of State Business FAQ is the office copy we print next to the statute. Who may serve: an individual who is a resident of Missouri whose business office is identical with the registered office, or a corporation authorized to transact business in Missouri with a business office identical with the registered office. May the registered office be a P.O. Box? A P.O. Box may be listed only if a physical street address in the same city is also listed. An entity’s registered office must be a physical location where the registered agent may be served process. May the office be a mailing service company, such as Mailboxes Etc or the UPS Store? No. An entity may not list the address of a retail mailing store as its registered office. May you change the agent without the new agent’s consent? No. The new registered agent must consent in writing, and that written consent must accompany the statement of change. Do limited liability companies have to file an annual report? No. We print those office sentences. We do not treat a mailbox shop as RSMo § 347.030.

RSMo § 351.370 is the corporation pair. Each corporation shall have and continuously maintain in this state a registered office and a registered agent. The agent may be an individual who lives here whose business office is identical with that office, or a corporation authorized here whose business office is identical with that office. We print both. We do not treat the corporation cite as the LLC rule. LegalZoom’s Missouri article cites Chapter 351.370 for the agent rules. ZenBusiness’s Missouri page cites Chapter 351 of Title 13. RSMo § 347.030 is how the company changes the line. The company files a statement that names the company, the present street, the new street if the office is changing, the present agent, the successor agent if the agent is changing and that successor’s written consent on the statement or attached to it, and a statement that after the change the street of the registered office and the business office of the registered agent will be identical. The change is effective when the secretary files the statement. If the agent moves, the agent notifies the company in writing and files that same statement. The live paper path is Form Corp. 59, Statement of Change of Registered Agent and/or Registered Office, marked (01/2025). That form is for a corporation or a limited liability company. It prices the filing at $10.00. It says a P.O. Box may only be used with a physical street. It says the agent and address must be in Missouri. It says the corporation may not act as its own agent. The live fee table lists Change of Registered Agent / Office Address / or both at $10.00 for all others, not a limited liability partnership. RSMo § 347.179 prices a statement of change of address of registered office or registered agent, or both, at five dollars. We print the statute, the table, and the form. We do not invent a winner. RSMo § 347.030 is how an agent steps down. The agent files duplicate originals of a statement on a form the secretary approves. The resignation becomes effective upon expiration of thirty days after receipt of that statement by the secretary, or on the appointment of a new registered agent, whichever occurs earlier. That is a 30-day clock. It is not Oregon’s 31st-day clock. It is not Wisconsin’s 60-day clock. ZenBusiness’s Missouri page, last updated August 26, 2025, prints the same 30-day stay unless a replacement is appointed sooner. We print the statute and the vendor sentence. RSMo § 351.120 is the yearly Secretary of State paper this page will not confuse with the LLC agent job. Every corporation organized here, and every foreign corporation licensed here, other than corporations exempted from taxation by the laws of this state, shall file a corporate registration report. That report states the corporate name, the name of its registered agent and that agent’s Missouri physical address, giving street and number, or building and number, or both, the officers and directors, and the mailing address of the principal place of business or headquarters. A corporation may change the registered office or registered agent on that report if the new agent’s written consent is included. The General Services & Filings page repeats that all corporations doing business in this state must file an annual registration report, and that failure to file will result in administrative dissolution of a domestic corporation’s charter or revocation of a foreign corporation’s certificate of authority. The live fee table prices a timely annual registration report at $45.00 paper and $20.00 online, and a timely biennial report at $90.00 paper and $40.00 online. The FAQ asks when a corporation may elect a biennial registration report. That report can list a new agent. It is still not the registered-agent job. The same FAQ answers the LLC question in one word: No. Northwest’s Missouri page talks about a Missouri Annual Report corporations must file. That is Northwest copy about corporations. It is not an LLC annual report.

The Registered Agents paragraph on that same office page is the live rule for who must keep an agent. All foreign and domestic corporations, limited liability companies, limited partnerships, and limited liability partnerships registered in Missouri must maintain a registered agent. The registered agent must have a Missouri address. The registered agent’s business office must be identical to the entity’s registered office. Each entity must notify the Secretary of State if the agent or the address changes. If any entity fails to maintain a registered agent, the Secretary of State will notify the entity. If an agent is not registered within the pertinent time period, a domestic corporation will be administratively dissolved, and a foreign entity’s certificate of authority will be revoked. As to all other business entities, the failure to maintain a registered agent as required can result in the cancellation of that entity’s registration. We print that office sentence. We do not invent an LLC-only clock the page did not print. Administrative dissolution of a corporation, the same page says, may also follow a missing annual report. The corporation then has 60 days after written notice to correct or explain the situation. That 60-day notice is a corporation clock. It is not an LLC annual-report clock, because an LLC has no such report.

RSMo § 347.179 also prices any service of notice, demand, or process upon the secretary as resident agent of a limited liability company at twenty dollars. That path uses the words resident agent. It is not a reason to name the secretary as the everyday agent. RSMo § 347.153 is the foreign-company exception the everyday rule points to. A foreign limited liability company that registers here names a registered agent and registered office, and it states that the secretary is appointed the agent for service of process if the company fails to maintain a registered agent or if the agent cannot be found or served with reasonable diligence. Those dollars are for serving the secretary. They are not the registered-agent job, and they are not the change-of-agent fee. Taxes to the Missouri Department of Revenue are also not the registered-agent job. The FAQ sends a state taxpayer identification number to dor.mo.gov/business/register/. That is a tax line. It is not a yearly Secretary of State paper for an LLC.

The Business Filings search sits at sos.mo.gov/BusinessEntity/soskb/csearch.asp. That URL returned a Search for a Business Entity form on retrieval, with fields for business name, registered-agent name, name availability, and charter number. The Online Services, Forms & Publications page lists the same lookup as Search for Registered Corporation/Business Names. The enhanced portal is at bsd.sos.mo.gov. Paper filings and deliveries that need a street go to the James C. Kirkpatrick State Information Center, 600 W. Main St., Jefferson City, MO 65101. The Corporations Division mailing line is P.O. Box 778, Jefferson City, MO 65102. The main office phone is 573-751-4936. The fee table also prints 600 W. Main St., Rm. 322, and a toll-free Corporations line at 866-223-6535. On retrieval, the Business Services home page said the Kansas City branch is closed September 8 through 23, 2026 for construction, and that Springfield, Jefferson City, and St. Louis field offices stay open 8 a.m. to 4 p.m., Monday through Friday. Those hours are the Secretary of State’s hours. They are not a registered-office clock. Missouri does not post Florida-style 10–noon / 2–4 windows. We do not treat a company 9-to-5 line as RSMo § 347.030. Missouri does not run a Nevada-style ten-company commercial-agent register. A commercial registered agent here is just a person or company whose Missouri office matches the registered office and that consented to serve.

Confirm the live agent and street on the Missouri Business Filings search before you treat a marketing city as current. Headquarters is not the registered office. The Secretary of State’s Jefferson City contacts are not a vendor suite. That search lists the registered agent and the registered office of record.

Cited prices, retrieved September 15, 2026

We print what the company’s official registered-agent page said on the retrieval date. No company publishes a different Missouri registered-agent price from the national card, except where we note a Missouri-page sentence. We do not invent a renewal.

• Northwest Registered Agent: official page: “$125 Per Year.” Same price in year two on the national card. Five or more states is $100 a year per state. Retrieved September 15, 2026 from northwestregisteredagent.com/registered-agent and the Missouri product page. First year free only if you form through them; we do not treat that bundle as the standalone price. The Missouri page says they charge $125 with no hidden fees, and that is the forever price. The same page says they accept and scan documents on-site at their registered office in Harrisonville, MO. It also sells five free scans of regular business mail a year and extra scans at $15 a document. Those extras are a different product. The Business FAQ says a retail mailing store is not the registered office. We do not grade those extras as the registered-agent job.
• Bizee: official registered-agent page: free first year with formation; standalone $149/year; year two $149/year. Retrieved September 15, 2026 from bizee.com/business-management/registered-agent. The article also prices a Change of Registered Agent/Office Address form at $10 for most businesses and $37 for LLPs. The live table we retrieved is $10.00 for all others and a separate LLP pair. • ZenBusiness: official Missouri page: first-year and renewal dollars are the national card. The national page says $99 + state fees for the first year and renews at $199/yr, subject to change. The Missouri page, last updated August 26, 2025, talks about $100 to several hundred dollars a year as a market range. That range is not a ZenBusiness price. We keep the national card. That page says the job is sometimes called a resident agent or statutory agent in other states. Missouri’s LLC statute uses registered agent and, in one sentence, resident agent for the secretary. The same page prices the Statement of Change at $10 for LLCs, profit corporations, and nonprofits, and says Missouri does not let you make that change on an annual report. A change of registered agent or office is a separate Secretary of State filing. An LLC cannot put the new line on an annual report, because an LLC files no annual report with that office. A corporation may put a new agent on the registration report if the new agent’s written consent is included. We cite RSMo § 347.030, the $5 statute row, the $10 live table, and Form Corp. 59. Listing a name on a corporation report is still not the registered-agent job.

Who publishes a Missouri street

A city is not a registered office. We print only the streets the companies publish for registered-agent use. We do not invent the rest. Confirm the live name and street on the Missouri Business Filings search before you file. Headquarters is not the registered office. The Secretary of State’s Jefferson City contacts are not vendor suites.

• Northwest. The Missouri product page says they accept and scan documents on-site at their registered office in Harrisonville, MO. The office-locations page lists Harrisonville, MO 64701, Cass County, and says they leave the street off this list. No street is published. The two city lines match. Those city, ZIP, and county lines are vendor-claimed. We have not been to a Harrisonville office. Northwest also sells extra mail scans from that location. Those extras are a different product. Missouri’s FAQ bans a retail mailing store as the registered office.
• Bizee. Claims owned offices in all 50 states. The official registered-agent page names no Missouri street. The live Missouri product page names no Missouri street. The hyphenated Missouri URL we tried returned 404 on September 15, 2026. The contact page lists 17350 State Highway 249, Suite 220, Houston, TX 77064 as headquarters. That address is not a Missouri registered-agent street.
• LegalZoom. The official registered-agent overview does not publish a Missouri street. The live Missouri article names offices in St. Louis and Cape Girardeau and no street. The second Missouri article URL we tried returned 404 the same day. We do not invent a suite. We do not treat a LegalZoom virtual-mail street as the registered-agent street.
• ZenBusiness. The Missouri registered-agent page publishes no ZenBusiness street or city. It prints Secretary of State contacts at 600 West Main Street, Jefferson City, MO 65101, telephone 573-751-4936, and sosmain@sos.mo.gov. That is a published street. It is the Secretary of State, not ZenBusiness. The fee table lists the same building. We do not treat that Jefferson City line as their suite.

If you are your own registered agent, the street on the public record is often your home. If you hire a commercial registered agent, the agent line is that organization’s name. Northwest names Harrisonville, ZIP 64701, Cass County, on both the product page and the office list, and no street on either. LegalZoom names St. Louis and Cape Girardeau and no street. Bizee publishes no Missouri street. ZenBusiness publishes the Secretary of State’s West Main Street contacts. We label every published city vendor-claimed. Use the Business Filings search.

In-state office, the mailbox-store ban, and the missing LLC annual report

Missouri wants a registered office that is a physical location in this state where process may be served. The agent’s business office and that registered office must be the same street. A P.O. Box may sit on the filing only with a physical street in the same city. A retail mailing store, such as Mailboxes Etc or the UPS Store, is not that street. Change the agent on Form Corp. 59. The live table and the form print $10.00. The statute prints $5. A new agent must consent in writing. Resignation ends 30 days after the secretary receives the statement, or sooner if a successor is filed. An LLC files no annual report with the Secretary of State. A corporation files a registration report. That report can list a new agent if the new agent consents. Stay without an agent and the Secretary of State will notify the entity. A domestic corporation can be administratively dissolved. A foreign company’s certificate can be revoked. Other entities can lose their registration. Those filings are not the registered-agent job. Missouri does not post a Florida-style 10–noon / 2–4 clock, and it does not run a Nevada-style ten-company commercial-agent register. Northwest claims Harrisonville, ZIP 64701, Cass County. Service of process, not marketing mail

We grade scan-and-forward of service of process and official notices:

• Bizee: notifications by text and email; court papers mailed via FedEx with tracking; portal upload by employees. The Missouri page talks about a physical street during business hours, generally 9 AM to 5 PM. That is Bizee copy. Contact-page support hours are Monday–Friday 9 a.m. to 6 p.m. CST. Those are support hours, not registered-office hours.
• Northwest: “We scan every document you receive right where you receive it—in our office.” The Missouri page adds on-site scans at the Harrisonville office. Their extra mail-scan product is a different product. We do not grade those extras as a mailbox. Missouri’s FAQ bans a retail mailing store as the registered office.
• LegalZoom: upload, email, and a postcard for urgent legal mail; they say they shred junk mail. The live Missouri article names St. Louis and Cape Girardeau offices. Junk-mail shredding is not the job we score.
• ZenBusiness: scan and upload to a dashboard; email; overnight the original for urgent legal notices. Their own FAQ says you cannot use the agent address as your business address. Their national product currently excludes PLLCs and nonprofits; that is their exclusion, not a Missouri statute. The Missouri page prints Secretary of State contacts at 600 West Main Street. Home-address privacy

A commercial registered agent is how most Missouri owners keep a home off the agent line. The Secretary of State still publishes whatever other addresses you put on a formation filing or, for a corporation, a registration report. Privacy of the agent line is not privacy of every field. A Missouri LLC must name an agent. It cannot leave that line blank. Confirm the live line on the Business Filings search.
