A registered agent is not a virtual mailbox. We do not score mailbox suites, virtual offices, or Google Business Profile eligibility here. Oregon’s statute says a commercial mail receiving agency, a mail forwarding business, or a virtual office is not the registered office. If you need scans of catalogs, that is a different product on a different site.
What Oregon actually requires
A registered agent is the person or company who can be handed a lawsuit. Service of process means handing over those papers. ORS 63.111 says a limited liability company shall keep a registered agent and a registered office here. The agent may be a resident, or a domestic or authorized foreign company of the listed kinds, whose business office matches that office. The Division page says an entity cannot name itself, and that an owner can serve. The sources disagree. This page does not pick one.
A street is a place a person can walk up to. A P.O. Box is a mailbox at the post office. The office must be a physical street where papers can be handed to the agent. It may not be a commercial mailbox, a mail-forwarding business, or a virtual office. ORS 56.035 says the Secretary of State shall check that ban.
ORS 63.114 says the new agent consented, and that the two offices will match. The fee table lists the change at $0. The renewal, when open, can carry it too. ORS 63.787 is due on the anniversary day, not merely in that month. ORS 56.140 prices a domestic report at $100 and a foreign report at $275. Listing a name there is not taking the lawsuit.
ORS 63.117 ends the job on the 31st day unless a successor comes sooner. The Division page says 30 days. The sources disagree. This page does not pick one. ORS 63.647 allows dissolution for a missing agent, office, or report. ORS 63.651 gives 45 days after notice. If no agent is found, service on the Secretary of State is $20. That is not the change fee.

The statute does not print a clock. The front desk is open weekdays, 8 a.m. to 5 p.m. Those are filing-office hours, not a registered-office clock. Someone has to be at an Oregon street to accept hand-delivered papers. A software login is not that street.
Full requirement and citations
In plain language. Oregon wants a street where court papers can be handed over, and a person or company who takes them. That street is the registered office. That person or company is the registered agent. A P.O. Box is not the office. A commercial mailbox shop is not the office. A mail-forwarding shop is not the office. A virtual office is not the office. The Secretary of State must check that the listed street is a real street. The LLC cannot list itself as the agent. The filing office is the Corporation Division at the Secretary of State. Every year the LLC also files a $100 annual report on its birthday. That report lists the agent. You can also change the agent on a free Information Change. The job is still taking court papers at the street. Check the live name on the Business Name Search before you file.

ORS 63.111 is the Oregon office-and-agent statute. A limited liability company shall continuously maintain in this state a registered agent and registered office that may be, but need not be, the same as any of the limited liability company’s places of business. The registered office must be located at a physical street address where process may be personally served on the registered agent. The registered office may not be a commercial mail receiving agency, a mail forwarding business or a virtual office. That is the street rule. We print it. This page keeps the full wording. The same section is who may serve. A registered agent must be an individual who resides in this state and whose business office is identical to the registered office; a domestic limited liability company, domestic corporation, domestic professional corporation, or domestic nonprofit corporation whose business office is identical to the registered office; or a foreign limited liability company, foreign corporation, foreign professional corporation, or foreign nonprofit corporation that is authorized to transact business in this state whose business office is identical to the registered office. The Corporation Division registered-agent page adds a second sentence: an entity cannot designate itself as its own registered agent, but an individual owner can be the registered agent for their business. We print the statute and the office page. The sources do not agree. This page does not add a third rule that makes them disagree.
ORS 56.035 is how the Secretary of State checks the street. Before filing a document, the Secretary of State shall verify that the address of a registered agent listed in that document is a physical street address and is not a mail forwarding service, virtual office, or commercial mail receiving agency. The same section lets the Secretary of State check a principal office the same way, with one exception: a commercial mail receiving agency may be a principal office if the company’s principal executive offices sit at that same street. That exception is for the principal office. It is not a way around the registered-office ban. The Secretary of State’s business-structure page repeats the same idea in office copy: the registered office must have an actual street address. The registered-agent page asks, “Can a registered agent use a post office box or mail forwarding business for the registered address?” The answer is no. Because legal process must be physically served on a person, a process server cannot physically serve the registered agent at a P.O. Box or a mail forwarding business. We print those office sentences. We do not treat a Portland mailbox shop as ORS 63.111.
ORS 63.047 is what the articles must say. Articles of organization must state the address, including street and number, and mailing address, if different, of the limited liability company’s initial registered office and the name of the initial registered agent at the office. They must also state the initial physical street address of the principal office. Leaving the agent off is a defect. ORS 56.140 prices those articles at $100. The same section prices a domestic annual report at $100, and any other related document the entity may or must file at $100. The live Business Registry Fee Schedule lists domestic Limited Liability Company articles and the annual renewal at $100.00. It lists Change of Registered Agent/Address (Corp/LLC) at $0.00. It lists Change of Business / Mailing Address at $0.00. The paper Information Change form prints No Processing Fee. The Secretary of State may waive a fee under the same fee statute. Bizee’s Oregon page, retrieved the same day, prints $100 online and $50 paper for Articles of Organization. That $50 paper row is Bizee copy. We print the statute, the table, and the vendor sentence. The sources do not agree. This page does not add a fourth number.
ORS 60.111 is the corporation pair. A corporation shall continuously maintain in this state a registered agent and registered office. The registered office must be a physical street where process may be personally served. The registered office may not be a commercial mail receiving agency, a mail forwarding business or a virtual office. The agent’s business office must be identical to that office. We print both. We do not treat the corporation cite as the LLC rule.
ORS 63.114 is how the company changes the line. The company delivers a statement of change that names the company, the new street if the office is changing, the new agent if the agent is changing and that the new agent has consented to the appointment, and a statement that after the change the street of the registered office and the business office of the registered agent will be identical. The filing terminates the old office or agent on the effective date and puts the new one on the record. If the agent moves, the agent notifies the company in writing and files that same statement. The live office path is the Information Change, online or on the paper form. The Corporation Division says you may also report changes on the annual report when the renewal is open. ZenBusiness’s Oregon page, last updated August 26, 2025, says the same thing: file the Information Change at no fee, or put the new line on the $100 annual report if that report is due. Changing a name on a $100 paper is still not the registered-agent job. The job is taking court papers at the Oregon street.
ORS 63.117 is how an agent steps down. The agent files a signed statement and gives a copy to the company at its mailing address or principal office on the Secretary of State record. The appointment ends on the 31st day after the Secretary of State files the statement, unless the company sooner names a successor. That is a 31-day clock. It is not Wisconsin’s 60-day clock. It is not Minnesota’s 30-day clock. The Corporation Division registered-agent page says the resignation date is the day the Division receives the letter, and that by law the agent must stay available to accept service of process for 30 days after the Division is notified. We print the statute and the office page. The sources disagree. This page prints both sides: the 31st day and those 30 days. Failure to name a new agent, the office page says, will result in administrative dissolution.
ORS 63.787 is the yearly Secretary of State paper this page will not confuse with the agent job. A domestic LLC, and a foreign LLC authorized here, shall by the company’s anniversary deliver an annual report that states the name, the street of the registered office and the name of the registered agent at that office, the principal office, the managers or at least one member, and the primary business activity. The information must be current as of 30 days before the anniversary. ORS 63.001 is the dictionary. Anniversary means the day each year that is exactly one or more years after the Secretary of State filed the articles, or after the Secretary of State filed a foreign company’s application for authority. That is a calendar day. It is not “the anniversary month.” Bizee’s Oregon page says the annual report is due annually by the LLC’s anniversary month. That is Bizee copy. We print the statute. Missing the mailed form does not excuse the filing. If the report is incomplete, the company has 45 days after notice to correct it. The company may also file an amendment to the annual report after it is on file and before the next anniversary. The Corporation Division update page says that when the renewal is open, you may report changes on that annual report and pay the renewal fee. Listing a name on a $100 yearly paper is still not the registered-agent job.
ORS 56.140 prices a domestic LLC annual report at $100 and a foreign company’s authority filing and annual report at $275. The live fee table lists the same $100 domestic and $275 foreign renewal rows. We print the statute and the table. Those two numbers match. The $100 report can list a new agent when the renewal is open. It is still not the registered-agent job.
ORS 63.647 is what happens if the report, or the agent, is missing. The Secretary of State may start an administrative dissolution if the company does not pay fees when due, does not deliver the annual report when due, is without a registered agent or registered office in this state, or does not notify the Secretary of State that the agent or office changed or that the agent resigned. ORS 63.651 is the clock. The Secretary of State gives written notice. If the company does not correct each ground, or show it does not exist, within 45 days after that notice, the Secretary of State shall dissolve the company. The administrative dissolution does not terminate the authority of the registered agent. ORS 63.654 is the way back: apply within five years, show the ground did not exist or has been eliminated, and keep a name that still fits the statute. The Secretary of State may waive that five-year window if the company asks and shows it stayed an active concern. The fee table did not print as a standalone row we opened a reinstatement dollar.
ORS 63.121 is how papers are handed over. The registered agent is the company’s agent for any process, notice, or demand. If the company has no agent, or the agent cannot with reasonable diligence be found at the registered office, the Secretary of State is an agent. Service on the Secretary of State is in person or by certified or registered mail, plus the required fee, and a copy mailed to the last registered office. After that first service, later papers in the same case need not go back through the Secretary of State. The Corporation Division service page prices that Secretary of State path at $20.00 for each business or party being served. The fee statute prints the same $20. Those dollars are for serving the Secretary of State. They are not the registered-agent job, and they are not the change-of-agent fee.

Paper filings and walk-ins go to the Public Service Building, 255 Capitol Street NE, Suite 151, Salem, OR 97310-1327. The front desk is open Monday through Friday, 8 a.m. to 5 p.m. The contact center is open Monday through Thursday, 8 a.m. to 4:30 p.m., and Friday 8 a.m. to 12 p.m. The phone is 503-986-2200. Those hours are the Corporation Division’s hours. They are not a registered-office clock. Oregon does not post Florida-style 10–noon / 2–4 windows. We do not treat a company 9-to-5 line as ORS 63.111. Oregon does not run a Nevada-style ten-company commercial-agent register. A commercial registered agent here is just a company whose Oregon office matches the registered office and that consented to serve.
Confirm the live agent and street on the Oregon Business Name Search before you treat a marketing city as current. Headquarters is not the registered office. The Corporation Division desk in Salem is not a vendor suite. That search lists the registered agent and the registered office of record.

Who publishes an Oregon street
A city is not a registered office. We print only the streets the companies publish for registered-agent use. The pages we read do not publish the rest. Confirm the live name and street on the Oregon Business Name Search before you file. Headquarters is not the registered office. The Secretary of State’s Salem contacts are not vendor suites.
- Northwest. The Oregon product page says they accept and scan documents on-site at their registered office in Portland, OR. The office-locations page lists Portland, OR 97239, Multnomah County, and says they leave the street off this list. No street is published. The two city lines match. Those city, ZIP, and county lines are vendor-claimed. We have not been to a Portland office. Northwest also sells an Oregon Virtual Office and Oregon Mail Forwarding extra from that Portland location. Those extras are a different product. Oregon’s statute bans a virtual office or a mail forwarding business as the registered office.
- Bizee. Claims owned offices in all 50 states. The official registered-agent page names no Oregon street. The live Oregon product page names no Oregon street. The hyphenated Oregon URL we tried returned 404 on September 14, 2026. The contact page lists 17350 State Highway 249, Suite 220, Houston, TX 77064 as headquarters. That address is not an Oregon registered-agent street.

If you are your own registered agent, the street on the public record is often your home. If you hire a commercial registered agent, the agent line is that organization’s name. Northwest names Portland, ZIP 97239, Multnomah County, on both the product page and the office list, and no street on either. LegalZoom names a Portland office and no street. Bizee publishes no Oregon street. ZenBusiness publishes the Secretary of State’s Capitol Street contacts. We label every published city vendor-claimed. Use the Business Name Search.
In-state office, the three-way street ban, and the $100 anniversary renewal
Oregon wants a registered office that is a physical street in this state where process may be personally served. The agent’s business office and that registered office must be the same street. Those filings are not the registered-agent job. Oregon does not post a Florida-style 10–noon / 2–4 clock, and it does not run a Nevada-style ten-company commercial-agent register. Service of process, not marketing mail
We grade scan-and-forward of service of process and official notices:
- Bizee: notifications by text and email; court papers mailed via FedEx with tracking; portal upload by employees. The Oregon page talks about a physical street during business hours. That is Bizee copy. Contact-page support hours are Monday–Friday 9 a.m. to 6 p.m. CST. Those are support hours, not registered-office hours.
- Northwest: “We scan every document you receive right where you receive it—in our office.” The Oregon page adds on-site scans at the Portland office. Their Oregon Virtual Office and Mail Forwarding extras are a different product. We do not grade those extras as a mailbox. Oregon’s statute bans those two products as the registered office.
- LegalZoom: upload, email, and a postcard for urgent legal mail; they say they shred junk mail. The live Oregon article names a Portland office. Junk-mail shredding is not the job we score.
- ZenBusiness: scan and upload to a dashboard; email; overnight the original for urgent legal notices. Their own FAQ says you cannot use the agent address as your business address. Their national product currently excludes PLLCs and nonprofits; that is their exclusion, not an Oregon statute. The Oregon page prints Secretary of State contacts at 255 Capitol Street NE. That is office copy for the Corporation Division, not ORS 63.111.
Home-address privacy
A commercial registered agent is how most Oregon owners keep a home off the agent line. The Secretary of State still publishes whatever other addresses you put on a formation filing or an annual report. Privacy of the agent line is not privacy of every field. An Oregon LLC must name an agent. It cannot leave that line blank and it cannot name itself. Confirm the live line on the Business Name Search.
