The statement and the resident agent are tied together. The form asks for the agent’s name and the Michigan street where court papers can be handed over. If either one has changed, the statement is a chance to fix it. The Michigan scorecard covers the agent rules and grades the companies that serve as resident agents there.
What the law asks for
The rule is in MCL 450.4207(3). Each Michigan LLC, and each out-of-state LLC authorized to do business in Michigan, files an annual statement with the state. The statement gives two things:
- the name of the LLC’s resident agent, and
- the address of its registered office in Michigan.
It is due no later than February 15 of each year. Michigan says resident agent where most states say registered agent. Same job. Resident agent vs registered agent explains the word.
Who can skip the first one
A new LLC does not file in the same year it forms. LARA’s FAQ says every LLC must file an annual statement starting the year after formation.
There is one more break. The statute says an LLC formed after September 30, or an out-of-state LLC authorized after September 30, does not file on the February 15 right after that. So:
- An LLC formed on June 1, 2026 files its first statement by February 15, 2027.
- An LLC formed on October 15, 2026 skips February 15, 2027. Its first statement is due by February 15, 2028.
If you are forming a Michigan LLC this fall, that September 30 line is worth knowing. How to start an LLC covers the formation steps.
What it costs
LARA’s annual reports and annual statements page lists the fees.
| Entity | Due | Fee |
|---|---|---|
| LLC | February 15 | $25 |
| Professional LLC (PLLC) | February 15 | $75, plus a $50 penalty if received after February 15 |
| Profit corporation | May 15 | $25, with a late penalty from $10 to $50 by month |
| Nonprofit corporation | October 1 | $20 |
The page lists no late penalty for a standard LLC. That does not make late filing free. Missed statements pile up, as the next section shows.
How to file it
You file online in the MiBusiness Registry Portal. LARA’s page says online filing for LLCs begins October 15, so the statement due February 15, 2027 can already be filed. The steps from LARA’s FAQ:
- Sign in to the portal with a MiLogin for Business account.
- Search for your LLC and choose File Online.
- Answer the two questions and choose File Annual Report/Statement.
- Check the resident agent name, the registered office, and the agent email. Change them if they are wrong.
- Pay the fee.
LARA lists a help line at 517-241-6470, Monday through Friday, 8 a.m. to 5 p.m., and the email LARA-MAB-Correspondence@michigan.gov.
Add the resident agent email
The statement has an optional line for the resident agent’s email. LARA’s page says reminders go to that email 90 days before the due date. So do notices that a company is about to lose good standing. If the line is blank, or holds an old address, you may get no warning. If you use a commercial agent, ask which email it puts on that line and whether it forwards those notices to you.
Changing the agent on the statement
LARA’s page says the annual filing is the time to update the registered office and the resident agent’s name and address. The rules for that line do not relax because it is on the statement:
- The resident agent address must be in Michigan.
- A business cannot be its own resident agent.
If the change cannot wait until February, there is a separate $5 form, CSCL/CD-520. Resident agent vs registered agent walks through that form, and How to change a registered agent covers the order of steps in any state.
If you miss it
LARA’s page says that failing to file leads to dissolution, revocation, or a not-in-good-standing status after a two-year grace period. It names what you can lose along the way: rights to the business name and any assumed names, plus penalty fees to get back into good standing.
LARA’s FAQ explains the fix for an LLC that is not in good standing because of missed annual filings. File a Certificate of Restoration of Good Standing, form CSCL/CD-770_771, with every past-due statement and fee. For a standard LLC, that is:
- a $50 restoration fee,
- $25 for each missing year, and
- if you file on or after February 15, the current year’s $25 statement too.
The FAQ adds one more catch. An LLC that is not in good standing must restore before it can file a certificate of dissolution. So even closing the company means paying the back statements first. How to dissolve an LLC covers the rest of that process.
A good standing status also matters when a bank or another state asks for proof the LLC is active. What is a certificate of good standing explains that paper. LARA’s FAQ says you order it in the same portal and it is sent to the email on your MiLogin account.
How Michigan compares
Each state sets its own yearly filing. Indiana and Washington run their own yearly filings on different clocks. LLC annual report: what it is, when it is due lists due dates and fees for other states, so an LLC registered in two states can put both on the calendar.
Next step
Before you file, look up your LLC in the portal and read the resident agent line as it stands. If that name is a person who moved, or a company you stopped paying, fix it on this statement. The Michigan scorecard compares the commercial resident agents by price after year 1 and how each says it forwards court papers.
