Louisiana’s notarized Initial Report is how the agent is named — the $30 anniversary report is still not that job

What Louisiana actually requires

La. R.S. 12:1308 is how a Louisiana LLC keeps the agent today. Each limited liability company shall continuously maintain a registered office in this state and at least one registered agent. The agent shall be a citizen of this state who resides in this state; a partnership or professional law corporation authorized to practice law in this state; or a domestic corporation, domestic limited liability company, foreign corporation, or foreign limited liability company authorized to transact business in this state, which is authorized by its articles or certificate to act as the agent of a limited liability company for service of process and which has on file with the secretary of state a certificate setting forth the name of at least two individuals at its address in this state, each of whom is authorized to receive any process served upon it as such agent. That is the live sentence. We print it. We do not invent a shorter one. Legal process and other notices or demands may be served on the limited liability company by service upon this agent and, if the agent is a partnership, upon any partner. The location and post office address of the original registered office and the full name and post office address of the original registered agent shall be stated in the initial report as provided in La. R.S. 12:1305. ZenBusiness’s Louisiana page, last updated August 26, 2025, cites the same section and then says a business must name at least one individual to act as the agent and file a certificate affirming this. La. R.S. 12:1305 is what the articles and the Initial Report must say. The articles shall set forth the name of the limited liability company, the purposes or that its purpose is any lawful activity, and whether the company is a low-profit limited liability company. The articles do not have to name the registered agent. The Initial Report does. It shall be signed by each person who signed the articles, or by that person’s agent, and shall set forth the location and municipal address, if any, not a post office box only, of the registered office; the full name and municipal address, if any, not a post office box only, of each registered agent; a notarized affidavit of acknowledgment and acceptance signed by each registered agent; and the names and municipal addresses, not a post office box only, of the first managers or members if they have been selected. If those people are not named yet, a supplementary report shall be filed as soon as they have been selected. We print those three numbers. We do not invent a fourth number that makes them agree. Leaving the Initial Report unsigned, or leaving the notarized acceptance off, is a rejected filing. That first paper is still not the registered-agent job.

The live File Business Documents page, retrieved September 19, 2026, is the office sentence for the same street and the same affidavit. The document must be notarized when required by statute. It must contain municipal street addresses, not post office box numbers (mailing purpose only). It must be accompanied by an affidavit of registered agent if a registered agent is being appointed. It must contain the notary number and printed or typed names of the notary and witnesses. The live Business Filings FAQ says all business registrations require, by law, an agent with a physical address in Louisiana. An agent, or as it is sometimes called, registered agent, can be almost anyone of legal age and a legal resident of Louisiana. An agent is someone designated to receive legal documents served on the business. An agent has an obligation to forward those legal documents to the business. The agent’s name and address are publicly available and are displayed on the Secretary of State’s website. Those office sentences match the municipal-address rule. We print them. We do not invent a shorter one. A P.O. Box only is not that street.

An older Secretary of State HTML page, Louisiana LLC Filing Instructions, is the URL some guides still cite for online formation. We opened it on September 19, 2026. It returned 404. LegalZoom’s Louisiana article, updated May 15, 2026, says the Articles of Organization include a dedicated agent-acceptance section where the agent signs before the formation papers go to the state. Bizee’s Louisiana page says the agent must sign the designation in the Articles. The live articles statute we opened does not require the agent line on the articles. The Initial Report does. We print those vendor sentences and the statute. We do not invent a third form title that makes them agree.

La. R.S. 12:1308(C)(1) is how the company changes the line after organization. A limited liability company may change its registered agent or registered office by filing a statement signed by a manager, if management is vested in one or more managers, or by at least one member, if management is reserved to the members. Any change of registered agent shall be accompanied by a notarized affidavit of acknowledgment and acceptance signed by the new registered agent. The change is effective when the secretary of state accepts the statement for record. LegalZoom’s Louisiana article prints the same $25 and a statutory convenience fee for online credit-card payments. The live fee table’s special-handling row prices that card fee at $5. Those $25 rows match. The form-983 PDF URLs we tried returned 404 the same day. We print the live table row. We do not invent a PDF from a missing link. Putting a new name on a $25 paper is still not the registered-agent job. The job is taking court papers at the Louisiana street.

Whether the $30 anniversary report can change the agent is a live conflict. We print the sources. We do not invent a winner. The live FAQ, retrieved the same day, says you may add or delete a registered agent by filing the Change of Registered Office or Agent form, and that if your annual report filing is due or past due, you may make these changes on your annual report filing. ZenBusiness’s Louisiana page says if the annual report is coming due, you can make the change while you file that report, that the Secretary of State will send an email to the new agent to verify consent, and that changing the agent on the annual report will not cost anything extra beyond the $30 annual-report filing fee. LegalZoom’s Louisiana article says, for an online change through geauxBIZ, the Secretary of State sends the new agent an email to confirm consent electronically, and that for paper filings the agent’s signature must be notarized. La. R.S. 12:1308(C)(1) still says any change of registered agent shall be accompanied by a notarized affidavit of acknowledgment and acceptance signed by the new registered agent. We print those four sources. We do not invent a fifth path that makes them agree.

La. R.S. 12:1308(E) is how an agent steps down. A registered agent may resign, but the resignation shall be effective only by providing written notice to the limited liability company and the secretary of state. If the registered agent resigns, or for any other reason the limited liability company ceases to maintain a registered agent, a successor agent shall be appointed, and the successor’s address shall be filed, within thirty days of the resignation or other event which terminated the tenure of the former agent. Upon compliance, the successor agent shall be vested with the powers of the agent succeeded. La. R.S. 12:1308(F) is the vacant-office sentence. The designation of a registered office remains effective until a change is filed. If no statement of change is filed within thirty days after the registered office has been vacated, the office of the secretary of state may thereafter be treated as the registered office by any person other than the limited liability company itself. The registered office shall be considered the domicile of the limited liability company for all purposes. ZenBusiness’s Louisiana page says the agent remains on file until the 30th day after resignation unless a replacement is appointed sooner, that the state does not provide a pre-set resignation form, and that the paper costs $25. La. R.S. 12:1308.1 is the yearly Secretary of State paper this page will not confuse with the agent job. On or before the anniversary date of organization of each limited liability company, a manager, if management is vested in one or more managers, or a member, if management is reserved to the members, shall file an annual report each year stating the municipal address, which shall not be a post office box only, of its registered office; the name and municipal address, which shall not be a post office box only, of each of its registered agents; and the name and municipal address, which shall not be a post office box only, of each manager or each member. The live fee table prices Domestic LLC Annual Reports at $30. The live FAQ says the yearly filing is a requirement even if there are no changes, that you may print the form from the Commercial Database up to four weeks before the due date, and that you may also file online. geauxBIZ is the live portal. Its own FAQ, retrieved the same day, says you sign in, choose “File an amendment, such as an annual report,” enter the charter number, and click File Annual Report. LegalZoom’s Louisiana article names geauxbiz.com. The live portal we opened is geauxbiz.sos.la.gov. We print both hosts. We do not invent a third door. Bizee’s Louisiana page says an annual report is required and is due by the anniversary of formation. That vendor sentence matches the statute we opened. Putting a name on a $30 anniversary paper is still not the registered-agent job. The job is taking court papers at the Louisiana street.

The live FAQ is also the missed-report clock. If you have received a Notice of Intent to Revoke, you must submit a completed annual report within 30 days of the date of the notice, or within 60 days if it is a foreign corporation or LLC. Failure to do so will result in the revocation of your charter. If the charter is revoked, a reinstatement form will be required and filing fees will be significantly higher than that of an annual report. La. R.S. 12:1-501 is the corporation pair. Each corporation shall continuously maintain a registered office in this state and a registered agent. That agent may be an individual who resides in this state, or a domestic or foreign corporation or other eligible entity that continuously maintains an office here, files a statement naming at least two individuals at its address in this state who may receive process, and is authorized by its organizational documents to act as the agent. La. R.S. 12:1-202 is how a corporation names that agent on the articles. The articles shall set forth the name and street address, not a post office box only, of its initial registered agent. A written consent to appointment, signed by the initial registered agent, shall be attached or appended to the articles. LegalZoom’s Louisiana article, updated May 15, 2026, cites La. R.S. 12:1-501 as the rule that every LLC, corporation, nonprofit, and foreign entity must keep a registered agent. The live LLC statute we opened is La. R.S. 12:1308. We print what the company’s official registered-agent page said on the retrieval date. No company publishes a different Louisiana registered-agent price from the national card, except where we note a Louisiana-page sentence. We do not invent a renewal.

• Northwest Registered Agent: official page: “$125 Per Year.” Same price in year two on the national card. Five or more states is $100 a year per state. First year free only if you form through them; we do not treat that bundle as the standalone price. The Louisiana page says they accept and scan documents on site at their registered office in Lafayette, LA. A change of registered agent is a separate Secretary of State filing unless you treat the $30 anniversary annual report as a change path. Live pages disagree about that path. We cite the $25 change row on the live table, LegalZoom’s $25 change, ZenBusiness’s annual-report path, the live FAQ that says you may make the change on a due or past-due annual report, and La. R.S. 12:1308(C)(1)’s notarized-affidavit sentence. The yearly paper can list the agent. It is still not the registered-agent job.

Who publishes a Louisiana street

A city is not a registered office. We print only the streets the companies publish for registered-agent use. We do not invent the rest. Confirm the live name and street on the Louisiana Commercial Search before you file. Headquarters is not the registered office. The Secretary of State’s Baton Rouge contacts are not vendor suites.

• Northwest. The Louisiana product page says they accept and scan documents on site at their registered office in Lafayette, LA. The office-locations page lists Lafayette, LA 70508 Lafayette Parish, and says they leave the street off this list. No street is published. The two city lines match on Lafayette. We have not been to a Lafayette office. Northwest also sells extra mail scans from that location. Those extras are a different product.
• Bizee. Claims owned offices in all 50 states. The official registered-agent page names no Louisiana street. The live Louisiana product page names no Louisiana street. The hyphenated Louisiana URL we tried returned 404 on September 19, 2026. The contact page lists 17350 State Highway 249, Suite 220, Houston, TX 77064 as headquarters. That address is not a Louisiana registered-agent street.
• LegalZoom. The official registered-agent overview does not publish a Louisiana street. The live Louisiana article names no LegalZoom city or street. The second Louisiana article URL we tried returned 404 the same day. We do not invent a suite. We do not treat a LegalZoom virtual-mail street as the registered-agent street.
• ZenBusiness. The Louisiana registered-agent page publishes no ZenBusiness street or city. It prints Secretary of State contacts at 8585 Archives Ave., Baton Rouge, LA 70809 and P.O. If you are your own registered agent, the street on the public record is often your home. If you hire a commercial registered agent, the agent line is that organization’s name. If that organization is an entity agent, La. R.S. 12:1308 also wants a certificate naming at least two individuals at its Louisiana address. Northwest names Lafayette on the product page and Lafayette, LA 70508 Lafayette Parish on the office list, and no street on either. LegalZoom publishes no Louisiana city. In-state office, the notarized Initial Report, and the $30 anniversary paper

Louisiana wants a registered office in this state and at least one registered agent. The first paper that names that street is the Initial Report. The report needs a municipal address, not a P.O. Box only, and a notarized affidavit of acknowledgment and acceptance signed by each agent. An entity agent files a certificate naming at least two individuals at its Louisiana address. Change the agent after organization on a $25 form #983 paper. That change still needs a notarized affidavit under La. R.S. 12:1308(C)(1). The live FAQ and ZenBusiness also describe an annual-report change path. We print both. We do not invent a winner. Resignation needs written notice to the company and the Secretary of State. A successor shall be named within thirty days. If the registered office is vacated and no change is filed in thirty days, the office of the Secretary of State may be treated as the registered office by persons other than the LLC. The annual report is $30 on the live table, due on or before the anniversary. Stay past a Notice of Intent to Revoke and the charter can be revoked. The live table will move on October 1, 2026. Home-address privacy

A commercial registered agent is how most Louisiana owners keep a home off the agent line. The Secretary of State still publishes whatever other addresses you put on a formation filing or an annual report. Privacy of the agent line is not privacy of every field. A Louisiana LLC must keep an agent. It cannot leave that line blank. Confirm the live line on the Commercial Search.
