Iowa’s $30 odd-year biennial report still lists the agent — that paper is still not the registered-agent job

What Iowa actually requires

Iowa Code § 489.115 is how an Iowa LLC names the agent today. Each limited liability company and each registered foreign limited liability company shall designate and maintain a registered agent in this state. The designation of a registered agent is an affirmation of fact by the limited liability company or registered foreign limited liability company that the agent has consented to serve. A registered agent for a limited liability company or registered foreign limited liability company must have a place of business in this state. That is the live sentence. We print it. We do not invent a shorter one. The only duties under this chapter of a registered agent that has complied are to forward process, notice, or demand to the address most recently supplied by the company; to give the resignation notice required by Iowa Code § 489.117; and to keep the agent line current on the certificate of organization or foreign registration statement. Iowa does not post Florida-style 10–noon / 2–4 windows. We do not treat a company 9-to-5 line as Iowa Code § 489.115.

The older LLC registered-office and registered-agent section, Iowa Code § 489.113 (2023), is 2023 Code. That older section asked for a registered office and a registered agent whose business office was identical with that office. The live 2026 section we opened is Iowa Code § 489.115. It asks for a registered agent with a place of business in this state. ZenBusiness’s Iowa page, last updated September 17, 2026, still says Iowa Code requires a registered agent and a registered office, and that an individual agent’s business office must be identical to the registered office. Iowa Code § 489.201 is what the certificate of organization must say. It must state the name of the limited liability company, the street and mailing addresses of the principal office, and the name and street and mailing addresses in this state of the registered agent. Leaving the agent unlisted is a rejected filing. The live fee table prices Certificate of Organization at $50 and cites Iowa Code 489.201. Iowa Code § 489.122 prices the same paper at $50. Those two $50 numbers match. Bizee’s Iowa page names a $50 filing fee. LegalZoom’s Iowa article prints the same $50. Those four numbers match. LegalZoom’s Iowa article also calls that first paper the articles of organization. The live statute we opened is a certificate of organization. We print both titles. We do not invent a third form name that makes them agree. That certificate is a first paper. It is not the registered-agent job.

The live certificate and the live biennial report are the street rule. Both ask for a street address of the registered agent. Northwest’s Iowa page says Iowa requires a physical address within the state and that P.O. Boxes are not allowed. Bizee’s Iowa page says a physical street address in Iowa — P.O. boxes aren't accepted. Those vendor sentences match the street line we opened. We print them. We do not invent a shorter one. A P.O. Iowa Code § 489.116 is how the company changes the line after organization. A limited liability company or registered foreign limited liability company may change its registered agent or the address of its registered agent by delivering to the secretary of state for filing a statement of change. The statement of change designating a new registered agent is an affirmation of fact that the agent has consented to serve. The members or managers need not approve that paper. As an alternative, the company may amend its certificate of organization. The live fee table prices Statement of Change at no fee for Chapters 489, 490, 499, 501A, and 504. Iowa Code § 489.122 prices Statement of change of registered agent or address of the registered agent or both at no fee. Those two no-fee rows match. The same fee page prices a limited-partnership Statement of Change – Registered Office and/or Registered Agent at $20 under Iowa Code 488.115. That $20 row is not the LLC row. Northwest’s Iowa page says there is no filing fee for LLCs or corporations. ZenBusiness’s Iowa page, last updated September 17, 2026, prints the same no-fee sentence. LegalZoom’s Iowa article, updated April 30, 2026, says there is no fee to change your registered agent. Bizee’s Iowa page says the state charges a fee for this filing. We print the live no-fee table, the statute, those three vendor no-fee sentences, and Bizee’s fee sentence. We do not invent a sixth number that makes them agree. Putting a new name on a no-fee paper is still not the registered-agent job. The job is taking court papers at the Iowa place of business.

The live How do I change my registered agent? walkthrough is the office path. You log into Fast Track Filing, open Business Filings, and choose Change of Registered Agent. The form asks for the name, street address, and email address of the new registered agent. The same walkthrough says that if you also need to change your registered office, you can do so through this form. That walkthrough still says registered office. Iowa Code § 489.117 is how an agent steps down. A registered agent may resign by delivering a statement of resignation to the secretary of state. The statement takes effect on the earlier of the thirty-first day after the day it is filed, or the designation of a new registered agent. The agent promptly shall furnish the company notice in a record of the date the statement was filed. The live fee table prices Resignation of Registered Agent at no fee for Chapters 489, 490, and 504. Those vendor fee sentences on ZenBusiness match the table we opened. ZenBusiness’s Iowa page says the resignation takes effect at 12:01 a.m. on the 31st day after the filing date, or when the business designates a new registered agent, whichever comes first. We print the statute’s thirty-first-day sentence and ZenBusiness’s 12:01 a.m. pair. We do not invent a third clock that makes them agree.

Iowa Code § 489.119 is how court papers are handed over. A limited liability company or registered foreign limited liability company may be served with any process, notice, or demand required or permitted by law by serving its registered agent. If the company ceases to have a registered agent, or if its registered agent cannot with reasonable diligence be served, service may be made by registered or certified mail, or by similar commercial delivery, to the principal office shown on the most recent biennial report. Service of process, notice, or demand on a registered agent must be in a written record. That is the statute path. We print it. We do not invent a shorter one.

Iowa Code § 489.212 is the yearly Secretary of State paper this page will not confuse with the agent job. A limited liability company or a foreign limited liability company registered to do business in this state shall deliver a biennial report that states the name of the company; the name of the registered agent and street address of the registered agent, and the consent of any new registered agent; and the street address of its principal office. The first biennial report must be delivered between January 1 and April 1 of the first odd-numbered year following the calendar year in which the company was formed. A subsequent biennial report must be delivered between January 1 and April 1 of each following odd-numbered calendar year. The secretary of state may provide for the change of registered agent or address of the registered agent on that form. The live fee table says LLCs, LLPs, and nonprofit corporations file every odd-numbered year beginning January 1st and due by April 1st, and that the fee is $30 by online filing or $45 by paper. Nonprofit corporations do not have a filing fee. The live Business FAQ, retrieved the same day, says biennial reports are to be filed by March 31 every odd or even year depending on the type of entity, and that LLCs file in odd-numbered years. The live How do I file a Biennial Report? walkthrough prints $30 online and $45 by mail or in person. We print the statute’s January 1 to April 1 window, the fee table’s April 1 due date, the FAQ’s March 31 sentence, and the $30 / $45 pair. We do not invent a fifth deadline that makes them agree. Bizee’s Iowa page says, under Iowa LLC quick facts, “Annual report due: April 1 (biennial).” That is Bizee copy. Iowa’s live paper is a biennial report. It is not an annual report. Whether that $30 paper can change the agent is written on the statute. Iowa Code § 489.212 says the secretary of state may provide for the change of registered agent or address of the registered agent on the biennial-report form, provided that the form contains the information required in Iowa Code § 489.116. ZenBusiness’s Iowa page says you can make the change while filing your Iowa biennial report. We print those sources. Putting a name on a $30 odd-year paper is still not the registered-agent job. The job is taking court papers at the Iowa place of business.

Iowa Code § 489.708 is the missing-report and missing-agent clock. The secretary of state may start an administrative dissolution if the company does not deliver its biennial report within sixty days after it is due; is without a registered agent, or the registered agent does not have a place of business in this state, for sixty days or more; or has not notified the secretary of state within sixty days that its registered agent or the place of business of the registered agent has been changed, or that its registered agent has resigned. Iowa Code § 489.709 then gives the company sixty days after notice to cure. The live fee table prices Application for Reinstatement at $5. The live FAQ says if your entity went inactive due to failure to file a biennial report, you may be entitled to a reinstatement. Stay without an agent for 60 days, or miss the report by 60 days, and that is the path we opened.

The public lookup sits at sos.iowa.gov. Confirm the live line on the Iowa Business Entities Search before you treat a marketing city as current. Headquarters is not the registered office. The Secretary of State’s Des Moines contacts are not a vendor suite.

We print what the company’s official registered-agent page said on the retrieval date. No company publishes a different Iowa registered-agent price from the national card, except where we note an Iowa-page sentence. We do not invent a renewal.

• Northwest Registered Agent: official page: “$125 Per Year.” Same price in year two on the national card. Five or more states is $100 a year per state. Retrieved September 19, 2026 from northwestregisteredagent.com/registered-agent and the Iowa product page. First year free only if you form through them; we do not treat that bundle as the standalone price. The Iowa page says they scan all documents locally from their Iowa office in Johnston. The same page also sells five free scans of regular business mail a year, with extra scans at $15 a document. Those extras are a different product. A change of registered agent is a separate Secretary of State filing unless you treat the $30 odd-year biennial report as a change path. The live statute allows that path when the form has the information required in Iowa Code § 489.116. We cite the no-fee change row on the live table, Northwest’s no-fee sentence, ZenBusiness’s no-fee sentence, LegalZoom’s no-fee sentence, Bizee’s “charges a fee” sentence, and the $30 / $45 biennial report. The yearly paper can list the agent. It is still not the registered-agent job.

Who publishes an Iowa street

A city is not a registered office. We print only the streets the companies publish for registered-agent use. We do not invent the rest. Confirm the live name and street on the Iowa Business Entities Search before you file. Headquarters is not the registered office. The Secretary of State’s Des Moines contacts are not vendor suites.

• Northwest. The Iowa product page says they scan all documents locally from their Iowa office in Johnston. The office-locations page lists Johnston, IA 50131 Polk County, and says they leave the street off this list. No street is published. The two city lines match on Johnston. We have not been to a Johnston office. Northwest also sells extra mail scans from that location. Those extras are a different product.
• Bizee. Claims owned offices in all 50 states. The official registered-agent page names no Iowa street. The live Iowa product page names no Iowa street. The hyphenated Iowa URL we tried returned 404 on September 19, 2026. The contact page lists 17350 State Highway 249, Suite 220, Houston, TX 77064 as headquarters. That address is not an Iowa registered-agent street.
• LegalZoom. The official registered-agent overview does not publish an Iowa street. The live Iowa article names no LegalZoom city or street. The second Iowa article URL we tried returned 404 the same day. We do not invent a suite. We do not treat a LegalZoom virtual-mail street as the registered-agent street.
• ZenBusiness. The Iowa registered-agent page publishes no ZenBusiness street or city. It prints Secretary of State contacts at 321 E. 12th St., Des Moines, IA 50319. Those lines are office contacts. They are not ZenBusiness. The live fee table we retrieved uses the same 321 E. 12th Street suite. We do not treat that suite as their office.

If you are your own registered agent, the street on the public record is often your home. If you hire a commercial registered agent, the agent line is that organization’s name. Northwest names Johnston on the product page and Johnston, IA 50131 Polk County on the office list, and no street on either. LegalZoom publishes no Iowa city. Bizee publishes no Iowa street. In-state office, the no-fee change, and the $30 odd-year paper

Iowa wants a registered agent with a place of business in this state. The certificate of organization must name the agent and that agent’s street and mailing addresses in this state. A P.O. Box is not that street. Naming the agent is an affirmation that the agent consented. Iowa does not file a Florida-style written acceptance as its own paper on the LLC record we retrieved. Change the agent on a no-fee statement. The live limited-partnership change row is $20. That $20 row is not the LLC row. The biennial report is $30 online or $45 paper on the live table, due between January 1 and April 1 of each odd-numbered year. The live FAQ says March 31. Home-address privacy

A commercial registered agent is how most Iowa owners keep a home off the agent line. The Secretary of State still publishes whatever other addresses you put on a formation filing or a biennial report. Privacy of the agent line is not privacy of every field. An Iowa LLC must keep an agent. It cannot leave that line blank. Confirm the live line on the Business Entities Search.
