Wisconsin’s DFI street cannot be a P.O. Box, a mailbox service, or a phone-answering line — and the annual report can change that agent

What Wisconsin actually requires

Wis. Stat. § 183.0115 is the Wisconsin office-and-agent statute. Each limited liability company and each registered foreign limited liability company shall designate and maintain a registered agent and registered office in this state. The designation of a registered agent is an affirmation of fact that the agent has consented to serve. Wisconsin does not file a Florida-style written acceptance on the LLC record we retrieved. The affirmation is the consent. The registered office may, but need not, be the same as any of the company’s places of business or activity. The registered office must be an actual physical location with a street address and not solely a post office box, mailbox service, or telephone answering service. That is the street rule. We print it. We do not invent a shorter one.

The same section is who may serve. Except as provided in s. 165.68 (5) (f) 1., the registered agent shall be a natural person who resides in this state and whose business office is identical with the registered office; a domestic corporation, nonstock corporation, limited liability company, limited partnership, or limited liability partnership whose business office is identical with the registered office; or a foreign corporation, nonstock corporation, limited liability company, limited partnership, or registered limited liability partnership if that entity is authorized to transact business in this state and the entity’s business office is identical with the registered office. A registered agent must have an e-mail address and a place of business or activity in this state. The only duties under this chapter, once the agent has complied, are to forward process, notice, or demand served on or received by the agent; to give the resignation notice; and to keep the agent line current. That is the job. It is not a mailbox.

Wis. Stat. § 183.0102 is the dictionary for this chapter. Department means the department of financial institutions. Registered agent means an agent authorized to receive service of any process, notice, or demand required or permitted by law to be served on the company. The short title is the Wisconsin Uniform Limited Liability Company Law. Northwest’s Wisconsin page talks about the Wisconsin Secretary of State. ZenBusiness prints DFI’s Madison street under a heading that says Wisconsin Secretary of State. Those are vendor sentences. The live office is DFI. We print the statute. We do not treat a vendor “Secretary of State” as § 183.0102.

Wis. Stat. § 183.0201 is what the articles must say. Articles of organization must state the name, the street and mailing addresses of the principal office, the name and street and mailing and e-mail addresses of the initial registered agent, and the name and address of each organizer. Leaving the agent off is a defect. Wis. Stat. § 183.0122 prices those articles at $130. The same section lets DFI charge a larger fee for paper. The live DFI fee table lists Limited Liability Company organization at $170.00 and organization via online filing at $130.00. The online formation directions we retrieved print $130.00. Form 502’s face prints $170.00. We print the statute and the table. We do not invent a third number that makes them agree. The Articles of Organization form repeats the street ban and adds a second sentence: the entity may not name itself as its own registered agent.

Wis. Stat. § 180.0501 is the corporation pair. Each corporation shall designate and maintain a registered office and registered agent in this state. The designation is an affirmation of consent. The registered office must be an actual physical location with a street address and not solely a post office box, mailbox service, or telephone answering service. The agent must have an e-mail address and a place of business or activity in this state. Northwest’s Wisconsin page cites § 180.0501 for the LLC job. That is the corporation statute. The LLC statute is § 183.0115. We print both. We do not treat the corporation cite as the LLC rule.

Wis. Stat. § 183.0116 is how the company changes the line. The company may change its registered agent or registered office as provided in s. 183.0212 (5) or by delivering a statement of change. Naming a new agent is again an affirmation of consent. Members or managers need not approve that filing. The company may instead amend its articles. Wis. Stat. § 183.0122 prices the statement of change at $10. The live DFI fee table lists Statement of Change of Registered Agent/Office at $25.00 and Statement of Change Online Filing at $10.00. Form 13’s face prints $25.00. Optional expedited service is another $100.00. We print the statute, the table, and the form. We do not invent a fourth number that makes those jobs the same. Wis. Stat. § 183.0118 is how the agent changes its own name, e-mail, or street. The agent must notify the company in writing and tell DFI that the company has been notified.

Wis. Stat. § 183.0117 is how an agent steps down. The agent files a statement of resignation. The resignation is effective on the earlier of sixty days after DFI receives the statement, or the date a successor’s appointment is effective. That is a 60-day clock. It is not Minnesota’s 30-day clock. It is not Tennessee’s same-day clock. The statute prices that statement at $10. The live DFI fee table lists Resignation of Registered Agent at $10.00. Those two numbers match. The agent may resign whether or not the company is in good standing.

Wis. Stat. § 183.0212 is the yearly DFI paper this page will not confuse with the agent job. A limited liability company or registered foreign limited liability company shall deliver an annual report that states the name of the company, the street address of its registered agent in this state and the name and e-mail address of its registered agent at that office, the street address of its principal office, and at least one member or one manager. A domestic LLC delivers that report each year following the calendar year in which the articles became effective, during the calendar year quarter in which the anniversary date occurs. A foreign LLC delivers it during the first calendar quarter of each year following the year it registered. The DFI FAQ prints the same due-date table: a domestic report is due at the end of that anniversary quarter; a foreign report is due March 31. If an annual report contains a registered office or registered agent which differs from the information shown in the records of the department immediately before the report becomes effective, the differing information is considered a statement of change under § 183.0116. That is subsection (5). Wisconsin’s annual report can update the agent line when the filed line differs. It is not Massachusetts. Massachusetts’s $500 report cannot change the resident agent. The DFI FAQ says the same thing in office copy: an entity may change its registered agent, the agent’s email address, or the registered office by noting the change on its annual report, or by separately filing a Statement of Change or Amendment. That report can change the agent line. It is still not the registered-agent job. The job is taking court papers at the Wisconsin street.

Wis. Stat. § 183.0122 prices a domestic LLC annual report at $25 and a foreign LLC annual report at $65. The live DFI fee table lists a domestic LLC annual report at $40.00 and an annual report via online filing at $25.00. Form 5 instructions print $25.00 per year for a domestic LLC and $80.00 for a foreign LLC. Form 5’s face adds a $15.00 surcharge to file that report on paper. Fifteen plus twenty-five is forty. Fifteen plus sixty-five is eighty. We print the statute, the table, and the form. We do not invent a winner. ZenBusiness’s Wisconsin page, last updated August 6, 2026, says changing the agent on the annual report costs $40. That is ZenBusiness copy. The live domestic online report we retrieved is $25. The $40 row is the paper annual report, or the $40 articles-of-amendment row. We do not treat those three jobs as one number.

Wis. Stat. § 183.0708 is what happens if the report, or the agent, is missing. DFI may start an administrative dissolution if the company does not have its annual report on file within one year after it is due, if the company is without a registered agent in this state for at least one year, or if the company does not notify DFI within one year that its agent or office changed or that the agent resigned. The notice goes to the registered agent. The company has 60 days after that notice takes effect to correct the ground or show it does not exist. Miss that clock and DFI may dissolve the company. The administrative dissolution does not terminate the authority of the registered agent. Wis. Stat. § 183.0709 is the way back: apply, cure each ground, and pay the fees and penalties owed. We do not invent a reinstatement dollar the fee table did not print as a standalone row.

Wis. Stat. § 183.0119 is how papers are handed over. A limited liability company may be served by serving its registered agent. DFI may serve any written notice authorized under this chapter by e-mailing it to the registered agent’s e-mail address on file. If the company has no agent, or the agent cannot with reasonable diligence be served, service may be by registered or certified mail, or a similar commercial delivery service, to the principal office on DFI’s record. Service of process, notice, or demand on a registered agent must be in a written record. Those paths are how court papers move. They are not the $25 annual report.

The Corporate Records Search sits on apps.dfi.wi.gov. Paper filings mail to State of WI-Dept. of Financial Institutions, Box 93348, Milwaukee WI 53293-0348. Express or priority mail, and the in-person counter, go to 4822 Madison Yards Way, 4th Fl., North Tower, Madison WI 53705. DFI’s contact page prints office hours Monday through Friday, 7:45 a.m. to 4:30 p.m. Those hours are DFI’s hours. They are not a registered-office clock. Wisconsin does not post Florida-style 10–noon / 2–4 windows. We do not treat a company 9-to-5 line as Wis. Stat. § 183.0115. Wisconsin does not run a Nevada-style ten-company commercial-agent register. A commercial registered agent here is just a company whose Wisconsin office matches the registered office.

Confirm the live agent, email, and street on the Wisconsin Corporate Records Search before you treat a marketing city as current. Headquarters is not the registered office. The DFI desk in Madison is not a vendor suite. That search returned a live lookup form on retrieval. It lists the registered agent and the registered office address of record. It does not list domestic LLC member names.

We print what the company’s official registered-agent page said on the retrieval date. No company publishes a different Wisconsin registered-agent price from the national card, except where we note a Wisconsin-page renewal line. We do not invent a renewal.

• Northwest Registered Agent: official page: “$125 Per Year.” Same price in year two on the national card. Five or more states is $100 a year per state. The same page correctly prints a $10 resignation and points a name search at the DFI website.

The same national page says they currently do not offer registered-agent service to PLLCs or nonprofits. That is their national exclusion, not a Wisconsin statute. A change of registered agent or office is a separate DFI filing unless you put the new line on the annual report. We cite Wis. Stat. § 183.0116, Wis. Stat. § 183.0212 (5), the $10 online / $25 paper change rows, and the $25 online domestic report. The $25 report can change the line. It is still not the registered-agent job.

Who publishes a Wisconsin street

A city is not a registered office. We print only the streets the companies publish for registered-agent use. We do not invent the rest. Confirm the live name and street on the Wisconsin Corporate Records Search before you file. Headquarters is not the registered office. DFI’s Madison contacts are not vendor suites.

• Northwest. The Wisconsin product page says they accept and scan documents on-site at their registered office in Appleton, WI. The office-locations page lists Appleton, WI 54913, Outagamie County, and says they leave the street off this list. No street is published. The two city lines match. Those city, ZIP, and county lines are vendor-claimed. We have not been to an Appleton office.
• Bizee. Claims owned offices in all 50 states. The official registered-agent page names no Wisconsin street. The live Wisconsin product page names no Wisconsin street. The hyphenated Wisconsin URL we tried returned 404 on September 14, 2026. The contact page lists 17350 State Highway 249, Suite 220, Houston, TX 77064 as headquarters. That address is not a Wisconsin registered-agent street.
• LegalZoom. The official registered-agent overview does not publish a Wisconsin street. Both Wisconsin article URLs we tried returned 404 the same day. We do not invent a suite. We do not treat a LegalZoom virtual-mail street as the registered-agent street.
• ZenBusiness. The Wisconsin registered-agent page publishes no ZenBusiness street or city. It prints a contact at 4822 Madison Yards Way, North Tower, Madison, WI 53705, telephone (608) 261-9555, office hours Monday–Friday 7:45 a.m. to 4:30 p.m., under a heading that says Wisconsin Secretary of State. That is a published street. It is the Department of Financial Institutions, not ZenBusiness, and not the Secretary of State. The DFI File Online page lists the same building. We do not treat that Madison line as their suite.

If you are your own registered agent, the street on the public record is often your home. If you hire a commercial registered agent, the agent line is that organization’s name. Northwest names Appleton, ZIP 54913, Outagamie County, on both the product page and the office list, and no street on either. LegalZoom published no live Wisconsin article on the two URLs we tried. Bizee publishes no Wisconsin street. ZenBusiness publishes DFI’s Madison Yards Way contacts and labels them Secretary of State. We label every published city vendor-claimed. In-state office, the three-way street ban, and the annual report that can change the agent

Wisconsin wants a registered office that is an actual physical location in this state. The agent’s business office and that registered office must be the same street. A P.O. Box, a mailbox service, or a telephone answering service is not that street. The agent must have an e-mail address. The LLC may not name itself as the agent. Change the agent on Form 13, $10 online or $25 paper, or put the new line on the annual report. The domestic online report is $25. It is due in the anniversary quarter, beginning the year after the articles take effect. If that report lists a different agent, it is a statement of change. Resignation ends on the earlier of the 60th day or a successor. Stay without an agent for a year, or miss the report for a year, and DFI may start a dissolution after a 60-day notice. Those filings are not the registered-agent job. Wisconsin does not post a Florida-style 10–noon / 2–4 clock, and it does not run a Nevada-style ten-company commercial-agent register. Northwest claims Appleton, ZIP 54913, Outagamie County. LegalZoom published no live Wisconsin article. ZenBusiness publishes 4822 Madison Yards Way — DFI. Bizee names no Wisconsin street. Service of process, not marketing mail

We grade scan-and-forward of service of process and official notices:

• Bizee: notifications by text and email; court papers mailed via FedEx with tracking; portal upload by employees. The Wisconsin page talks about a physical street during normal business hours. That is Bizee copy. Contact-page support hours are Monday–Friday 9 a.m. to 6 p.m. CST. Those are support hours, not registered-office hours.
• Northwest: “We scan every document you receive right where you receive it—in our office.” The Wisconsin page adds on-site scans at the Appleton office. Their mail-scanning extras are a different product. We do not grade those extras as a mailbox.
• LegalZoom: upload, email, and a postcard for urgent legal mail; they say they shred junk mail. Both Wisconsin article URLs we tried returned 404. Junk-mail shredding is not the job we score.
• ZenBusiness: scan and upload to a dashboard; email; overnight the original for urgent legal notices. Their own FAQ says you cannot use the agent address as your business address. Their national product currently excludes PLLCs and nonprofits; that is their exclusion, not a Wisconsin statute. Home-address privacy

A commercial registered agent is how most Wisconsin owners keep a home off the agent line. DFI still publishes whatever other addresses you put on a formation filing or an annual report. Privacy of the agent line is not privacy of every field. A Wisconsin LLC must name an agent. It cannot leave that line blank and it cannot name itself.
