Indiana lists commercial registered agents — a P.O. Box needs a rural route to count as the street

What Indiana actually requires

IC 23-0.5-1.5-36 is Indiana’s definition. A registered agent is an agent of an entity authorized to receive service of any process, notice, or demand required or permitted by law to be served on the entity. The term includes a commercial registered agent and a noncommercial registered agent. IC 23-0.5-1.5-4 says a commercial registered agent means a person listed under IC 23-0.5-4-4. That is a listing. It is not a count of ten companies. Nevada’s commercial bar is ten. Delaware’s commercial bar is more than 50. Indiana’s commercial agent is the person who filed the listing statement.

IC 23-1-17.3-4 is why this page still says resident agent. Effective August 1, 1987, each resident agent and each resident agent’s address existing on that date became the registered agent and the registered office required by P.L.149-1986. The live Chapter 4 filing uses registered agent. Leftover lines in older Title 23 chapters still say resident agent. We print both names. We do not treat the 1987 conversion as today’s form.

IC 23-0.5-4-1 is who must keep an agent. A domestic filing entity, a registered foreign entity, an agricultural cooperative formed under IC 15-12, and a business trust formed under IC 23-5-1 shall designate and maintain a registered agent in this state. IC 23-0.5-4-3 is who may serve. The agent must be an individual, a general partnership, a domestic filing entity, or a registered foreign entity. If the entity has a commercial registered agent, the filing names that commercial agent. If it does not, the filing names the individual or entity and the agent’s address. The filing must state the registered agent’s consent, or a representation that the registered agent has consented. That is not a Florida-style written acceptance filed as its own paper. Washington files the agent’s prior consent with the Secretary of State. Arizona waits on a signed acceptance. Indiana lets the filing say the agent consented, or that someone represents the agent consented.

The same section also wants a communications contact. Each entity registered under Indiana law shall give its registered agent, and update as needed, the name, business address, and business telephone number of an individual who is an officer, a director, an employee, or a designated agent of the entity and who is authorized to receive communications from the registered agent. The agent keeps that information. If the entity does not give it, the agent may resign. The Secretary of State may give a registered agent’s electronic mail address to the Indiana Supreme Court. An optional electronic-mail line on a noncommercial filing is only for electronic service in the manner the Indiana Supreme Court prescribes in the Indiana trial rules. We print that limit. IC 23-0.5-4-2 is the street rule this page is built on. If a provision of Chapter 4 other than the resignation-notice address requires that a record state an address, the record must state a street address in this state. Form 56367, the Statement of Change of Registered Agent, retrieved September 11, 2026 from a public copy of the official form, is the office’s own gloss on that street: “A P.O. Box is not acceptable unless accompanied by a Rural Route number.” The INBiz registration page, retrieved the same day, repeats the same split: the registered office must be a street address; a P.O. Box number is not sufficient unless accompanied by a rural route reference. The IN.gov registered-agent FAQ, updated March 1, 2023 and retrieved September 11, 2026, is shorter: Indiana law requires a registered agent and a registered office in Indiana; P.O. boxes are not acceptable. We print all three. We do not treat a bare P.O. Box as the street.

The Secretary of State’s own 2025 filing rule is sharper still. 75 IAC 8-2-4, filed May 19, 2025, says a filing that provides registered-agent information must comply with IC 23-0.5-4. The office may refuse a filing that provides multiple concurrent registered agents, or a filing that provides an entity serves as its own registered agent. The INBiz registration page says the same two points in plain language: your business cannot serve as its own registered agent, and you can only have one agent. Michigan also bans a company from serving as its own resident agent. Indiana put that refusal in an administrative rule in 2025.

IC 23-0.5-4-4 is the commercial listing. A person may become listed as a commercial registered agent by delivering a commercial registered agent listing statement. The statement says the person is in the business of serving as a commercial registered agent in this state, gives an Indiana place of business where process may be delivered, names any entity the agent represents or is known to represent, and gives an electronic mail address for electronic service only as the Indiana trial rules allow. State Form 56371, revised May 2024 and retrieved September 11, 2026, is that listing. The face of the form cites IC 23-0.5-4-4 and IC 23-0.5-9-30 and prints a $30.00 paper filing fee. The statute’s electronic fee is $20. When that listing is filed, it amends the registered-agent filing for each entity the agent already represents. IC 23-0.5-4-5 is how that listing ends. A commercial-agent termination takes effect at 12:01 a.m. on the thirty-first day after it is delivered. Until a former client names a new agent, service may be made under IC 23-0.5-4-10.

IC 23-0.5-4-6 is how an entity changes the line. The company delivers a statement of change. A statement that names a new agent must state that agent’s consent, or a representation that the agent has consented. IC 23-0.5-9-32 says there is no fee for filing a registered-agent or office statement of change. Form 56367’s face says the same: no filing fee. 75 IAC 8-3-8, filed May 19, 2025, then collects $1 for the enhanced-access fund on an electronic change. We print both numbers. The statute’s “no fee” line is still the statute. The dollar on the electronic path is the 2025 rule. IC 23-0.5-4-9 is how an agent steps down. The agent files a statement of resignation. The resignation takes effect on the earlier of the thirty-first day after the day it is filed, or the designation of a new registered agent. The agent must promptly tell the company the filing date. IC 23-0.5-9-33 says there is no fee for that resignation. 75 IAC 8-3-9 collects $1 for the enhanced-access fund on an electronic resignation. The SOS forms table lists that paper as State Form 26285. We print the 31-day clock. We do not invent a 30-day clock from a vendor FAQ that rounded down.

IC 23-0.5-4-10 is service of process. A represented entity may be served by serving its registered agent. If the entity ceases to have a registered agent, or the agent cannot with reasonable diligence be served, the entity may be served by registered or certified mail, return receipt requested, or a similar commercial delivery service, addressed to the entity at its principal office as shown on the most recent biennial report. Service is effective on the earliest of the date the entity receives the mail, the date on the return receipt if signed by the entity, or five days after deposit if correctly addressed. If that path also fails, service may be made by handing a copy to the individual in charge of any regular place of business or activity of the entity, if that individual is not a plaintiff. IC 23-0.5-9-56 prices service on the Secretary of State under this article at $10. New York starts with the Secretary of State on the agent line. Indiana starts with your appointed registered agent. We do not treat the $10 Secretary of State path as the everyday job.

IC 23-0.5-4-11 is the agent’s job on the statute we retrieved. Forward process, notice, or demand to the address the entity most recently supplied. Give the notices this article requires. A noncommercial agent keeps the Chapter 4 name-and-address line current. A commercial agent keeps the listing current. Designating an Indiana registered agent does not by itself create personal jurisdiction, and the agent’s address does not determine venue.

Indiana also bills a Business Entity Report. That bill is not the registered-agent job. IC 23-0.5-2-13 is the report. A domestic filing entity or registered foreign entity shall deliver a biennial report that states the entity’s name, the registered-agent information required by IC 23-0.5-4-3(b), and the street address of the principal office. The report must be delivered every two calendar years on a schedule the Secretary of State determines. The office may accept reports during the ninety days before the due month. If the report’s agent line differs from the record, that difference is treated as a statement of change. The INBiz Business Entity Report page, retrieved September 11, 2026, is the calendar this page is built on. The first report is due two years after the business is formed or registered. Later reports are due every other year, on the month and day of formation, through the end of that month. Miss the report and the office says the company is administratively dissolved, or a foreign registration is revoked. Email reminders go to the business email and the registered-agent email at 90 days and 30 days. That report is still not the registered-agent job. Michigan’s LLC pays $25 every year on February 15. North Carolina’s LLC pays $200 paper or $203 online every year by April 15. Indiana’s for-profit company pays every other year.

The dollars on that report do not match in one place. IC 23-0.5-9-34 prices an electronic biennial report at $20 for a for-profit entity and $10 for a nonprofit corporation, and a paper report at $50 for-profit and $20 nonprofit. The INBiz page, retrieved September 11, 2026, prices the same filing at $32.00 on INBiz and $50.00 by paper for a for-profit business, and $22.00 on INBiz and $20.00 by paper for a nonprofit. 75 IAC 8-3-10, filed May 19, 2025, collects $11 for the enhanced-access fund on an electronic biennial report, or $1 if the report is for a business trust. Twenty plus eleven is thirty-one. INBiz prints thirty-two. We print the statute, the rule, and the INBiz card. We do not invent a fourth number that makes them agree.

Confirm the live name and street on the INBiz business search before you treat a marketing city as current. Headquarters is not the registered office. The Secretary of State desk is not a vendor suite. Form 56371, retrieved September 11, 2026, lists the mailing line as Diego Morales, Secretary of State, Business Services Division, 302 West Washington Street, Room E018, Indianapolis, IN 46204, telephone (317) 234-9768, and points filers to INBiz.in.gov. Those lines are the Secretary of State, not a commercial registered agent. The IN.gov search FAQ, updated February 24, 2023 and retrieved the same day, says a company is Active if it is current on its business entity reports and has a valid registered agent.

We print what the company’s official registered-agent page said on the retrieval date. No company publishes a different Indiana registered-agent price from the national card, except where we note an Indiana-page renewal line. We do not invent a renewal.

• Northwest Registered Agent: official page: “$125 Per Year.” Same price in year two on the national card. Five or more states is $100 a year per state. A change of registered agent is a separate Secretary of State filing. We cite IC 23-0.5-9-32 and Form 56367, not company blogs. The statute and the form say there is no filing fee. The 2025 rule adds $1 on the electronic path. The commercial-agent listing is $20 electronic or $30 paper. Those dollars are office dollars. The biennial report is still not the registered-agent job.

Who publishes an Indiana street

A city is not a registered office. We print only the streets the companies publish for registered-agent use. We do not invent the rest. Confirm the live name and street on the INBiz business search before you file. Headquarters is not the registered office. The Secretary of State’s Indianapolis contacts are not vendor suites.

• Northwest. The Indiana product page says “we’ll scan everything from our office in Indianapolis, Indiana.” The office-locations page lists Fort Wayne, IN 46835, Allen County, and says they leave the street off this list. No street is published. The two city lines do not match. Those city lines are vendor-claimed. We have not been to an Indianapolis office or a Fort Wayne office.
• Bizee. Claims owned offices in all 50 states. The official registered-agent page names no Indiana street. The live Indiana product page names no Indiana street. The hyphenated Indiana URL we tried returned 404 on September 11, 2026. The contact page lists 17350 State Highway 249, Suite 220, Houston, TX 77064 as headquarters. That address is not an Indiana registered-agent street.
• LegalZoom. The official registered-agent overview does not publish an Indiana street. The Indiana article, updated April 30, 2026, says they “locally scan service of process and official government mail at our office in Indianapolis.” That is a vendor-claimed city. No street is published. We do not invent a suite. We do not treat a LegalZoom virtual-mail street as the registered-agent street.
• ZenBusiness. The Indiana product page publishes no ZenBusiness street or city. It prints an Indiana Secretary of State contact at 200 W. Washington St., Room 201, Indianapolis, IN 46204, telephone 317-232-6531, hours 8:00 a.m. to 4:30 p.m. That is a published street. It is the Secretary of State, not ZenBusiness. Form 56371 lists Business Services at 302 West Washington Street, Room E018. We do not treat either Indianapolis line as their suite.

If you are your own registered agent, the street on the public record is often your home. If you hire a commercial registered agent, the agent line is that organization’s name. Northwest names Indianapolis on the product page and Fort Wayne, ZIP 46835, Allen County, on the office list, and no street on either. LegalZoom’s Indiana article names Indianapolis and no street. Bizee publishes no Indiana street. ZenBusiness publishes the Secretary of State’s Washington Street contacts. We label every published city vendor-claimed. Use the INBiz business search.

In-state office, the rural-route exception, and the commercial listing

Indiana wants an in-state person or an authorized company, a street address in this state, and someone who can take court papers at that street. A P.O. Box is not that street unless a rural route number comes with it. The 2025 rule lets the office refuse a company that tries to serve as its own agent, or a filing that names two agents at once. A commercial registered agent is the person who filed Form 56371. That listing costs $20 electronic or $30 paper. Change the agent on Form 56367 at no statute fee, or on the biennial report when that filing is open. Resignation is effective on the 31st day, or sooner if a new agent is filed. The Business Entity Report is due every other year, first at the two-year mark. Indiana does not post a Florida-style 10–noon / 2–4 clock, and it does not run a Nevada-style ten-company commercial-agent register. Northwest claims Indianapolis on the product page and Fort Wayne, ZIP 46835, on the office list. LegalZoom’s Indiana article names Indianapolis and no street. ZenBusiness publishes 200 W. Washington Street, Room 201 — the Secretary of State. Bizee names no Indiana street. Process Score has not been to those offices. We do not treat a company 9-to-5 line as IC 23-0.5-4-3.

Service of process, not marketing mail

We grade scan-and-forward of service of process and official notices:

• Bizee: notifications by text and email; court papers mailed via FedEx with tracking; portal upload by employees. Contact-page support hours are Monday–Friday 9 a.m. to 6 p.m. CST. Those are support hours, not registered-office hours.
• Northwest: “We scan every document you receive right where you receive it—in our office.” The Indiana page adds local scans from Indianapolis. Their mail-forwarding extras are a different product. We do not grade those extras as a mailbox.
• LegalZoom: upload, email, and a postcard for urgent legal mail; they say they shred junk mail. The Indiana article adds local scans in Indianapolis. Junk-mail shredding is not the job we score.
• ZenBusiness: scan and upload to a dashboard; email; overnight the original for urgent legal notices. Their own FAQ says you cannot use the agent address as your business address. Their national product currently excludes PLLCs and nonprofits; that is their exclusion, not an Indiana statute. The Indiana page prints Secretary of State hours of 8:00 a.m. to 4:30 p.m. That is office copy for the Secretary of State, not IC 23-0.5-4-3.

Home-address privacy

A commercial registered agent is how most Indiana owners keep a home off the agent line. The Secretary of State still publishes whatever other addresses you put on a formation filing or a biennial report. Privacy of the agent line is not privacy of every field.
