Guam wants a registered agent with an address in the territory. An LLC files a $100 Sworn Annual Report between July 1 and September 1. The filing office is the Department of Revenue and Taxation.

A registered agent is the person or company who can be handed a lawsuit for the business. It is not a mailbox. Handing over those court papers is called service of process. In Guam the filing office is the Department of Revenue and Taxation, General Licensing and Registration Branch. People shorten that department to DRT. This office is not a U.S. Secretary of State. It is not Puerto Rico’s Departamento de Estado. It is not the U.S. Virgin Islands Office of the Lieutenant Governor, and the registry is not Catalyst. 18 GCA § 15111, in the Compiler of Laws PDF dated June 24, 2021, says each limited liability company shall continuously maintain in Guam a registered office and a registered agent. The office may be, but need not be, the place of business. The agent may be an individual resident of Guam, a domestic corporation, or a foreign corporation authorized on Guam. In each case the agent’s business office is identical with the registered office. The agent files a written acceptance with DRT at the same time, unless the agent signed the paper that made the appointment. The LLC requirements PDF says the same job in plainer words: a written statement that the agent accepts appointment as agent for service of process, and a filing fee of $250.00. 18 GCA § 15108 prices those articles at $250.00 and then a Certificate of Organization. The yearly paper is a different job. It is called a Sworn Annual Report. 18 GCA § 15138 says a domestic LLC and a foreign LLC file that report with the Director between July 1 and September 1. The fee is $100.00. A report that is late, but still inside 60 days and before revocation, adds $50.00. Paying that fee is the company’s job. It is not the job of taking the lawsuit. This page is the territory rule and the dated prices. It does not copy vendor cards from another state.

A registered agent is not a virtual mailbox. We do not score mailbox suites, virtual offices, or Google Business Profile eligibility here. Guam wants someone who can be handed court papers. If you need scans of catalogs, that is a different product on a different site.

What Guam actually requires

In plain language. If you formed a Guam LLC, the company has to name someone who can be handed a lawsuit. The statute calls that person or company a registered agent, and it wants a registered office in Guam. You file with the Department of Revenue and Taxation, General Licensing and Registration Branch. The agent sends DRT a written acceptance for service of process, unless the agent already signed the appointment. Articles of organization are $250. A Sworn Annual Report is due between July 1 and September 1. The fee is $100, and a late report inside 60 days adds $50 before the department can revoke the company. That yearly paper is not the lawsuit. If the agent resigns, the appointment ends 30 days after DRT receives the notice. We did not find a published dollar for that change on the LLC statute or on the DRT forms we checked. A domestic corporation may name an agent. A foreign corporation must keep one. We did not find a free public company search. Call DRT before you treat a vendor city as the name on file.

The copy of 18 GCA Chapter 15 used here is the Compiler of Laws PDF checked September 30, 2026. The PDF footer says COL6/24/2021. That is the copy quoted on this page. A Justia mirror of the same chapter returned a security check, so this page does not quote Justia’s page body. 18 GCA § 15111 is titled “Registered Office and Registered agent.” The text says each limited liability company shall have and continuously maintain in Guam a registered office, which may be, but need not be, the same as its place of business, and a registered agent. The agent may be either an individual resident of Guam whose business office is identical with that registered office, a domestic corporation having a business office identical with that registered office, or a foreign corporation authorized to transact business on Guam and having a business office identical with that registered office. Each registered agent, and each successor, on whom process may be served shall file a statement in writing with the Department of Revenue and Taxation accepting the appointment as registered agent simultaneously with being designated, unless the agent signed the document making the appointment. DRT shall maintain an accurate record of the registered agents and registered office for the service of process and shall furnish any information disclosed thereby promptly upon request and payment of the required fee. The section does not state that fee’s dollar. No limited liability company shall maintain any action in any court until the company complies with the section and pays DRT a penalty of $1 for each day it has failed to comply, or $250, whichever amount is less. The section does not state an age of 18. It does not state “9 a.m. to 5 p.m.” It does not use the words “P.O. Box.”

18 GCA § 15107 says the articles set forth the address of the place of business in Guam and the name and address of the initial registered agent in Guam. 18 GCA § 15108 says the articles are delivered to the Department of Revenue and Taxation. When a fee of $250.00 has been paid, the Director files them and issues a Certificate of Organization. The requirements PDF repeats that list in checklist form. Item 4 asks for the address of the place of business in Guam and the name and address of the initial registered agent in Guam. Item 10 says a written statement must be filed with DRT from the registered agent that the agent does accept the appointment as the agent for service of process. Item 14 says the filing fee is $250.00. The header lists Post Office Box 23607, Barrigada, Guam 96921, telephone (671) 635-1826/28/29, and fax (671) 633-2643. That box is the department’s mail line. It is not a vendor office, and it is not the registered office the statute describes.

Two other official sentences do not use the same “who may serve” list. They sit next to § 15111 on this page. This page does not pick a winner. 18 GCA § 15135, subsection (d)(1), says the articles of organization of a limited liability company and the application for registration of a foreign limited liability company shall designate, as the agent for service of process, an individual residing in Guam whose capacity to act as an agent has not terminated, and shall set forth that person’s complete business or residence address in Guam. That sentence says an individual. § 15111 also allows a domestic corporation and an authorized foreign corporation. The Sworn Annual Report form for domestic and foreign LLCs, checked September 30, 2026, cites Public Law 28-180 and Chapter 15 § 15111. Item 7 says the registered agent must be a resident of Guam, and it cites that same section. The form’s own header lists P.O. Box 23607, GMF, Barrigada, Guam 96921, and telephone (671) 635-1840/41/45/46. This page shows the statute’s three-part list, the service section’s individual sentence, and the form’s “must be a resident of Guam” line. It does not say which one a clerk will accept.

18 GCA § 15112 is how an LLC changes the registered agent or the registered office, or both. The company files a statement with DRT. The statement sets out the company name, the address of the then registered office and the new address if the office changes, the name of the then registered agent and the successor if the agent changes, and the fact that the change was authorized by affirmative vote of a majority of the members. The statement shall be acknowledged and delivered to DRT. If it conforms, DRT files it, and upon filing the change is effective. An agent may resign by filing a written notice with DRT and by mailing a copy to the LLC at its registered office. The appointment terminates upon the expiration of 30 days after receipt of the notice by DRT. The section does not state a filing fee. 18 GCA § 15130 says fees for filing documents and issuing certification shall be subject to applicable rates as determined by DRT. It does not state a change-of-agent dollar. We did not find a DRT form that stated a standalone change-of-agent dollar. This page does not add one.

18 GCA § 15135 is also how papers get handed over when the named agent is gone. Personal service on the designated agent is valid service. A change of that agent’s address, or a new agent, is not effective until an amendment to the § 15112 statement is filed. If the agent has resigned and has not been replaced, or cannot with reasonable diligence be found, a court may order service by hand on the Director. That service is deemed complete on the 10th day after delivery to the Director. The Director then forwards a copy by registered mail, return receipt requested, to the principal executive office, or, if the records show no such office, to the last designated agent who has not resigned. If an individual agent dies, resigns, or no longer resides in Guam, or if a corporate agent resigns, dissolves, withdraws, or loses the right to transact business, the company shall promptly file a § 15112 statement designating a new agent. A foreign LLC transacting business in Guam without registration appoints the Director as its agent for causes of action arising out of the business in Guam. The foreign LLC application we checked says the same kind of fallback in shorter words. It says DRT is appointed the agent for service of process if the agent has resigned and has not been replaced, or if the agent cannot be found or served with reasonable diligence. That fallback is the department. It is not a commercial-agent list.

The yearly paper is a different job. Say it once so the dollars do not get mixed up with the lawsuit. 18 GCA § 15138 says each domestic LLC, and each foreign LLC authorized to transact business on Guam, shall file a sworn annual report with the Director of Revenue and Taxation. The report sets out the name, the date of organization or of authority, the address of the principal office, the members or the managers, and a brief statement of the business actually conducted on Guam. That statutory list does not name the registered agent. The form still asks for the agent. The first report is delivered between July 1 and September 1 of the year following the calendar year of organization or of authority, or another date the Director specifies by rule. Later reports use that same window every successive calendar year. A company that fails to file a complying report within 60 days after it is due shall pay, in addition to the regular fee, $50.00, provided the report is filed prior to revocation, and shall be subject to dissolution or cancellation. The filing fee is $100.00. The form we checked lists the same window, the same $100, and the same $50 if the report is submitted prior to revocation. Filing that report is the company’s job. It is not the job of taking the lawsuit.

A corporation is not the same rule as an LLC. 18 GCA Chapter 7 and 18 GCA Chapter 28 in the Compiler of Laws were checked September 30, 2026. 18 GCA § 7108 says each foreign corporation authorized to transact business on Guam shall continuously maintain a registered office and a registered agent. The agent shall be an individual who resides on Guam and whose business office is identical to the registered office, a domestic or nonprofit domestic corporation whose business office is identical, or a foreign or foreign nonprofit corporation authorized on Guam whose business office is identical. That agent files a written acceptance with the department, and the acceptance states that the agent is familiar with and accepts the obligations of the position. 18 GCA § 7110 says the agency appointment is terminated on the 31st day after the date the resignation statement was filed. That clock is not the LLC’s 30 days after DRT receives the notice. This page shows both. It does not collapse them. 18 GCA § 7113 says the fee for service of process on the Director, when the foreign corporation has no agent or the agent cannot be found, is $40.00. 18 GCA § 28501 uses a different verb for a domestic corporation. Every domestic corporation may file a designation of a natural person residing at a stated address in Guam as its agent for service of process. If no designation is on file, or process cannot with due diligence be served on that person, service may be on the Director. 18 GCA § 28105 prices the corporation’s statement of registered agent, or of change of registered agent, at No Fee, and the agent’s statement of resignation at No Fee. The same table prices service on the Director under that Act at $50.00. That $50 is not the foreign-corporation $40. This page shows both.

The corporation yearly paper is still not the agent’s job. 18 GCA § 4304 says each domestic corporation and each foreign corporation authorized here delivers a sworn annual report between July 1 and September 1. Where the corporation is required by law to have a registered office and registered agent, the report includes that address and that name. The filing fee is $100.00, except a nonprofit annual report is $10.00. A report inside 60 days after it is due, and before revocation, adds $50.00. The corporation annual-report notice lists the same $100 and the same $50. A scan of that notice garbles “September 1st” so it can look like “September Vt.” The statute and the LLC form say September 1. This page does not treat the garbled scan as a different day. The 2022 domestic-corporation requirements PDF lists what the articles must set forth: a name, the number of shares, the initial place of business, and each incorporator. That must-list does not name a registered agent. It prices the articles at $100.00 and the bylaws at $75.00, payable to the Treasurer of Guam. The footer lists P.O. Box 23607, Barrigada, Guam 96921, and telephone (671) 635-1826/8/9. 18 GCA § 28105 also prices articles of incorporation at $100. This page shows the optional domestic designation and the foreign “shall.” It does not add a rule that every domestic corporation must name an agent.

A company formed somewhere else uses a different application, still at DRT. The foreign LLC application we checked asks for a letter of acceptance from the registered agent in Guam, the name and address of that agent, and a check to the Treasurer of Guam for $250.00. It also says certificates of good standing are valid within 30 days of issuance. The form cites Section 7302, Title 18 GCA, and states $250. The chapter file was not available, so this page relies on the form and the letter of acceptance, not on a reading of that section. The foreign corporation application asks for a letter of acceptance and a check for $100.00. A requirements sheet for a foreign certificate of authority lists the same $100.00 and a letter of acceptance from the registered agent in Guam. 18 GCA § 7104 prices the certificate of authority at $100.00. An amended certificate is $25.00. Both foreign applications include the DRT fallback sentence. Their footers list Post Office Box 23607, Barrigada, Guam 96921, and telephone (671) 635-1828/1829/7621. The LLC requirements header lists 635-1826/28/29. The Sworn Annual Report form lists 635-1840/41/45/46. The regulatory page lists an acting Business License Supervisor at (671) 635-1829. This page shows those lines. It does not pick one phone as the only number.

We did not find a free public entity search on guamtax.com or on the DRT forms index. § 15111(c) says DRT furnishes the agent and office record on request and payment of the required fee. It does not state that fee, and it does not describe a website button. Online services on the tax site are not a company list we could open without an account. This page does not add a search link. Confirm the live agent line with the General Licensing and Registration Branch.

Northwest’s Guam LLC guide, checked September 30, 2026, is a guide. It says, “While we don’t currently offer business filing services in Guam.” It tells the reader to file articles with the Department of Revenue and Taxation and pay the $250 fee, by mail or in person. It says 18 Guam Code § 15111 lets the agent be an individual resident of Guam, a domestic corporation, or a foreign corporation registered to do business on Guam, with a physical address in Guam. It then says the agent should be available during regular business hours, “9 AM to 5 PM.” That clock is the guide’s sentence. § 15111 does not state it. The same guide says the Sworn Annual Report has a $100 fee, is due by September 1, and that failure to pay within sixty days results in a fine of $50. Those dollars match the statute and the form. The guide is still not the statute. It also sells a local Guam phone number for $9 a month, with a domain and a website. That phone is a different product. We do not grade it as the registered-agent job, and we do not treat it as a Guam address. The national registered-agent page, checked the same day, shows “$125 Per Year” and “$100/year per state” when the order covers five or more states. The state list on that page names Puerto Rico. It does not name Guam. A map label GU on the site points at the LLC guide, not at a registered-agent offer. /registered-agent/guam landed on a Guam articles-of-incorporation legal-forms page, not a registered-agent offer. /llc/guam/registered-agent is not a registered-agent page on that site. This page does not add a Northwest address in the territory. The national page says, “We scan every document you receive right where you receive it—in our office.” It also says they will scan normal business mail, up to 5 documents a year, free. That mail scan is a different product. We do not grade it as the registered-agent job.

Bizee’s national registered-agent page, checked September 30, 2026, says “Receive a Free First Year of Registered Agent” and shows a standalone price of $149/year. It says the company owns and operates offices in all 50 states and does not outsource. It does not say Guam. bizee.com/llc/guam/registered-agent, /registered-agent/guam, and /llc-formation/guam are not on the company site, so there is no Guam price to show. The national page is the one used here. The page says it sends instant notifications for service of process or state correspondence by text and email, mails those court papers by FedEx with tracking, and uploads documents to a client portal. The contact page lists 17350 State Highway 249, Suite 220, Houston, TX 77064. That address is not a Guam registered-agent address. Support hours on that page are Monday through Friday, 9 a.m. to 6 p.m. Central Time. Those are support hours, not a registered office in the territory.

LegalZoom’s registered-agent overview, checked September 30, 2026, shows $249/year. The footnote says the service auto-renews at the purchase rate each year until you cancel, the renewal rate is subject to change, and the purchase price is only available for first-time registered-agent customers. The footnote does not state a year-two number. The overview says, as a general rule, that a registered agent is a service or a person over the age of 18, available during regular business hours, and that one example of those hours is Monday through Friday, 9 a.m. to 5 p.m. It also says agents must be designated with the Secretary of State’s office. That is LegalZoom’s sentence. 18 GCA § 15111 does not state an age or a clock. Guam’s filing office is the Department of Revenue and Taxation. We do not call it a Secretary of State. legalzoom.com/articles/guam-registered-agent and legalzoom.com/business/business-formation/registered-agent-guam.html are not on the company site. This page does not add a LegalZoom territory article, a LegalZoom city, or a LegalZoom address. The overview talks about documents scanned and uploaded, email, and a postcard for urgent legal mail. It also says junk mail is filtered. Junk mail is not the job we score.

ZenBusiness’s pages at zenbusiness.com/guam-registered-agent/, zenbusiness.com/registered-agent-guam/, and zenbusiness.com/guam-llc/ are not on the company site, so there is no Guam price to show. The national registered-agent page is the one used here. It shows a banner, “50% OFF REGISTERED AGENT,” for the first year when you form an LLC. The same page shows $99 plus state fees for the first year and a renewal at $199 a year. Both sentences are on that national page. This page does not say which one a Guam checkout would charge. The page says the service is for limited liability companies and corporations in all 50 states, and that ZenBusiness currently does not offer registered-agent service to professional limited liability companies or nonprofits. That exclusion is theirs. It is not a sentence in 18 GCA § 15111. The page says they scan and upload documents to a dashboard, notify you of legal notices, and overnight urgent legal notices. It does not list a ZenBusiness address.

A change of agent is a separate filing with the Department of Revenue and Taxation. § 15112 tells an LLC how to file the statement. It does not state a dollar. The Guam Business Corporation Act prices a corporation’s statement of registered agent, or of change of registered agent, at no fee. Northwest’s national page does not state a Guam change dollar. Bizee has no Guam page that stated a change dollar. LegalZoom has no Guam article that stated one. ZenBusiness’s national page does not state one. The Sworn Annual Report can sit next to the agent on the form. It is still not the job of taking the lawsuit.

Who publishes a Guam address

A city is not a registered office. This page shows only the addresses the companies publish for registered-agent use. It does not add the rest. We did not find a free public entity search. Confirm the live name and address with the General Licensing and Registration Branch before you file. Headquarters is not the registered-agent address. Post Office Box 23607 in Barrigada is a Department line. It is not a vendor office. A city on a marketing page is still vendor-claimed until DRT shows it.

If you are your own agent, the address on the department’s record is often your home. 18 GCA § 15111 lets an individual resident, a domestic corporation, or an authorized foreign corporation take the LLC’s job, with a business office identical to the registered office. 18 GCA § 15135 says the articles shall designate an individual residing in Guam. The Sworn Annual Report form says the agent must be a resident of Guam. This page shows all three. Northwest’s guide says you can be available from 9 AM to 5 PM. That is vendor-claimed copy. Bizee, LegalZoom, and ZenBusiness did not give us a Guam page that stated a self-service sentence we could grade. A commercial mailbox is not a sentence we found in 18 GCA § 15111. Northwest’s guide names no Guam address. Bizee publishes no Guam address. LegalZoom publishes no city and no address. ZenBusiness publishes no office number. Call DRT. Process Score has not been to those offices.

The $250 articles, the $100 report, and the missing change dollar

A Guam LLC keeps a registered office and a registered agent under 18 GCA § 15111. The agent files a written acceptance unless the agent signed the appointment. Articles are $250 in 18 GCA § 15108 and on the requirements PDF. The Sworn Annual Report is $100, due July 1 to September 1, with $50 added if the report is inside 60 days and still before revocation. A foreign corporation must keep an agent under 18 GCA § 7108. A domestic corporation may designate a natural person under 18 GCA § 28501. The corporation change of agent is no fee on the Guam Business Corporation Act fee table. The LLC change section does not state a dollar. If the LLC agent resigns, 18 GCA § 15112 ends the appointment 30 days after DRT receives the notice. A foreign corporation’s resignation ends on the 31st day after filing. Northwest’s guide says they do not currently offer business filing in Guam and lists no Guam address. Bizee’s Guam pages are not on the company site. LegalZoom’s Guam article pages are not on the company site. ZenBusiness’s Guam pages are not on the company site. This page does not treat a company hours line as 18 GCA § 15111.

Home-address privacy

Naming a commercial agent is how many owners keep a home off the agent line. DRT still keeps the registered agent and the registered office. § 15111 says the department furnishes that record on request and payment of the required fee. Privacy of the agent line is not privacy of every field. The Sworn Annual Report form still asks for the registered agent. The statute’s report list asks for the principal office and the members or managers. The annual fee is a payment, not a mailbox. A blank line is not the same thing as a private line. Confirm the live line with DRT. We did not find a free public search that would show it for you.
