Utah’s anniversary-month renewal can rewrite the agent line — that paper is still not the registered-agent job

What Utah actually requires

Utah Code § 48-3a-111 is the Utah LLC registered-agent statute. Each limited liability company, and each registered foreign limited liability company, shall designate in accordance with Subsection Utah Code § 16-17-203 and maintain a registered agent in this state. The company may change the agent, or the agent’s address, by filing a statement of change under Utah Code § 16-17-206. The live code we opened on September 17, 2026 marks § 48-3a-111 Repealed 10/1/2026 by Chapter 93, 2026 General Session. We print the live text. We do not invent the post-October cites.

Utah Code § 16-17-202 is the street rule. Whenever the Model Registered Agents Act requires that a filing state an address, the filing must state an actual street address or rural route box number in this state, and a mailing address in this state if that mailing line is different. That is the street rule. We print it. We do not invent a shorter one. The Division’s How to File a Renewal with Changes guide, retrieved the same day, adds the office line: the registered agent will be required to have a Utah street address. A P.O. Box is only allowed in the mailing address. The same guide says you may check a box for a registered-agent mailing address that is a P.O. Box. If you do not have a Utah address, the guide says you may hire a commercial registered agent or a Utah attorney. The guide cites Utah Code § 16-17. Those two sources match on the street-versus-mailing split. We print both. We do not invent a third street rule.

Utah Code § 16-17-203 is how the appointment is written. A registered-agent filing must state the name of the represented entity’s commercial registered agent, or, if the entity does not have a commercial registered agent, the name and address of the noncommercial registered agent, or the title of an office or other position with the entity if service is to go to the person holding that office. The appointment of a commercial agent, or of a named noncommercial agent, is an affirmation by the represented entity that the agent has consented to serve. The Division shall make available a daily list of filings that contain the name of a registered agent. That list must be kept available for at least 14 calendar days. It is a daily list. It is not a Nevada-style ten-company commercial-agent register.

Utah Code § 16-17-204 is how a commercial registered agent lists. An individual or a domestic or foreign entity may become listed as a commercial registered agent by filing a commercial registered agent listing statement. The statement says the person is in the business of serving as a commercial registered agent in this state, and it lists a place of business in this state where service of process and other papers may be delivered. The listing takes effect on filing. The live Commercial Registered Agent Application cites Utah Code 16-17-204-1b and prices the paper at a non-refundable $52.00. The live fee schedule prices Commercial registered agent registration, changes, and terminations at $52 each. Those two $52 numbers match. The form also says, under GRAMA, all registration information maintained by the Division is a public record, and that for confidentiality you may use the business entity physical address rather than a residential or private address. Utah’s commercial bar is that listing. It is not a ten-company count. Delaware’s commercial bar is more than 50. Nevada’s bar is ten.

Utah Code § 48-3a-201 is what the certificate of organization must say. It must state the information required by Subsection 16-17-203(1). The live fee table prices Limited liability company (LLC) - certificate of organization at $59. LegalZoom’s Utah article, updated May 15, 2026, prints the same $59.00. Those two numbers match. Bizee’s Utah page names $54 online / $59 paper. We print the live $59 row and Bizee’s $54 / $59 pair. We do not invent a fourth number that makes them agree. Leaving the agent unlisted is a rejected filing. That certificate is a first paper. It is not the registered-agent job.

Utah Code § 16-17-206 is how the company changes the line. The company files a statement of change that names the entity and the information that is to be in effect. The appointment in that statement is an affirmation that the agent consented. The statement takes effect on filing. The interest holders or governors need not approve that filing. A represented entity may also change the line by amending its most recent registered-agent filing in the manner other Utah law provides. The live fee table prices Change form and Online changes at $17 each. The older Annual Report / Renewal Form says there is no fee for the Registration Information Change Form when it is filed with the Annual Report / Renewal form during the entity’s renewal period, and that the $17.00 non-refundable processing fee still applies at any other time. LegalZoom’s Utah article and ZenBusiness’s Utah page, last updated August 27, 2025, both print $13. We print $17 from the live table and the older form, and $13 from the two vendor pages. We do not invent a winner.

Utah Code § 48-3a-212 (5) is the sentence this page will not bury. If an annual report contains the name or address of a registered agent which differs from the information shown in the records of the Division immediately before the annual report becomes effective, the differing information in the annual report is considered a statement of change under Section 16-17-206. Putting a new name on the anniversary paper is still not the registered-agent job. The job is taking court papers at the Utah street.

Utah Code § 16-17-209 is how an agent steps down. The agent files a statement of resignation. The statement takes effect on the earlier of the 31st day after the day it is filed or the appointment of a new registered agent. The agent shall promptly furnish the company with notice of the date the statement was filed. ZenBusiness’s Utah page prints the same 31st-day end and says there is no filing fee for that resignation form. Those vendor sentences match the statute we opened. Northwest’s Utah page talks about two copies of a Statement of Resignation of Registered Agent sent to the Division. We print the vendor name. The live statute we opened is § 16-17-209.

Utah Code § 16-17-302 is the duty sentence. The only duties under the Model Registered Agents Act of a registered agent that has complied are to forward process, notice, or demand that is served on the agent; to provide the notices the chapter requires; if the agent is noncommercial, to keep the latest filing current; and if the agent is commercial, to keep the listing current. That is the statute sentence. We print it. We do not invent a shorter one.

Utah Code § 16-17-301 is how court papers are handed over. A registered agent is an agent of the represented entity authorized to receive service of any process, notice, or demand required or permitted by law to be served on the entity. If the company no longer has an agent, or the agent cannot with reasonable diligence be served, mail may go to the governors by name at the principal office shown on the most recent annual report. Service on a commercial registered agent may also use other record forms the agent has said it will accept in its listing.

Utah Code § 48-3a-212 is the yearly Division paper this page will not confuse with the agent job. A limited liability company, and a registered foreign limited liability company, shall deliver an annual report that states the name of the company, the information required by Subsection 16-17-203(1), the street and mailing addresses of its principal office, the name of at least one governing person, and, for a foreign company, its jurisdiction of formation. A domestic company’s report must be delivered during the month in which is the anniversary date on which the certificate of formation became effective. A foreign company’s report uses the anniversary month of its Utah registration. The live fee schedule prices Domestic/foreign limited liability company (LLC) renewal/annual report at $18, and the star says that fee includes a $5 surcharge for the State of Utah’s single sign-on portal. The same table prices a late renewal fee at $10. The older Annual Report / Renewal Form prints $18.00 for a domestic or foreign LLC and an $18.00 late fee on that LLC row. Northwest’s Utah page says renewals cost $20 to file. LegalZoom’s Utah article prints the $18 renewal and then a $50 late fee. We print $18 and $10 from the live table, $18 late from the older form, $20 from Northwest, and $50 from LegalZoom. We do not invent a sixth number that makes them agree. Bizee’s Utah page says the annual report is due annually by the LLC’s anniversary date. That vendor sentence matches Utah Code § 48-3a-212 (3). The live Annual Report/Renewal Guide says all registered business entities must file an annual report, also known as a renewal, to keep an active status, and points to the fee schedule for the dollars. That $18 paper can list a new agent. It is still not the registered-agent job.

Utah Code § 48-3a-708 is the missing-report and missing-agent clock. The Division may start an administrative dissolution if the company does not pay a required fee, tax, interest, or penalty within 60 days after it is due; does not deliver an annual report within 60 days after it is due; or does not have a registered agent in this state for 60 consecutive days. The company then has 60 days after notice to cure. Administrative dissolution does not terminate the authority of the registered agent. Stay without an agent for 60 days, or miss the report by 60 days, and that is the path we opened. Bizee’s Utah page says the state can administratively dissolve an LLC that does not maintain a registered agent. LegalZoom’s Utah article cites the same 60-day missing-agent clock. Those vendor sentences match the statute we opened.

The public lookup sits at businessregistration.utah.gov. The landing page says Search Business Entity Records. Confirm the live line on the Utah Business Registration search before you treat a marketing city as current. The fee table still prints secure.utah.gov/bes/index.html. That URL now redirects to the same Business Registration door. The searches page on commerce.utah.gov is the Division’s search menu. LegalZoom’s Utah article still points readers to corporations.utah.gov/searches/. That path opens the same commerce.utah.gov searches page. Headquarters is not the registered office. The Division’s Salt Lake City contacts are not a vendor suite.

We print what the company’s official registered-agent page said on the retrieval date. No company publishes a different Utah registered-agent price from the national card, except where we note a Utah-page sentence. We do not invent a renewal.

• Northwest Registered Agent: official page: “$125 Per Year.” Same price in year two on the national card. Five or more states is $100 a year per state. Retrieved September 17, 2026 from northwestregisteredagent.com/registered-agent and the Utah product page. First year free only if you form through them; we do not treat that bundle as the standalone price. The Utah page says they scan documents locally at their office in West Jordan. The same page also sells five free scans of regular business mail a year, with extra scans at $15 a document. Those extras are a different product. We do not grade those extras as the registered-agent job. The same page says Utah annual renewals cost $20 to file. The live fee table we retrieved is $18. We print both. The same page talks about a filing with the Utah Secretary of State. That is vendor copy. The live office we opened is the Division of Corporations and Commercial Code.
• Bizee: official registered-agent page: free first year with formation; standalone $149/year; year two $149/year. Retrieved September 17, 2026 from bizee.com/business-management/registered-agent. A legalzoom.com/articles/registered-agent-in-utah URL returned 404 the same day. The article says a P.O. box does not qualify as the street, and that a P.O. box may only be listed after the street address. Those vendor sentences match Utah Code § 16-17-202 and the Division renewal guide. The same article talks about typically Monday to Friday, 9 a.m. to 5 p.m. That clock is LegalZoom copy. We print those vendor sentences. We do not invent a suite or a higher year-two number.
• ZenBusiness: official Utah page: first-year and renewal dollars are the national card. The national page says $99 + state fees for the first year and renews at $199/yr, subject to change. The Utah page, last updated August 27, 2025, talks about $100 to a few hundred dollars a year as a market range. That range is not a ZenBusiness price. We keep the national card. A zenbusiness.com/utah-resident-agent/ URL returned 404 the same day. The live Utah page is /utah-registered-agent/. That page says the registered office must be an actual physical street or rural-route box, not a P.O. box; prices the Business Registration Information Change at $13; prints a 31-day resignation with no filing fee; and prints Division contacts at the Heber M. Wells Building. The live table we retrieved is $17 for a change. Those two change numbers do not match. We print both. The national page says they currently do not offer registered-agent service to PLLCs or nonprofits. That is their national exclusion, not a Utah statute. A change of registered agent is a separate Division filing unless you put the new line on the anniversary-month annual report and that report’s agent line differs from the record. We cite Utah Code § 16-17-206, the $17 change row on the live table, the $13 vendor sentences, and the $18 LLC annual report. The yearly paper can list the agent. It is still not the registered-agent job.

Who publishes a Utah street

A city is not a registered office. We print only the streets the companies publish for registered-agent use. We do not invent the rest. Confirm the live name and street on the Utah Business Registration search before you file. Headquarters is not the registered office. The Division’s Salt Lake City contacts are not vendor suites.

• Northwest. The Utah product page says they scan documents locally at their office in West Jordan. The office-locations page lists West Jordan, UT 84084 Salt Lake City County, and says they leave the street off this list. No street is published. The two city lines match on West Jordan. We have not been to a West Jordan office. Northwest also sells extra mail scans from that location. Those extras are a different product.
• Bizee. Claims owned offices in all 50 states. The official registered-agent page names no Utah street. The live Utah product page names no Utah street. The hyphenated Utah URL we tried returned 404 on September 17, 2026. The contact page lists 17350 State Highway 249, Suite 220, Houston, TX 77064 as headquarters. That address is not a Utah registered-agent street.
• LegalZoom. The official registered-agent overview does not publish a Utah street. The live Utah article names no LegalZoom city or street. The second Utah article URL we tried returned 404 the same day. We do not invent a suite. We do not treat a LegalZoom virtual-mail street as the registered-agent street.
• ZenBusiness. The Utah registered-agent page publishes no ZenBusiness street or city. It prints Division contacts at SM Box 146701, Salt Lake City, UT 84114-6701 and Heber M. Wells Building, 160 East 300 South, Salt Lake City, Utah 84111, telephone (801) 530-4849. Those lines are office contacts. They are not ZenBusiness. The live Division pages we retrieved use P.O. Box 146705, Salt Lake City, UT 84114-6705. We do not treat the Wells Building as their office.

If you are your own registered agent, the street on the public record is often your home. If you hire a commercial registered agent, the agent line is that organization’s name. Northwest names West Jordan on the product page and West Jordan, UT 84084 Salt Lake City County on the office list, and no street on either. LegalZoom publishes no Utah city. Bizee publishes no Utah street. ZenBusiness publishes the Division’s Wells Building suite. We label every published city vendor-claimed. Use the Business Registration search. Utah’s privacy-friendly reputation is not a skip-the-agent rule. The agent street is still public.

In-state office, the commercial listing, and the anniversary-month paper

Utah wants a registered agent designated under the Model Registered Agents Act. A filing that must state an address must state an actual street or a rural-route box. A P.O. Box is not that street. The Division’s live guide allows a P.O. Box only on the mailing line. A commercial registered agent lists on the Commercial Registered Agent Application. The live table and the live form print $52. Change the agent on a $17 statement of change on the live table, or put the new line on the anniversary-month annual report if that report’s agent line differs from the record. Vendor pages still print $13 for that change. The LLC annual report is $18 on the live table, due in the anniversary month. Resignation ends on the earlier of the 31st day or a successor. Stay without an agent for 60 days, or miss the report by 60 days, and the Division may start an administrative dissolution after notice. Utah does not post a Florida-style 10–noon / 2–4 clock, and it does not run a Nevada-style ten-company commercial-agent register. The commercial listing is the Utah bar. Northwest claims West Jordan, ZIP 84084, Salt Lake City County. LegalZoom names no Utah city. ZenBusiness publishes SM Box 146701 and 160 East 300 South — the Division. Bizee names no Utah street. Process Score has not been to those offices. We do not treat a company 9-to-5 line as Utah Code § 48-3a-111.

Service of process, not marketing mail

We grade scan-and-forward of service of process and official notices:

• Bizee: notifications by text and email; court papers mailed via FedEx with tracking; portal upload by employees. The Utah page talks about a physical street during normal business hours. That is Bizee copy. Contact-page support hours are Monday–Friday 9 a.m. to 6 p.m. CST. Those are support hours, not registered-office hours.
• Northwest: “We scan every document you receive right where you receive it—in our office.” The Utah page adds local scans at the West Jordan office. Their extra mail-scan product is a different product. We do not grade those extras as a mailbox.
• LegalZoom: upload, email, and a postcard for urgent legal mail; they say they shred junk mail. The live Utah article names no LegalZoom city and a typical 9 a.m. to 5 p.m. line. Junk-mail shredding is not the job we score. That clock is not the statute.
• ZenBusiness: scan and upload to a dashboard; email; overnight the original for urgent legal notices. Their own FAQ says you cannot use the agent address as your business address. Their national product currently excludes PLLCs and nonprofits; that is their exclusion, not a Utah statute. The Utah page prints Division contacts at 160 East 300 South. That suite is office copy. It is not Utah Code § 48-3a-111.

Home-address privacy

A commercial registered agent is how most Utah owners keep a home off the agent line. The Division still publishes whatever other addresses you put on a formation filing or an annual report. Privacy of the agent line is not privacy of every field. A Utah LLC must name an agent. It cannot leave that line blank. Utah’s privacy-friendly formation reputation does not erase that street. Confirm the live line on the Business Registration search.
