Territory · American Samoa

American Samoa wants an LLC registered agent with a place of business in the Territory. You file with the Treasurer, not a U.S. Secretary of State. The LLC annual report fee is $50 and is due before April 1.

A registered agent, for a limited liability company, is the person or company who can be handed a lawsuit for the business. A resident agent is the same job under the older foreign-corporation chapter. It is not a mailbox. Handing over those court papers is called service of process. In American Samoa the LLC filing office is the Treasurer. Foreign corporation permits go through the Attorney General and the Department of Legal Affairs, and the Governor issues the permit. None of those offices is a U.S. Secretary of State. Public Law 35-20, the American Samoa Limited Liability Company Act, says each LLC shall designate and maintain a registered agent in this Territory. Designating that agent is an affirmation that the agent consented. The agent must have a place of business in the Territory. The Act does not print a Guam-style list of who may serve. The certificate and the annual report still name the agent. The LLC annual report runs after January 1 and before April 1. The fee that goes with it is $50. A corporation’s annual report runs between July 1 and August 1. A.S.C.A. § 30.0162 does not print a dollar for that corporation report. This page keeps those two calendars apart. It also prints a fee conflict in the secondary text of the LLC fee section: the words say “one hundred dollars” and the numerals say $150.00.

A registered agent is not a virtual mailbox. We do not score mailbox suites, virtual offices, or a mail-scan extra here. American Samoa wants someone who can be handed court papers at a place of business in the Territory. If you need scans of catalogs, that is a different service on a different site.

What American Samoa actually requires

In plain language. If you formed an American Samoa LLC, the company has to name someone who can be handed a lawsuit. The Act calls that person or company a registered agent. You file with the Treasurer. The agent must have a place of business in the Territory, and naming the agent is a statement that the agent agreed. The first LLC annual report is due after January 1 and before April 1 of the year after the certificate took effect. Later reports use that same window. The fee with the report is $50, unless you paid a higher formation tier that waives the first fee, or the first two fees. That yearly paper is not the lawsuit. If the agent resigns, the resignation takes effect on the earlier of the 31st day after the Treasurer files it, or the day a new agent is named. A statement of change has steps and no separate dollar in that section. A foreign corporation uses a different word, resident agent, and a different path: a board resolution, a review at Legal Affairs, and a permit from the Governor. A domestic corporation keeps a principal place of business in American Samoa in charge of an agent. Those are three jobs with three labels. A business license under A.S.C.A. 27.0201 is a fourth job. It is not the job of taking the lawsuit.

The LLC sections below were read October 1, 2026 from the secondary mirror. Each quoted section on that page ends with History: 2018, PL 35-20. We did not find an official Public Law 35-20 PDF. The Secretary of American Samoa’s 35th Legislature table ends at P.L. 35-12, approved August 29, 2018. The three repository PDFs linked from the Secretary’s repository do not contain the LLC Act. The Fono document lists we opened are later legislatures and do not host this 2018 Act. Samoa News reported on November 23, 2018 that Governor Lolo Matalasi Moliga signed the Act on October 23, and that owners register through the Treasury Department. The same report says the Governor flagged minor clerical issues in the new chapter. That note matters for the fee words below. The code index, checked the same day, still has no Title 30 Chapter 06 or Chapter 07. This page does not pretend ASBAR currently hosts §§ 30.0615 through 30.0633.

The secondary text of § 30.0602 says a registered agent is an agent of a limited liability company, or of a foreign limited liability company, authorized to receive service of any process, notice, or demand required or permitted by law to be served on the company. § 30.0615 then says each LLC and each registered foreign LLC shall designate and maintain a registered agent in this Territory. The designation is an affirmation of fact that the agent has consented to serve. A registered agent must have a place of business in this territory. If the agent has complied, the duties are narrow: forward process, notice, or demand to the address the company most recently supplied; if resigning, give the notice in § 30.0617; and keep the agent information current in the certificate of organization or the foreign registration statement. The section does not print an individual-resident line, a domestic-corporation line, or an authorized-foreign-corporation line. It does not print an age. It does not print “9 a.m. to 5 p.m.” It does not print the words “P.O. Box.” This page does not add a who-may-serve list the Act does not print.

The certificate goes to the Treasurer. The secondary text of § 30.0622 says the certificate of organization must state a name that complies with § 30.0612, the street and mailing addresses of the company’s principal office, and the name and mailing addresses in this Territory of the company’s registered agent. To conduct business in the Territory, the company must also comply with local laws, including A.S.C.A. 27.0201 and the sections that follow. That business-license sentence is a different filing. This page does not add a license dollar. We did not find a live commerce fee page that stated one for this job.

The fee section is where the clerical problem shows. Secondary text of § 30.0610(a) prices filings with the Treasurer this way. Item (1) says filing the original articles, or issuing a certificate of authority for a foreign LLC, is “one hundred dollars” and then prints $150.00. Item (2) prices that same filing at $175.00. The annual report is still required, and the $50 annual fee is waived for the first annual report due the following year. Item (3) prices that same filing at $200.00 and waives the $50 fee for the first and second annual reports. Item (4) prices an amendment of the articles at $50.00. Item (5) is an annual fee of $50 with the § 30.0633 report, unless (2) or (3) waived the early years. Item (6) says other filing, service, and copying fees shall not exceed the cost of the service. It does not print a menu of every small fee. This page treats the three numeral tiers, $150 / $175 / $200, as the schedule a reader can see, and it tells you the words in (1) disagree. It does not silently pick “one hundred dollars” and hide $150, and it does not hide the words.

§ 30.0616 is how an LLC changes the registered agent or the agent’s address. The company delivers a statement of change to the Treasurer. The statement gives the company name and the information that will be in effect. Members or managers need not approve that delivery. Designating a new agent is again an affirmation of consent. The company may instead amend the certificate of organization. The change section does not print a dollar. If they amend the articles, the amendment fee in § 30.0610(a)(4) is $50. This page does not add a standalone change-of-agent dollar.

§ 30.0617 is resignation. The agent delivers a statement of resignation to the Treasurer. It takes effect on the earlier of the 31st day after the day the Treasurer files it, or the designation of a new registered agent. The agent must promptly give the company notice of the filing date. Resignation does not end a contract between the company and the agent. § 30.0618 lets the agent file a statement of change of the agent’s own name or address with the Treasurer, and the agent must promptly notify the company. Neither section prints a fee.

§ 30.0619 is service of process. Serve the registered agent. The service has to be in a written record. If there is no agent, or the agent cannot be served with reasonable diligence, serve by registered or certified mail, return receipt requested, or a similar commercial delivery, to the principal office shown on the most recent annual report filed with the Treasurer. If that also fails, hand a copy to the individual in charge of any regular place of business, if that individual is not the plaintiff. Other law can allow other means. The fallback is not a commercial-agent list, and it is not a U.S. Secretary of State.

The yearly LLC paper is a different job. Say it once so the $50 does not get mixed up with the lawsuit. § 30.0633 says the company delivers an annual report to the Treasurer. The report states the name, the name and mailing addresses of the registered agent in this territory, the street and mailing addresses of the principal office, at least one member if the company is member-managed, or at least one manager if it is manager-managed. A foreign company also states its jurisdiction of formation and any alternate name. The first report is delivered after January 1 and before April 1 of the year following the calendar year the certificate became effective, or the foreign company registered. Later reports use that same window each year. If the agent name or address on the report differs from the Treasurer’s records, the difference is treated as a § 30.0616 statement of change. Filing that report is the company’s job. It is not the job of taking the lawsuit.

A domestic corporation is not the same rule, and it is on the live code. A.S.C.A. § 30.0105 says a domestic corporation must designate in its articles a principal place of business in American Samoa. A change of that place is an amendment. The principal place of business must be in charge of an agent of the corporation. Books, records, stock books, and stockholders’ meetings are kept or held there. If no agent is in charge, or the agent cannot be found in American Samoa, service goes through the Treasurer: an original and two copies. The Treasurer acknowledges and sends a copy by registered mail to the principal place of business. A.S.C.A. § 30.0114 says the articles include the name and the principal place of business in American Samoa. That must-list does not add a separate “registered agent” line the way the LLC certificate does. The agent duty for this chapter sits in § 30.0105. A.S.C.A. § 30.0110 is a different sentence again. Three or more persons of full age may incorporate, at least two-thirds of them U.S. nationals, and at least one a resident of American Samoa. That is who may form the corporation. It is not a list of who may be the LLC’s registered agent.

A.S.C.A. § 30.0106 prices incorporation. For a period of years, the fee is $25, plus 25 cents a page for recording, plus $1 per $1,000 of authorized stock over $10,000. For perpetual existence, the fee is $100, plus that same recording and excess-stock schedule. A stock increase pays the recording charge plus $1 per $1,000 of the increase. A.S.C.A. § 30.0162 says domestic and foreign corporations that hold a certificate or a permit file an annual report with the Treasurer between 1 July and 1 August each year, on a form the Treasurer prescribes. The report covers the name and address, capital stock figures, officers and directors, whether the place of business changed, indebtedness, and related facts. An inactive-affidavit path can cancel authority. The section does not print a filing fee. A.S.C.A. § 30.0163 says failure to file that report is an infraction, recoverable by the government in an action by the Attorney General. The section does not print a dollar fine. This page does not add one. The corporation window is July 1 to August 1. The LLC window is January 1 to April 1, with a $50 fee. They are not the same paper.

A foreign corporation uses the word resident agent. A.S.C.A. § 30.0302 says the application must include a certified copy of the board resolution that gives the name and address in American Samoa of a resident agent on whom process may be served. A.S.C.A. § 30.0309 says no foreign corporation may transact business without one or more known places of business in American Samoa. A.S.C.A. § 30.0310 says if that agent cannot be found in American Samoa, serve through the Treasurer, original plus two copies. The Treasurer keeps one copy and sends the other by registered mail to the home office on file. A.S.C.A. § 30.0313 prices the permit. Existence for a period of years is $25, plus 25 cents a page for recording, on up to $10,000 of money or property in American Samoa, and $1 per $1,000 over $10,000. Perpetual existence is $100, plus that same recording schedule, and a further fee every 20 years. If that further fee is not paid within three months, the Treasurer cancels the permit. A.S.C.A. § 30.0308, and the checklist that cites it, require at least $10,000 of authorized capital stock and $5,000 of paid-in capital to receive a permit.

The foreign-corporation checklist from the Office of the Attorney General, checked October 1, 2026, walks that packet. The header is P.O. Box 7, Pago Pago, AS 96799, telephone (684) 633-4163. The Department of Legal Affairs site, checked the same day, lists Main Office (684) 633-4163, Territorial Registrar (684) 633-4868, and info@la.as.gov, at P.O. Box 7, Pago Pago, American Samoa 96799. The checklist cites A.S.C.A. §§ 30.0301 through 30.0314. It asks for certified articles, board or stockholder resolutions, including a resolution authorizing service on officers or agents in American Samoa, and a sworn statement under § 30.0302(1) through (6) that includes the resident agent’s name and address in American Samoa. It repeats the capital minima, the known place or places of business, and a business license under § 27.0201 before the company transacts business. It says the checklist’s chapter does not apply to nonprofit or domestic corporations. The permit is requested from the Governor. That path is Legal Affairs and the Governor. It is not the LLC Treasurer filing, and it is not a U.S. Secretary of State.

The Territory advertises an LLC portal at llc.as.gov. On October 1, 2026 our checker could not resolve that name. A search index still describes the portal, and a staging copy of the same portal text loaded. The staging page says “Welcome to the LLC Application Portal.” It prints marketing lines: LLC confidentiality, owner information remains private, no state taxes, no third party required, “No Annual Renewal Requirement” next to “Options for Discounted Annual Report Fees,” no U.S. citizenship required, and an American Samoa LLC search by name. The footer on that staging page is Support@AmericanSamoaLLC.com and (684) 699-1189. Those lines are marketing. They are not § 30.0615 and they are not § 30.0633. The Act still requires a registered agent with a place of business in the Territory, and it still requires the agent’s name and mailing addresses on the certificate and on the annual report. The $50 annual fee is in the fee section. This page does not treat “anonymous LLC,” “no state LLC tax,” or “no annual renewal” as law, and it does not grade a tax result. The staging page is not a search result for any named company. We did not open a live name-search hit on llc.as.gov.

Northwest’s national registered-agent page, checked October 1, 2026, shows “$125 Per Year” and “$100/year per state” when the order covers five or more states. The state list on that page names Puerto Rico. It does not name American Samoa. /registered-agent/american-samoa and /llc/american-samoa are not registered-agent offers on that site. This page does not add a Northwest address in the Territory. The national page says, “We scan every document you receive right where you receive it—in our office.” It also says they will scan normal business mail, up to 5 documents a year, free. That mail scan is a different service. We do not grade it as the registered-agent job.

Bizee’s national registered-agent page, checked October 1, 2026, says “Receive a Free First Year of Registered Agent” and shows a standalone price of $149/year. It says the company owns and operates offices in all 50 states and does not outsource. It does not say American Samoa. bizee.com/registered-agent/american-samoa is not on the company site, so there is no American Samoa price to show. The national page is the one used here. The page says it sends notifications for service of process or state correspondence by text and email, mails those court papers by FedEx with tracking, and uploads documents to a client portal. The contact page lists 17350 State Highway 249, Suite 220, Houston, TX 77064. That address is not an American Samoa registered-agent address. Support hours on that page are Monday through Friday, 9 a.m. to 6 p.m. Central Time. Those are support hours, not a registered office in the Territory.

LegalZoom’s registered-agent overview, checked October 1, 2026, shows $249/year. The footnote says the service auto-renews at the purchase rate each year until you cancel, the renewal rate is subject to change, and the purchase price is only available for first-time registered-agent customers. The footnote does not state a year-two number. The overview says, as a general rule, that a registered agent is a service or a person over the age of 18, available during regular business hours, and that one example of those hours is Monday through Friday, 9 a.m. to 5 p.m. It also says agents must be designated with the Secretary of State’s office. That is LegalZoom’s sentence. § 30.0615 does not state an age or a clock. American Samoa’s LLC filing office is the Treasurer. We do not call it a Secretary of State. registered-agent-american-samoa.html is not on the company site. This page does not add a LegalZoom territory article, a LegalZoom city, or a LegalZoom address. The overview talks about documents scanned and uploaded, email, and a postcard for urgent legal mail. It also says junk mail is filtered. Junk mail is not the job we score.

ZenBusiness’s page at zenbusiness.com/american-samoa-registered-agent/ is not on the company site, so there is no American Samoa price to show. The national registered-agent page is the one used here. It shows a banner, “50% OFF REGISTERED AGENT,” for the first year when you form an LLC. The same page shows $99 plus state fees for the first year and a renewal at $199 a year. Both sentences are on that national page. This page does not say which one an American Samoa checkout would charge. The page says the service is for limited liability companies and corporations in all 50 states, and that ZenBusiness currently does not offer registered-agent service to professional limited liability companies or nonprofits. That exclusion is theirs. It is not a sentence in § 30.0615. The page says they scan and upload documents to a dashboard, notify you of legal notices, and overnight urgent legal notices. It does not list a ZenBusiness address in the Territory.

A change of LLC agent is a statement of change to the Treasurer under § 30.0616, or an amendment of the certificate. The change section does not state a dollar. An amendment of the articles is $50 under § 30.0610(a)(4). Northwest’s national page does not state an American Samoa change dollar. Bizee has no American Samoa page that stated a change dollar. LegalZoom has no American Samoa article that stated one. ZenBusiness’s national page does not state one. The LLC annual report can update the agent line. It is still not the job of taking the lawsuit. The corporation annual report, due July 1 to August 1, is also not that job, and § 30.0162 does not print its fee.

Who publishes an American Samoa address

A city is not a place of business on the Treasurer’s record. This page shows only the addresses the companies publish for registered-agent use. It does not add the rest. We could not open llc.as.gov on October 1, 2026, so we could not read a live name-search hit. Confirm the agent line with the Treasurer before you file an LLC, and with Legal Affairs before you rely on a foreign-corporation permit. Headquarters is not the registered-agent address. P.O. Box 7 in Pago Pago is the Attorney General’s mail line. It is not a vendor office. A city on a marketing page is still vendor-claimed until the Territory shows it.

If you are your own agent, the address on the Treasurer’s record is often your own place of business. § 30.0615 requires a registered agent in the Territory with a place of business in the Territory, and an affirmation of consent. It does not print a who-may-serve menu. The foreign-corporation chapter wants a resident agent named in a board resolution, with an address in American Samoa. § 30.0105 wants a domestic corporation’s principal place of business in charge of an agent. This page shows all three. It does not collapse them into one English word. A commercial mailbox is not a sentence we found in § 30.0615. Northwest’s national page names no American Samoa address. Bizee publishes no American Samoa address. LegalZoom publishes no city and no address. ZenBusiness publishes no office number. Call the Treasurer for an LLC. Process Score has not been to those offices.

The $50 report, the July corporation window, and the missing change dollar

An American Samoa LLC keeps a registered agent under § 30.0615, with a place of business in the Territory. The certificate names that agent and the street and mailing addresses of the principal office. Formation numerals in the secondary fee text are $150, $175, and $200, and the words in item (1) also say “one hundred dollars.” The $175 tier waives the first $50 annual fee. The $200 tier waives the first two. The annual report is still filed. It is due after January 1 and before April 1, and the fee with it is $50 unless a tier waiver covers that year. A corporation report is due between July 1 and August 1, and § 30.0162 does not print a fee. A statement of change of the LLC agent does not print a dollar. Amending the articles is $50. A foreign corporation names a resident agent for a Governor-issued permit after Legal Affairs review. If that agent cannot be found, service falls through to the Treasurer. Northwest’s American Samoa links are not offers on that site, and the national card does not name the Territory. Bizee’s American Samoa page is not on the company site. LegalZoom’s American Samoa article is not on the company site. ZenBusiness’s American Samoa page is not on the company site. This page does not treat a company hours line as § 30.0615.

Home-address privacy

Naming a commercial agent is how many owners keep a home off the agent line. The Treasurer still keeps the registered agent’s name and mailing addresses for an LLC. The certificate and the annual report both ask for them. Privacy of the agent line is not privacy of every field. The report also asks for the street and mailing addresses of the principal office, and for at least one member or manager. The annual fee is a payment, not a mailbox. Portal marketing that says owner information “remains private,” or that the company is an “anonymous LLC,” is not § 30.0622. A blank line is not the same thing as a private line. Confirm the live line with the Treasurer. We could not open llc.as.gov on October 1, 2026.
