Oklahoma’s $25 anniversary certificate is still not the registered-agent job

What Oklahoma actually requires

18 O.S. § 2010 is how an Oklahoma LLC names the agent today. Every domestic limited liability company and registered series shall continuously maintain in this state a registered office, which may be, but need not be, the same as its principal place of business, and a registered agent for service of process. That agent may be the domestic limited liability company or registered series itself, an individual resident of this state, or a domestic or qualified foreign corporation, limited liability company, or general or limited partnership. Each registered agent shall maintain a business office identical with the registered office which is open during regular business hours to accept service of process and otherwise perform the functions of a registered agent. That is the live sentence. We print it. We do not invent a shorter one. Oklahoma puts the hours in the statute. It does not post Florida-style 10–noon / 2–4 windows. We do not treat a company 9-to-5 line as 18 O.S. § 2010.

18 O.S. § 2005 is what the articles of organization must say. They must state the name of the company, the term of existence, the street address of the principal place of business, and the name and street address of the registered agent, which shall be identical to its registered office in this state. Leaving the agent unlisted is a rejected filing. 18 O.S. § 2004 is how those articles are filed. 18 O.S. § 2055 prices the original articles at One Hundred Dollars ($100.00). That certificate is a first paper. It is not the registered-agent job.

The Secretary of State FAQ, retrieved September 18, 2026, is the street rule in office words. A registered agent may be an individual Oklahoma resident, a domestic or foreign corporation, limited liability company, or limited partnership that is on the Secretary of State’s records and in good standing, or the entity itself when filing on behalf of an Oklahoma entity. The registered agent is responsible for receiving and forwarding service of process or official notices. An entity’s registered office address must be a physical address in the State of Oklahoma where the registered agent can be personally served with process during normal business hours. That is the physical-street rule. We print it. We do not invent a shorter one. A P.O. Box is not that street. The live change form is SOS FORM 0074. 18 O.S. § 2010 is how the company changes the line. A limited liability company may designate or change its registered agent, registered office, or principal office by filing a statement signed by any manager. The change is effective when the Secretary of State files it, unless a later date, not later than the ninetieth day, is written on the paper. 18 O.S. § 2055 prices a statement of change of address of the principal office or change of resident agent, or both, at Twenty-five Dollars ($25.00). The same section prices a change of the registered agent’s name or address, or a resignation, at Twenty-five Dollars ($25.00). LegalZoom’s Oklahoma article, updated May 15, 2026, says Oklahoma charges $25 to change a registered agent by mail and $35 online. The live table we retrieved is $25. We print $25 from the statute and the table, and LegalZoom’s $25 / $35 pair. We do not invent a fourth number that makes them agree. Putting a new name on a $25 paper is still not the registered-agent job. The job is taking court papers at the Oklahoma street during regular business hours.

The same statute is how an agent steps down. A registered agent may resign by filing a signed resignation that says notice went to the company at least thirty (30) days before the filing. The resignation is effective thirty (30) days after it is filed, unless a later date, not later than the ninetieth day, is written on the paper. If the company does not name a new agent before that day, the Secretary of State shall be deemed to be the registered agent until a new one is designated. If the company has no registered agent, or the agent cannot be found, service may be made on the Secretary of State as provided in Section 2004 of Title 12. 18 O.S. § 2055 prices service of notice, demand, or process on the Secretary of State as resident agent at Twenty-five Dollars ($25.00). The same section prices the Secretary of State acting as the registered agent of a limited liability company at Forty Dollars ($40.00), paid on July 1 each year. That $40 July 1 paper is a Secretary of State-as-agent fee. It is not the everyday commercial-agent price on this table.

18 O.S. § 1022 is the corporation pair. A domestic corporation shall have and maintain a registered agent in this state. That agent may be the corporation itself, an individual resident, or a listed company. The heading on that section also says resident agent. An entity agent must keep a business office identical with the registered office which is open during regular business hours. An individual agent must be generally present at the registered office to accept service of process. A foreign corporation already has the Secretary of State as its registered agent. It may add a second agent. It may not name itself. We print the LLC rule and the corporation pair. We do not invent a third name that makes them agree.

18 O.S. § 2055.2 is the yearly Secretary of State paper this page will not confuse with the agent job. Every domestic limited liability company, and every foreign limited liability company registered to do business in this state, shall file a certificate each year that confirms it is an active business and includes its principal place of business address, and shall pay an annual certificate fee of Twenty-five Dollars ($25.00). The annual certificate shall be due on the anniversary date of filing the articles of organization or registration. The Secretary of State shall send notice at least sixty (60) days before that anniversary to the last known electronic mail address of record. A company that fails to file the certificate and pay the fee within sixty (60) days after the date due shall cease to be in good standing. The live Business Entity FAQ, retrieved September 18, 2026, says annual certificates are due on the formation date each year, that a 60-day grace period is given, and that after 60 days the entity becomes inactive and not in good standing. Whether that $25 paper can change the agent is a live conflict. We print the sources. We do not invent a winner. The annual-certificate statute asks for an active-business confirmation and a principal-place-of-business address. LegalZoom’s Oklahoma article, updated May 15, 2026, says the registered agent’s name and address must be current on the annual certificate, and that the annual certificate alone does not update your registered agent on record. If that information has changed, submit a separate statement of change before or alongside the annual certificate. We print those sources. A change of registered agent is a separate Secretary of State filing. The live table prices that change at $25. LegalZoom prints $25 by mail and $35 online. Who publishes an Oklahoma street

A city is not a registered office. We print only the streets the companies publish for registered-agent use. We do not invent the rest. The Secretary of State’s Oklahoma City contacts are not vendor suites.

• Northwest. The office-locations page lists Oklahoma City, OK 73159, Oklahoma County, and says they leave the street off this list. No street is published. We have not been to an Oklahoma City office. Northwest also sells extra mail scans from that location. Those extras are a different product.
• Bizee. Claims owned offices in all 50 states. The official registered-agent page names no Oklahoma street. The live Oklahoma product page names no Oklahoma street. The hyphenated Oklahoma URL we tried returned 404 on September 18, 2026. The contact page lists 17350 State Highway 249, Suite 220, Houston, TX 77064 as headquarters. That address is not an Oklahoma registered-agent street.

If you are your own registered agent, the street on the public record is often your home. If the company names itself, that company street is the agent street. In-state office, the LLC-may-name-itself rule, and the $25 anniversary paper

Oklahoma wants a registered agent at a physical Oklahoma street. The agent’s business office must be identical with that registered office and open during regular business hours. A P.O. Box is not that street. An Oklahoma LLC may name itself. Oklahoma does not run a Mississippi-style commercial-agent listing. Change the agent on a $25 statement. Resignation needs 30 days’ notice and ends 30 days after filing, unless a later day, not past the ninetieth, is written on the paper. If no successor is named, the Secretary of State is deemed the agent until a new one is designated. The annual certificate is $25 on the live table, due on the anniversary. Bizee’s Oklahoma page still says no annual report. Stay past the 60-day grace and the company is not in good standing. The Secretary of State may also act as the agent for $40 each July 1. Service of process, not marketing mail

Home-address privacy

A commercial registered agent is how most Oklahoma owners keep a home off the agent line. The company may also name itself. If it does, the company street is the public agent street. The Secretary of State still publishes whatever other addresses you put on a formation filing or an annual certificate. Privacy of the agent line is not privacy of every field. An Oklahoma LLC must keep an agent. It cannot leave that line blank. Confirm the live line on the Business Entity Search.
