New Jersey wants a street for your registered agent — a P.O. Box alone is not enough

What New Jersey actually requires

N.J.S.A. 42:2C-14 is New Jersey’s LLC office-and-agent rule. A limited liability company shall designate and continuously maintain in this State an office, which need not be a place of its activity in this State, and an agent for service of process. A foreign limited liability company with a certificate of authority shall do the same. An agent for service of process shall be an individual who is a resident of this State or other person with authority to transact business in this State. That is the sentence this page is built on. Georgia wants the registered office at the same street as the agent’s business office and runs an annual-registration window from January 1 to April 1. Florida files a written acceptance and posts a 10–noon / 2–4 clock. Arizona waits on a signed acceptance at the Corporation Commission. Ohio cancels the articles if you miss the 30-day statutory-agent notice. Illinois gives you 60 days after a resignation, then you are not in good standing. Delaware bans a virtual-only agent. Nevada makes a commercial agent register at ten companies. Wyoming bans UPS stores and virtual addresses. New York already names the Secretary of State as the agent. We print that contrast once. We do not invent a New Jersey written-acceptance filing we did not retrieve.

N.J.S.A. 42:2C-18 is the formation filing. The certificate of formation shall state the street and mailing addresses of the initial registered office and the name of the initial agent at that office for service of process. Street and mailing are both on that line. A street address is a place a person can walk up to, like 123 Main Street. We do not treat a P.O. Box as that New Jersey street.

The Division’s Instructions for Business Entity Public Record Filing are the street rule this page is built on. Retrieved September 8, 2026, line 8, Registered Office: “Provide a New Jersey street address. A PO Box may be used only if the street address is listed as well.” The form itself labels the registered office as a New Jersey street address. That packet still lists Title 42:2B for limited-liability companies. The live LLC statute is Title 42:2C. A fee table printed in that packet is dated April 20, 2011. We do not treat those 2011 dollars as today’s fees. Today’s dollars come from the live fee table and the live forms.

The live paper change form is Form L-122, Certificate of Change — Registered Name or Address, or Both. Retrieved September 8, 2026 from the official PDF: “If a P.O. box is used for registered address, the street address must be included.” Return the form with a $25.00 check made out to Treasurer, State of New Jersey. The instructions repeat the same dollars as the statutory fee and say: provide a New Jersey street address; a P.O. Box may be used only if the street address is listed as well. Mail goes to NJ Division of Revenue, PO Box 308, Trenton, NJ 08646. The form header still cites Title 42:2B. We print that conflict. We do not invent a newer paper form we did not retrieve.

If the agent resigns and names a successor, the paper form we retrieved is Form L-121, Certification of Resignation of Agent / Appointment of New Agent. Retrieved September 8, 2026. The instructions price that filing at $25.00, plus $10.00 for each LLC listed on the form. They repeat the same street line: provide a New Jersey street address; a P.O. Box may be used only if the street address is listed as well. Attach written statements from the affected companies ratifying the change. The form says the resignation becomes effective when this certificate is filed, or when the company names a new agent, whichever is earlier. The header still cites Title 42:2B. A directory listing at nj.gov/treasury/revenue/dcr/pdforms/ returned 404 the same day. The individual PDFs loaded.

If the agent resigns and does not name a successor, the paper form we retrieved is Form L-123, Certification of Resignation of Registered Agent Without Successor. Retrieved September 8, 2026. The instructions price that filing at $25. The face of the form says the resignation becomes effective 30 days after filing with the Treasurer, or when the company names a new agent, whichever is earlier. The instruction page on the same PDF says the resignation is effective upon the filing of the change form, or upon designation of a new agent, whichever is earlier. Those two sentences on one PDF do not match. We print both. We do not pick a winner. We do not treat either line as N.J.S.A. 42:2C-16, which we could not read.

N.J.S.A. 42:2C-15 is how you change the office or the agent. A limited liability company or foreign limited liability company may change its registered office, its agent for service of process, or the address of its agent for service of process by delivering a statement of change to the filing office. A registered agent may, with prior notice to the company, move the registered office to another New Jersey address by filing that statement. Filing the statement is deemed an amendment of the certificate of formation or the certificate of authority. The company does not have to file a second amendment for that step. The paper path we retrieved for an LLC is Form L-122 at $25. The Annual Reports and Change Services portal also lets you change a registered agent or office online.

N.J.S.A. 42:2C-17 is service of process. The appointed agent is the agent of the company for any process, notice, or demand the law lets you serve on the company. If the company does not appoint or maintain an agent, or the agent cannot with reasonable diligence be found at the agent’s street address, the filing office is an agent on whom process may be served. Service on the filing office is a fallback. It is not the everyday job. The statute talks about the agent’s street address. We do not treat a P.O. Box as that street.

N.J.S.A. 14A:4-1 is the corporation pair. Every New Jersey corporation, and every foreign corporation authorized to transact business here, shall continuously maintain a registered office in this State and a registered agent having a business office identical with such registered office. The registered office may be, but need not be, the same as a place of business of the corporation. The agent may be a natural person 18 or older, or a domestic or foreign corporation authorized to transact business in this State. We print that pair so a corporation reader is not sent to the LLC page alone. The identical-office sentence is the corporation rule. The LLC rule in N.J.S.A. 42:2C-14 does not copy that sentence. We do not invent an identical-office line for an LLC.

New Jersey also files an annual report. That filing is not the registered-agent job. N.J.S.A. 42:2C-26 puts the name and address of the limited liability company, the name and address of the registered agent, and the names and addresses of the managing members or managers on that report. If a domestic limited liability company’s certificate is transferred to the inactive list, or a foreign limited liability company’s certificate is revoked, the filing office reinstates it upon payment of the fees then due: a reinstatement filing fee, the current annual-report fee, and all delinquent annual-report fees. Business.NJ.gov, first retrieved September 8, 2026, says every business in New Jersey must file an annual report, that the filing includes keeping the registered agent and address up to date, and that the fee is $75. The report is due every year on the last day of the month in which you completed your business formation. The responsibility to file falls on the business even if you fail to receive any notification from the State. Failure to file can result in the revocation of your business. A later September 8, 2026 fetch of that same Business.NJ.gov page was blocked by Incapsula. We print the first retrieval. We do not invent a new due date from the blocked page. File on the Division of Revenue annual-report portal. That portal loaded and then sent us to a login screen.

The official fee table, last updated July 1, 2026 and retrieved September 8, 2026, prices a for-profit limited-liability-company annual report at $75. A for-profit corporation or limited-partnership annual report is also $75. A nonprofit annual report is $30. Certificate of formation for an LLC is $100. “All amendments” for an LLC is $100 on that table. Form L-122 is a separate $25 change path on the official PDF. We do not treat the $100 amendment line as the L-122 dollars. The official reinstatement table, last updated April 24, 2025 and retrieved September 8, 2026, prices a limited-liability-company reinstatement filing at $75, plus the current annual report of $75, plus all delinquent annual reports, plus $25 to change the registered agent or office if that change is part of the reinstatement. A for-profit corporation’s reinstatement line is $95 ($75 for reinstatement and $20 for filing tax clearance), plus the same current and delinquent annual-report dollars, plus the same $25 agent-or-office change if it applies.

The Business Records Service is the live lookup. The Division says you can search for information on corporations and limited liability companies on file with the State and obtain status reports and copies. Confirm the live name and street before you treat a marketing city as current. Headquarters is not the registered office. The Division desk at 33 West State Street, 5th Floor, Trenton, is not a vendor suite. The L-122 mail drop at PO Box 308 is not a vendor suite either. The Secretary of State contact at 125 West State Street on a vendor page is a different desk. It is not the Division of Revenue, and it is not a vendor suite.

N.J.S.A. 42:2C-16 is the LLC resignation section. The 2025 statute index lists that title. A September 8, 2026 fetch of the Justia section page was Cloudflare-blocked (HTTP 403). We do not invent a 30-day LLC clock from that blocked page. Form L-123’s face prints a 30-day line. Form L-123’s instructions do not copy that sentence. The repealed limited-liability-company act, N.J.S.A. 42:2B-7, used a 30-day resignation line. That is not today’s 42:2C text we were able to read. ZenBusiness’s New Jersey page prints a 30-day resignation line. That is vendor copy plus the L-123 face. We do not treat it as N.J.S.A. 42:2C-16.

We print what the company’s official registered-agent page said on the retrieval date. No company publishes a different New Jersey registered-agent price from the national card, except where we note a New Jersey-page renewal line. We do not invent a renewal.

A change of agent is a separate Division of Revenue filing. We cite the official L-122 PDF and the official fee table, retrieved September 8, 2026, not company blogs. Form L-122 is $25. The for-profit annual report is $75. ZenBusiness’s New Jersey page says a change made on the annual report still carries a $25 statutory fee, so you should budget $100. That is vendor copy. We print the official $75 annual-report line and the official $25 L-122 line. We do not invent a third stack.

Who publishes a New Jersey street

A city is not a registered office. We print only the streets the companies publish for registered-agent use. We do not invent the rest. Confirm the live name and street on the Business Records Service before you file. Headquarters is not the registered office. The Division of Revenue’s Trenton contacts are not vendor suites.

• Northwest. The New Jersey FAQ answers “Where is Northwest’s registered office in New Jersey?” with “We accept and scan all of our New Jersey clients’ documents on-site at our registered office in Branchburg, NJ.” No street is published. Same-day local scans and instant notices are vendor-claimed. We have not been to a Branchburg office.
• Bizee. Claims owned offices in all 50 states. The official registered-agent page names no New Jersey street. The New Jersey product URL we tried returned 404 on September 8, 2026. The contact page lists 17350 State Highway 249, Suite 220, Houston, TX 77064 as headquarters. That address is not a New Jersey registered-agent street.
• LegalZoom. The official registered-agent overview does not publish a New Jersey street. The New Jersey article, updated April 30, 2026, explains the Division of Revenue and Enterprise Services and names no LegalZoom street. We do not invent a suite. We do not treat a LegalZoom virtual-mail street as the registered-agent street.
• ZenBusiness. The New Jersey product page publishes no ZenBusiness street or city. The product page shows a “New Jersey Secretary of State” contact at 125 W State St, Trenton, NJ 08608, with mail to P.O. Box 300 and nj.gov/state. Those lines are the Department of State, not the Division of Revenue, and not ZenBusiness’s registered office. We do not treat 125 West State Street as their street. The Division’s records desk we retrieved is 33 West State Street, 5th Floor. That is not a vendor suite either. We will not invent a suite.

If you are your own agent, the street on the public record is often your home. If you hire a commercial registered agent, the agent line is that organization’s name and its New Jersey street. Northwest names Branchburg and no street. Bizee, LegalZoom, and ZenBusiness publish no New Jersey street. We label every city vendor-claimed. We have not been to those offices. Use the Business Records Service.

In-state office and the Division of Revenue desk

New Jersey wants an in-state office and an agent for service of process. The formation certificate asks for street and mailing addresses. Form L-122 will not take a P.O. Box alone. A corporation’s registered agent must keep a business office identical with the registered office. An LLC’s statute does not copy that identical sentence. The annual report is due the last day of the anniversary month of formation. Change the agent on that report, or on the $25 L-122. Miss the report and Business.NJ.gov says the business can be revoked. New Jersey does not run a Nevada-style ten-company commercial-agent register, and it does not post a Florida-style 10–noon / 2–4 clock. Northwest claims Branchburg and no street. LegalZoom’s official overview names no New Jersey street. ZenBusiness’s New Jersey product page names no ZenBusiness street. The 125 West State Street line is the Department of State. The 33 West State Street line is the Division of Revenue. Bizee names no New Jersey street. Process Score has not been to those offices. We do not treat a company 9-to-5 line as N.J.S.A. 42:2C-14.

Service of process, not marketing mail

We grade scan-and-forward of service of process and official notices:

• Bizee: notifications by text and email; court papers mailed via FedEx with tracking; portal upload by employees.
• Northwest: “We scan every document you receive right where you receive it—in our office.” The New Jersey page adds same-day local Branchburg scans. Their mail-forwarding extras are a different product. We do not grade those extras as a mailbox.
• LegalZoom: upload, email, and a postcard for urgent legal mail; they say they shred junk mail. Junk-mail shredding is not the job we score.
• ZenBusiness: scan and upload to a dashboard; email; overnight the original for urgent legal notices. Their own FAQ says you cannot use the agent address as your business address. Their national product currently excludes PLLCs and nonprofits; that is their exclusion, not a New Jersey statute.

Home-address privacy

A commercial organizational agent is how most New Jersey owners keep a home off the agent line. The Division of Revenue still publishes whatever other addresses you put on a certificate or an annual report. Privacy of the agent line is not privacy of every field.
