Pennsylvania files a registered office, not a registered agent

What Pennsylvania actually requires

15 Pa.C.S. § 109 is Pennsylvania’s commercial-registered-office-provider rule. Where this title asks for a registered-office address, the filer may substitute the term “c/o” followed by the name of an association that has filed, and not withdrawn, a statement of address of commercial registered office, plus the name of any Pennsylvania county and a statement that the registered office of the association represented shall be deemed for venue and official publication purposes to be located in that county. For venue and official publication, the county so named controls over the address in the provider’s current statement. That is the sentence this page is built on. Florida files a written acceptance. Arizona waits on a signed acceptance at the Corporation Commission. Ohio files the acceptance with the Secretary of State. Pennsylvania does not file a registered-agent designation. We print that contrast once. We do not invent a fourth Pennsylvania filing rule we did not retrieve.

The Department of State commercial registered office provider page says the same thing in plain words. Associations registering with the Department of State must have a registered office address. It must be an actual street address or rural route box number in Pennsylvania. Post office box addresses alone are not acceptable. That sentence cites 15 Pa.C.S. § 135. Listing a commercial registered office provider in lieu of a street is an option for any association that does not have a physical location or mailing address in Pennsylvania. Before you list one, enter into a contract for those services. Listing a provider without a contract could subject a filer to civil and criminal penalties. Those providers may not be used for filings in which a principal place of business is required, for example a fictitious-name registration. A street address is a place a person can walk up to, like 123 Main Street. We do not treat a P.O. Box as that Pennsylvania street.

That same official page draws a line other states do not draw. A commercial registered office provider is not the same as a registered agent. Many states require the designation of a registered agent in order to register a business. Pennsylvania does not. A registered agent is typically an agent for service of process under the Rules of Civil Procedure. A commercial registered office provider may also be “an agent authorized by the corporation or similar entity in writing to receive service of process for it” under Pa.R.C.P. 423 and 424, but such agents are not required to be publicly designated with the Department of State as part of the business registration process. 15 Pa.C.S. § 8825 is the LLC registered-office rule. Every limited liability company shall have and continuously maintain in this Commonwealth a registered office which may, but need not, be the same as its place of business. Change the office by amending the certificate of organization, by including the change in an annual report under 15 Pa.C.S. § 146, or by filing a certificate of change of registered office. The alternative procedure is the “c/o” statement in 15 Pa.C.S. § 109(a). A statement about the registered office in a Department of State filing operates as an amendment of the certificate of organization. 15 Pa.C.S. § 1507 is the corporation pair. Every business corporation shall have and continuously maintain in this Commonwealth a registered office which may, but need not, be the same as its place of business. The board may authorize a change. Before it becomes effective, include it in the annual report, amend the articles, or file a statement of change of registered office. The same “c/o” alternative applies. We print that pair so a corporation reader is not sent to the LLC page alone.

15 Pa.C.S. § 135(c) is the address sentence. Whenever this title requires an address, that address is an actual street address or rural route box number, and the department shall refuse to receive or file any document that sets forth only a post office box address. Whenever this title requires a registered-office address, the filing must also state the county. 15 Pa.C.S. § 108 is how a provider itself moves or drops the office. The person in care of the office files a statement of change of registered office by agent. If that person stops keeping the office, the location of the registered office is not affected, but that person no longer has responsibility for matters tendered in the name of the association represented. The association does not have to file anything for that step. The provider must promptly send the association a copy of the filed statement.

A provider that wants to keep offices for others files a statement of address of commercial registered office under 15 Pa.C.S. § 109(b). That statement names the representing association, its form of organization, a statement that it is in the business of maintaining registered offices in this Commonwealth, and the address, including street and number, if any, of a place of business in this Commonwealth to which communications directed to each person represented by it may be delivered. Confirm the live name on the official provider list and the live registered-office line on the business search before you treat a marketing city as current. That list is not an endorsement. Headquarters is not the registered office. The Department of State desk in Harrisburg is not a vendor suite.

Pennsylvania also files an annual report. That filing is not the registered-office job. 15 Pa.C.S. § 146 puts the registered-office address, subject to the commercial-provider rule, on every annual report. The first report is due in the calendar year after the association becomes subject to the section. A corporation’s report is due before July 1. A limited liability company’s report is due before October 1. Any other association’s report is due on or before December 31. If the report names a different registered office, that office is changed as of the filing. A same-year update of the report has no fee. The Department of State annual-report page prices the for-profit report at $7 and the nonprofit report at $0. File online at file.dos.pa.gov. The long-time decennial report is repealed. Failure to file will, after the transition the Department of State describes, subject the association to administrative dissolution, termination, or cancellation and loss of name protection. Beginning with annual reports due in 2027, associations that fail to file in the 2027 calendar year will be subject to that dissolution six months after the due date. Reinstatement of a domestic association has no time limit. A foreign registration that is terminated for a missed report is not reinstated. It must reregister. The official fee table prices electronic reinstatement at $35, paper reinstatement at $40, and $15 for each annual report not previously paid.

The same official fee table prices a change of registered office at $5 and a change of registered office by agent at $5. Service of process, each defendant named or served, is $70. Certificate of organization for a domestic limited liability company is $125. Those dollars are Department of State dollars. They are not the vendor’s year-1 card. Who publishes a Pennsylvania street

A city is not a registered office. We print only the streets the companies publish for registered-office use, and the streets the Department of State prints on the official provider list. We do not invent the rest. Confirm the live name and street on the business search before you file. Headquarters is not the registered office. The Department of State’s Harrisburg contacts are not vendor suites.

• Northwest. The Pennsylvania FAQ answers “Where is Northwest’s registered office located in Pennsylvania?” with “We scan all documents locally from our office in downtown King of Prussia, PA.” No street is published on that product page. The official provider list, retrieved September 7, 2026, lists Northwest Registered Agent LLC at 502 West 7th Street, Suite 100, Erie, PA 16502. King of Prussia and Erie are different cities. That is a conflict between the product page and the official list. Same-day local scans and instant notices are vendor-claimed. We have not been to a King of Prussia office or an Erie office. Confirm the live line on the business search.
• Bizee. Claims owned offices in all 50 states. The official registered-agent page names no Pennsylvania street. Bizee does not appear on the official provider list retrieved September 7, 2026. The contact page lists 17350 State Highway 249, Suite 220, Houston, TX 77064 as headquarters. That address is not a Pennsylvania registered-office street.
• LegalZoom. The official registered-agent overview does not publish a Pennsylvania street. The Pennsylvania article explains registered office and commercial registered office provider and names no LegalZoom street. LegalZoom does not appear on the official provider list retrieved September 7, 2026. We do not invent a suite. We do not treat a LegalZoom virtual-mail street as the registered-office street.
• ZenBusiness. The Pennsylvania product page prints a vendor-claimed office at 2040 Linglestown Road, Suite 10, Harrisburg, PA 17110, Dauphin County, Monday–Friday 8 a.m.–5 p.m. EST. The official provider list the same day lists ZenBusiness Inc. at 2040 Linglestown Road, Suite 109, Harrisburg, PA 17110. Suite 10 and Suite 109 are different suites on the same road. We print both. We do not invent which suite is live. The product page also says the office is 6.7 miles from the Pennsylvania State Capitol. That Capitol line is not ZenBusiness’s registered office. Confirm the live line on the business search. We have not been to that office.

If you list your own street, that street on the public record is often your home. If you hire a commercial registered office provider, the public line is that organization’s name and the county you name for venue. Northwest names King of Prussia on the product page and Erie on the official list. ZenBusiness names Harrisburg and two suites. Bizee and LegalZoom publish no Pennsylvania street and do not appear on the official list we retrieved. We label every city vendor-claimed. We have not been to those offices. In-state office and the commercial-provider list

Pennsylvania wants an in-state street or rural route box, or a commercial registered office provider already on file, plus a county. The registered office may, but need not, be the place of business. The annual-report window is January 1 to June 30 for a corporation and January 1 to September 30 for a limited liability company. Change the office on that report, on an amendment, or on the $5 statement. Miss the 2027 annual report and, six months after the due date, the Department of State can dissolve, terminate, or cancel the association. Pennsylvania does not run a Nevada-style ten-company commercial-agent register, and it does not post a Florida-style 10–noon / 2–4 clock. Northwest claims King of Prussia and the official list prints Erie. LegalZoom’s official overview names no Pennsylvania street. ZenBusiness’s Pennsylvania product page names Suite 10; the official list names Suite 109. Bizee names no Pennsylvania street and is not on the official list we retrieved. Process Score has not been to those offices. We do not treat a company 8-to-5 line as 15 Pa.C.S. § 109.

Service of process, not marketing mail

We grade scan-and-forward of service of process and official notices:

• Bizee: notifications by text and email; court papers mailed via FedEx with tracking; portal upload by employees.
• Northwest: “We scan every document you receive right where you receive it—in our office.” The Pennsylvania page adds same-day local scans. Their mail-forwarding extras are a different product. We do not grade those extras as a mailbox.
• LegalZoom: upload, email, and a postcard for urgent legal mail; they say they shred junk mail. Junk-mail shredding is not the job we score.
• ZenBusiness: scan and upload to a dashboard; email; overnight the original for urgent legal notices. Their own FAQ says you cannot use the agent address as your business address. Their national product currently excludes PLLCs and nonprofits; that is their exclusion, not a Pennsylvania statute.

Home-address privacy

A commercial registered office provider is how most Pennsylvania owners keep a home off the registered-office line. The Department of State still publishes whatever other addresses you put on a certificate or an annual report. Privacy of the registered-office line is not privacy of every field.
