Colorado will not take a commercial mailbox or a P.O. Box as the registered-agent street

C.R.S. § 7-90-701 is Colorado’s registered-agent rule. Every domestic entity with a constituent filed document on the Secretary of State record, and every foreign entity authorized to transact business or conduct activities here, shall continuously maintain in this state a registered agent. That agent is an individual who is eighteen years of age or older whose primary residence or usual place of business is in this state; a domestic entity having a usual place of business in this state; or a foreign entity authorized here that has a usual place of business in this state. An entity having a usual place of business in this state may serve as its own registered agent. Any document that appoints a registered agent shall contain a statement that the person has consented to being so appointed. That is the sentence this page is built on. New Jersey wants a street and will not take a P.O. Box alone. Ohio files a written acceptance and cancels the articles if you miss the 30-day statutory-agent notice. Illinois gives you 60 days after a resignation, then you are not in good standing. Georgia wants the registered office at the same street as the agent and will not let an entity be its own agent. Florida files a written acceptance and posts a 10–noon / 2–4 clock. Arizona waits on a signed acceptance at the Corporation Commission. Delaware bans a virtual-only agent. Nevada makes a commercial agent register at ten companies. Wyoming bans UPS stores and virtual addresses. New York already names the Secretary of State as the agent. Pennsylvania files a registered office, not a registered agent. We print that contrast once. We did not retrieve a Colorado written-acceptance form.

The Secretary of State registered-agent FAQ, retrieved September 8, 2026, is the street rule this page is built on. A registered agent is an individual or a company that is your official point of contact in Colorado to receive service of process, legal and state documents, and relay those communications to the business. Colorado law requires the registered agent to have a physical address in Colorado. Almost all entities on record must keep that Colorado address, even if the business sits in a different state. The Secretary of State cannot be appointed as a registered agent. You may appoint only one individual or one entity. The agent must consent. A street address is a place a person can walk up to, like 123 Main Street. We do not treat a P.O. Box as that Colorado street.

FAQ A6 is the usual-place-of-business sentence. “A usual place of business located in Colorado” means that the registered agent has a physical street address located in Colorado and that the place is customarily open during normal business hours. This is a place where the registered agent can physically in person accept documents for the entity. Commercial or P.O. Box addresses cannot be used as a registered agent's physical street address. FAQ A7 is the mailing line. If the agent has a mailing address different from the physical street, enter it in the mailing-address section, not on the street line. That different mailing address may be a commercial or P.O. Box, but it must also be located in Colorado. We print both sentences. We do not treat a commercial mailbox as the street because a mailing box sits next to it.

The same FAQ, and the Registered Agent Requirements Effective July 1, 2025 page, are the 2024 law-change sentences. An individual agent must be over the age of 18, must live in Colorado or keep a usual place of business here, and must hold a current, valid Colorado driver’s license or identification card, or verify residency with the office. A company agent must be in good standing on the Secretary of State record, must keep a usual place of business in Colorado, and, if it is foreign, must have authority to transact business here. The FAQ says an entity may serve as its own registered agent after it registers, and only if it is in good standing. That self-appointment is a two-step path: first name an eligible individual or another entity on the formation filing, then file a change to put the entity on its own agent line. We print that official two-step. The FAQ does not describe a one-click self-appointment.

FAQ A4 is the passcode path. If the individual does not have a Colorado driver’s license or identification card, the office still lets that person serve after an alternative residency check. Request a registered-agent passcode. Attach one document that shows the Colorado street, for example a bank statement or a utility bill. The FAQ says the request is reviewed and, if approved, a passcode is emailed to the person who submitted the request. That passcode expires 45 calendar days after it is issued. FAQ A5 lists the documents the office will take: a utility bill, a bank or credit-card statement, a mortgage statement, government-issued correspondence, or a tribal ID, dated within the last 90 days, with a specific issue date, the person’s first and last name exactly as entered, and the complete physical street. Digital copies are acceptable. ZenBusiness’s Colorado page, last updated August 31, 2026, says the passcode will be mailed. The official FAQ says emailed. We print both. We do not pick a winner.

C.R.S. § 7-90-702 is how you change or drop the agent. An entity may change its registered agent, the registered-agent address, or the registered-agent name only by stating the different line on a statement of change under C.R.S. § 7-90-305.5, on a periodic report under C.R.S. § 7-90-501, or on a Secretary of State form prescribed for that change. If the agent’s own name or address changes, the agent files the statement of change and states that notice of the change was delivered to the entity. If the agent resigns or is no longer the agent, that person, or a legal representative, may file a statement of change that names the old line, the date the person resigned or otherwise ceased to be the agent, and a statement that notice was delivered to the entity. That resignation filing is effective on the thirty-first day after it is filed, or on a delayed date the filing names that is not earlier than the thirty-first day and not later than the ninetieth day, or on the effective date of a statement appointing a different person, whichever occurs first. The official fee table, revised July 1, 2024 and retrieved September 8, 2026, prices a statement of change changing the registered-agent information at $10 and a statement of change regarding resignation or other termination of registered agent at $10. Those dollars are online-only on that table. Paper is marked n/a.

The noncompliance FAQ, retrieved September 8, 2026, is the clock after a resignation. If a new registered agent is not appointed within thirty days after the resignation of the current registered agent, the entity will become Noncompliant. The statute’s thirty-first-day effective date and the FAQ’s thirty-day Noncompliant line are not the same sentence. We print both. The sources do not agree. This page does not add a third clock. An entity with a status of Noncompliant for sixty days will then become Delinquent if the appropriate form is not filed. FAQ A1 also says the record becomes Noncompliant if the entity does not file its periodic report on time or does not keep a registered agent on file.

C.R.S. § 7-90-704 is service of process. The registered agent is an agent of the entity authorized to receive service of any process, notice, or demand the law lets you serve on the entity. The registered agent is also the person to whom the Secretary of State may deliver forms, notices, or other documents for the entity, unless an organic statute says otherwise. If the entity has no registered agent, or the agent is not located under its registered-agent name at its registered-agent address, or the agent cannot with reasonable diligence be served, the entity may be served by registered mail or by certified mail, return receipt requested, addressed to the entity at its principal address. Service is perfected at the earliest of the date the entity receives the papers, the date shown on the return receipt if signed on behalf of the entity, or five days after mailing. That mail-to-the-principal-office path is a fallback. It is not the everyday job. FAQ A12 repeats the same mail sentence. Service on the Secretary of State is not the Colorado fallback. New York starts with the Secretary of State on the agent line. Colorado’s FAQ says the Secretary of State cannot be appointed as a registered agent.

C.R.S. § 7-90-707 prints a commercial-registered-agent listing statement: a registered agent may become listed as a commercial registered agent by delivering that statement to the Secretary of State, with the registered-agent name and address, an email address for Secretary of State notifications, and a list of the entities the agent represents at the time of filing. An editor’s note on the public-law text we retrieved September 8, 2026 says that section is effective ninety days following certification by the secretary of state. We did not retrieve that certification. We do not treat a live commercial-registered-agent register as open. A section that still carries that editor’s note does not supply a Nevada-style ten-company bar. Confirm the live name and street on the Business Database Search.

Colorado also files a periodic report. That filing is not the registered-agent job. C.R.S. § 7-90-501 puts the registered-agent name and registered-agent address, and the principal-office address, on every periodic report. The first report is due no later than the last day of the second calendar month following the first anniversary of the calendar month in which the constituent filed document, or the statement of foreign-entity authority, became effective. After a reinstatement or a curing of delinquency, that first-anniversary clock restarts from the month of that filing. Thereafter the report is delivered annually. Information on the report must be current as of the day it is delivered. The report shall not state a delayed effective date. Fail or refuse to deliver the report on or before the due date and pay the prescribed processing fee, and the entity is subject to a penalty under C.R.S. § 24-21-104(3).

The periodic-report FAQ, retrieved September 8, 2026, is the office’s plain-language window. Reporting entities, including limited liability companies, corporations, nonprofit corporations, and foreign entities, must submit a periodic report each year. The report must be filed electronically through the Secretary of State website. Find the reporting month on the entity’s Summary page under “Periodic report month.” The periodic report can be filed two months prior to that month or two months after without any penalty. The noncompliance FAQ says entities are given five months to file the periodic report. If the Periodic Report month is January, the due date is March 31. If the report is not electronically filed by that date, the entity’s status becomes Noncompliant and the late fee is assessed. An entity with a Noncompliant status for sixty days then becomes Delinquent. The periodic-report FAQ Q7 says the entity’s status will become Delinquent if a report is not filed. The official fee table, revised July 1, 2024 and retrieved September 8, 2026, prices a periodic report at $25 online. The periodic-report late-filing penalty is $50. A statement of change changing the registered-agent information is $10. A statement of change regarding resignation or other termination of registered agent is $10. A statement of correction correcting the registered-agent information is $10. A statement of correction that the registered agent has not consented is $10. A statement curing delinquency is $100. Reinstatement is $100. Articles of organization for a limited liability company are $50. A foreign-entity authority statement is $100. Certificates of good standing are free online. Those dollars are Secretary of State dollars. They are not the vendor’s year-1 card. A June 17, 2024 Secretary of State news release said the periodic-report fee moved from $10 to $25 on July 1, 2024. We print the live table, not the old $10 line.

C.R.S. § 7-90-901 is why a missed agent or a missed report can take the company off good standing. A domestic reporting entity may be declared delinquent if it does not pay a fee or penalty when due, if it does not comply with the periodic-report part, or if it does not comply with the registered-agent part. A foreign reporting entity may be declared delinquent on those same grounds, plus a false statement of foreign-entity authority, or a certificate from its home office that it no longer exists. Delinquency is not the registered-agent job. It is what happens when the registered-agent job, or the periodic report, is not kept. Confirm the live name and street on the Business Database Search before you treat a marketing city as current. Headquarters is not the registered office.
