The U.S. Virgin Islands wants a resident agent with a physical address in the territory. An LLC pays a $300 minimum annual filing fee by June 30. The filing office is the Lieutenant Governor's Division of Corporations and Trademarks.

What the U.S. Virgin Islands actually requires

We opened the Justia pages for 13 V.I.C. §§ 51–55 on September 29, 2026. The site returned a security check, so we could not read the section bodies in the browser. A public index of that subchapter still titles the sections. 13 V.I.C. § 51 is titled “Principal office and resident agent in United States Virgin Islands.” 13 V.I.C. § 52 is titled “Change of location of principal office; change of resident agent.” 13 V.I.C. § 54 is titled “Resignation of resident agent coupled with appointment of a successor.” 13 V.I.C. § 55 is titled “Resignation of resident agent not coupled with appointment of successor.” We do not print a 30-day resignation clock, a registered-mail notice, or a charter-forfeiture action from a section body we could not read. The Division glossary, which we could read, defines the resident agent. 13 V.I.C. § 2, in a public copy of that Justia page, says the articles include the name of, and the street address in, the town where the principal office or place of business is to be located in the Virgin Islands, and the name of the resident agent, which may be an individual or a corporation. 13 V.I.C. § 53, in a public copy of that Justia page, says a resident agent may move the office from one address to another in the same town, or to another town in the United States Virgin Islands, by an acknowledged certificate filed in duplicate with the Lieutenant Governor. The Lieutenant Governor certifies one copy. That copy is filed with the clerk of the district court in the judicial division where the corporation keeps its principal office. The same section says the Lieutenant Governor’s fee for that certificate is the fee in section 431(a)(11). We did not open section 431. The fee listing prices “Change of Resident Agent and/or Resident Agent Address” at $25 for the corporation rows we read. We do not treat section 431 as a dollar we opened.

13 V.I.C. § 1109 is the LLC sentence we could read. The text is an annotated extract of the Virgin Islands Code. The extract says it is current through Act 7616 of the 2014 regular session. It is not a 2026 reprint. Justia’s 2019 page is the public link, and that page returned a security check when we opened it. The extract says a limited liability company, and a foreign limited liability company authorized to do business in the Virgin Islands, shall designate and continuously maintain in the Virgin Islands an office, which need not be a place of its business, and an agent and physical address of the agent for service of process. An agent must be an individual resident of the Virgin Islands, a domestic corporation, another limited liability company, or a foreign corporation or foreign company authorized to do business in the Virgin Islands. The section does not print an age of 18. It does not print “9 a.m. to 5 p.m.” It does not print the words “P.O. Box.” 13 V.I.C. § 1110 says the company may change the designated office or the agent by delivering a statement of change to the office of the Lieutenant Governor. The statement sets out the company name, the physical address of the current designated office, the physical address of a new designated office if that office changes, the name and address of the current agent, and, if the agent or the agent’s physical address changes, the new address or the name and physical address of the new agent. The fee listing prices that LLC change at $50. The statute extract does not print $50.

13 V.I.C. § 1111 is the LLC resignation we could read in that same extract. The agent may resign by delivering a statement of resignation to the office of the Lieutenant Governor. After filing, the Lieutenant Governor mails a copy to the designated office and another copy to the company at its principal office. An agency is terminated on the 31st day after the statement is filed. The fee listing prices “Resignation of Resident Agent” at $50 on the LLC block and at $25 on the corporation blocks we read. The extract does not print those dollars. 13 V.I.C. § 1112 says the appointed agent is the agent for any process, notice, or demand the law lets someone serve on the company. If the company fails to appoint or maintain an agent in the Virgin Islands, or the agent cannot with reasonable diligence be found at the agent’s address, the Lieutenant Governor is deemed an agent. Service on the Lieutenant Governor may be made by leaving duplicate copies with the Lieutenant Governor, the Director of the Corporate and Tradename Division, or a clerk in charge of limited liability companies in that office. The office then forwards one copy by registered or certified mail, return receipt requested, to the designated office. Service is effective on the earliest of the date the company receives it, the date on the return receipt if signed for the company, or five days after a postpaid, correctly addressed deposit in the mail. That fallback is the Lieutenant Governor. It is not a commercial-agent list.

The yearly paper is a different job. Say it once so the dollars do not get mixed up with the lawsuit. The Division FAQ, read September 29, 2026, says corporations, partnerships (limited partnerships, limited liability partnerships, and limited liability limited partnerships), and limited liability companies shall remit the report by or before June 30 of every year, for the business entity’s last tax closing year. It cites Title 13 §§ 371, 373, and 1211, and Title 26 § 223. A message on the same page is a 2020 reminder about franchise taxes and annual filing fees on or before June 30, 2020, through Catalyst. That message is a 2020 notice. It is not a new standing due date. The FAQ’s “every year” sentence is the standing line we read. 13 V.I.C. § 1211 in the 2014-current extract says the annual report includes the mailing and physical address of the designated office, the name and physical address of the agent for service of process, the mailing and physical address of the principal office, and the names and business addresses of any managers. The first report is due on or before June 30 of the year following the calendar year of organization or of a foreign company’s authority. Later reports are due on or before June 30 of the following calendar years. The filing fee in that extract is $1.50 for each thousand dollars of capital used in conducting business in the Virgin Islands, and the minimum fee is $300. A company that fails to file the report or pay the fee is liable for a penalty of 20 percent of the fee or $50, whichever is greater, and interest at 1.5 percent, compounded annually for each month or part thereof that the fee remains unpaid. We print that interest sentence as the extract prints it. We do not shorten it into a different rate. The April 22, 2019 fee listing prints “Annual Filing Fees Limited Liability Company” at $300.00 minimum. That minimum matches the extract. The listing does not print the $1.50 rate or the penalty. The same FAQ says the franchise tax minimum for domestic and foreign profit corporations increased from $150 to $300 on January 29, 2018, under Act No. 8027, which amended 13 V.I.C. § 531. The fee listing prints “Franchise Taxes” at $300.00 minimum for domestic, professional, and cooperative corporations, and again at $300.00 minimum for foreign profit, professional, and cooperative corporations. The Act PDF linked on the Division page did not yield readable text when we opened it. It is a scan. We print the FAQ sentence and the fee-listing rows. We do not invent the rest of the Act. Filing the report or paying the franchise tax is the company’s job. It is not the job of taking the lawsuit.

Formation dollars sit next to those fees. The fee listing prints domestic, professional, and cooperative “Original Articles of Incorporation” at $150.00 minimum, and foreign profit “Qualification Documents” at $150.00. It prints LLC “Original Articles of Organization” at $300.00 minimum and “Application for Foreign Limited Liability Company” at $300.00 minimum. An original amendment to LLC articles is $150.00. A certificate of good standing is $25.00 on the corporation rows and the LLC row we read. “24-Hour Expedite Processing” is $250.00 plus filing fee. The FAQ says the expedite is a one-time $250 payment per filing per submission for a response by the next business day, and that a returned filing needs another $250 if you want that speed again. Standard processing, on the FAQ, is a notification within seven days. Those are speed fees. They are not the agent’s yearly price. The April 22, 2019 business-entity fee listing we read does not print a commercial registered-agent listing fee. The LLC agent sections we could read do not print one. We do not invent a listing regime or a listing dollar.

The consent form is a separate paper. Form RACA12, the 2026 fillable “Resident Agent Form for Service of Process,” says the signer has been designated as resident agent, consents to service of process under Titles 11 (Chapter 21), 13, and 26 of the Virgin Islands Code, and signs under penalty of perjury. It asks for a daytime contact number, a physical address, a mailing address, and an email address. The notary block says “NOTARY ACKNOWLEDGEMENT (ONLY IN USVI).” The 2026 comments copy of that form says the address lines are a U.S. Virgin Islands physical address and a U.S. Virgin Islands mailing address. An older consent PDF, still linked on the Division page, is the same form number and consents under Title 13 only. Its notary block does not print the words “ONLY IN USVI.” We print both forms. We do not invent which one a clerk will accept. The 2026 Catalyst instructions for new business entities say an executed and duly notarized resident agent form is needed for all business entities, and that the form is not required for all trade names. Those 2026 instructions still print a St. Croix line of “1105 Kings Street.” The fee listing header prints “1105 King Street.” The Division contact block prints “1131 King Street, Suite 101.” We do not pick a spelling or a street.

The office we read prints streets and phones. It does not print one clock for the agent. The Division contact block, read September 29, 2026, prints 1131 King Street, Suite 101, Christiansted, St. Croix, Virgin Islands 00820, at 340-773-6449, and 5049 Kongens Gade, St. Thomas, Virgin Islands 00802, at 340-774-2991 for St. Thomas and St. John. The April 22, 2019 fee listing header prints 5049 Kongens Gade, Charlotte Amalie, Virgin Islands 00802, phone 340.776.8515, and 1105 King Street, Christiansted, Virgin Islands 00820, phone 340.773.6449. The FAQ says cash, money orders, and checks go to 52E-1 Estate Thomas (Builders Emporium) on St. Thomas and 1105 King Street (Government House) in Christiansted, and only after the filing exists in Catalyst. The 2026 online instructions print 5049 Kongens Gade at 340.774.2991 and “1105 Kings Street,” Christiansted, at 340.773.6449. We print those lines. We do not invent a winner. None of them is a vendor suite. Catalyst’s own home page says the system is available 24 hours a day, 7 days a week, and that a casual user can open Corporation Search without an account. That is the online registry. It is not a counter clock, and it is not a statutory agent clock. 13 V.I.C. § 1109 does not print an opening time. We did not pull a live search row on September 29, 2026. A city on a marketing page is still vendor-claimed until that search shows it.

Northwest’s national registered-agent page, retrieved September 29, 2026, prints “$125 Per Year.” It also prints “It’s $125/year—no hidden fees or per document charges. For five or more states, it’s just $100/year per state.” The state picker lists the 50 states, the District of Columbia, and Puerto Rico. It does not list the U.S. Virgin Islands. We opened /registered-agent/virgin-islands and /registered-agent/us-virgin-islands. Both returned 404. We will not invent a Northwest street in the territory. A sentence on the national page says a USA registered agent has registered offices in every state in the US. That sentence does not name the U.S. Virgin Islands, and it does not print a street number. The page says, “We scan every document you receive right where you receive it—in our office.” It also says they will scan normal business mail, up to 5 documents a year, free. That mail scan is a different product. We do not grade it as the registered-agent job. The page says agents must be available during normal business hours. That is vendor copy. 13 V.I.C. § 1109 does not print a clock.

Bizee’s national registered-agent page, retrieved September 29, 2026, prints a free first year of registered agent service and a standalone price of $149/year. It says the company owns and operates offices in all 50 states and does not outsource. It does not say the U.S. Virgin Islands. We opened bizee.com/llc/virgin-islands/registered-agent and bizee.com/llc/us-virgin-islands/registered-agent on September 29, 2026. Both returned 404. We do not invent a Bizee territory page or a territory street. The page says it sends instant notifications for service of process or state correspondence by text and email, mails those court papers by FedEx with tracking, and uploads documents to a client portal. The contact page lists 17350 State Highway 249, Suite 220, Houston, TX 77064. That address is not a U.S. Virgin Islands registered-agent address. Support hours on that page are Monday through Friday, 9 a.m. to 6 p.m. Central Time. Those are support hours, not a registered office in the territory.

LegalZoom’s registered-agent overview, retrieved September 29, 2026, prints $249/year. The footnote says the service auto-renews at the purchase rate each year until you cancel, the renewal rate is subject to change, and the purchase price is only available for first-time registered-agent customers. We do not invent a year-two number the footnote did not print. The overview says, as a general rule, that a registered agent is a service or a person over the age of 18, available during regular business hours, and that one example of those hours is Monday through Friday, 9 a.m. to 5 p.m. It also says agents must be designated with the Secretary of State’s office. That is LegalZoom’s sentence. 13 V.I.C. § 1109 does not print an age or a clock. The U.S. Virgin Islands filing office is the Office of the Lieutenant Governor. We do not call it a Secretary of State. We opened legalzoom.com/articles/virgin-islands-registered-agent and legalzoom.com/articles/us-virgin-islands-registered-agent. Both returned 404. We do not invent a LegalZoom territory article, a LegalZoom city, or a LegalZoom street. The overview talks about documents scanned and uploaded, email, and a postcard for urgent legal mail. It also says junk mail is shredded. Junk mail is not the job we score.

ZenBusiness’s registered-agent URLs at zenbusiness.com/virgin-islands-registered-agent/ and zenbusiness.com/us-virgin-islands-registered-agent/ returned 404 on September 29, 2026. Nearby territory URLs we opened the same day also returned 404. We do not invent a ZenBusiness territory price. The national registered-agent page prints a banner, “50% OFF REGISTERED AGENT,” for the first year when you form an LLC. The same page prints $99 plus state fees for the first year and a renewal at $199 a year. We print both sentences. We do not invent which one a U.S. Virgin Islands checkout would charge. The page says the service is for limited liability companies and corporations in all 50 states, and that ZenBusiness currently does not offer registered-agent service to professional limited liability companies or nonprofits. That exclusion is theirs. It is not a sentence in 13 V.I.C. § 1109. The page says they scan and upload documents to a dashboard, notify you of legal notices, and overnight urgent legal notices. It publishes no ZenBusiness street.

We print what the company’s official registered-agent page said on the retrieval date. Where a territory product URL returned 404, we print the national page and say so. We do not invent a renewal.

A change of agent is a separate filing with the Division of Corporations and Trademarks. The April 22, 2019 fee listing prices the corporation change at $25 and the LLC change at $50. Northwest’s national page does not print $25 or $50. Bizee has no territory product page that printed a change dollar. LegalZoom has no territory article that printed one. ZenBusiness’s national page does not print $25 or $50. The annual report and the franchise tax can sit next to the agent on the public record. They are still not the job of taking the lawsuit.

Who publishes a U.S. Virgin Islands address

A city is not a registered office. We print only the addresses the companies publish for registered-agent use. We do not invent the rest. Confirm the live name and address with the Corporation Search button on Catalyst before you file. Headquarters is not the registered-agent address. 1131 King Street, 1105 King Street, and 5049 Kongens Gade are Division lines. They are not vendor suites. We did not pull a live search row on September 29, 2026. A city on a marketing page is still vendor-claimed until that search shows it.

• Northwest. The national page says the company provides a registered agent. The state picker does not list the U.S. Virgin Islands. The territory product URLs returned 404. The page does not print a U.S. Virgin Islands street number or ZIP. We will not invent one, and we do not treat 1131 King Street as their office. Northwest also sells extra mail scans. Those extras are a different product. There is no city to label yet. Use Catalyst for the name on your own filing.

If you are your own agent, the address on the public record is often your home. The glossary lets an officer, a resident individual, or a corporation located in the territory take the corporation’s job. 13 V.I.C. § 1109 lets an individual resident, a domestic corporation, another limited liability company, or an authorized foreign company take the LLC’s job. The agent line still needs a physical address in the territory on the LLC rule we read, and a street in the town on the articles sentence we read. Northwest says you can be available during normal business hours. That is vendor-claimed copy. Bizee, LegalZoom, and ZenBusiness did not give us a territory product page that printed a self-service sentence we could grade. A commercial mailbox is not a sentence we found in 13 V.I.C. § 1109. Northwest’s page names no U.S. Virgin Islands city. Bizee publishes no territory address. LegalZoom publishes no city and no address. ZenBusiness publishes no suite. Use Catalyst. Process Score has not been to those offices.

The $300 fee, the $25 and $50 changes, and the June 30 paper

A U.S. Virgin Islands corporation keeps a resident agent. The glossary and the articles sentence are what we could read. An LLC keeps an agent for service of process at a physical address under 13 V.I.C. § 1109. The corporation change of agent is $25 on the April 22, 2019 fee listing. The LLC change is $50. The LLC annual filing fee is $300 minimum on that listing and in the annotated 13 V.I.C. § 1211 extract, due by June 30 on the Division FAQ and in that extract. Profit-corporation franchise tax is $300 minimum on the fee listing. The FAQ dates the profit-corporation minimum increase to January 29, 2018, Act No. 8027. If the LLC agent resigns, 13 V.I.C. § 1111 ends the agency on the 31st day. We do not print a corporation forfeiture clock we could not read. Northwest’s national page prints $125 and no territory street. Bizee’s territory URLs returned 404. LegalZoom’s territory article URLs returned 404. ZenBusiness’s registered-agent territory URLs returned 404. We do not treat a company hours line as 13 V.I.C. § 1109.

Service of process, not marketing mail

We grade scan-and-forward of service of process and official notices.

• Bizee: notifications by text and email; court papers mailed via FedEx with tracking; portal upload by employees. The national page claims 50-state offices and does not name the U.S. Virgin Islands. Contact-page support hours are Monday–Friday, 9 a.m. to 6 p.m. Central Time. Those are support hours, not registered-office hours. The territory product URLs returned 404.
• Northwest: “We scan every document you receive right where you receive it—in our office.” The national page does not print a U.S. Virgin Islands street or a city. Their extra mail-scan product is a different product. We do not grade those extras as a mailbox.
• LegalZoom: upload, email, and a postcard for urgent legal mail on the national overview. We did not find a live territory article, and the overview still publishes no LegalZoom address. Junk-mail handling on the overview is not the job we score.
• ZenBusiness: scan and upload to a dashboard; notice of legal mail; overnight the original for urgent legal notices. Their national product currently excludes professional limited liability companies and nonprofits. That is their exclusion, not 13 V.I.C. § 1109. The territory registered-agent URLs returned 404.

Home-address privacy

Naming a commercial agent is how many owners keep a home off the agent line. The Division still publishes the resident agent and the address on Catalyst. Privacy of the agent line is not privacy of every field. The LLC annual report still asks for the designated office and the agent’s physical address. The franchise tax and the annual filing fee are payments, not a mailbox. A blank line is not the same thing as a private line. Confirm the live line on Catalyst.
